CALGARY, AB, June 24, 2025 /PRNewswire/ - Parkland Corporation ("Parkland", "we", the "Company", or "our") (TSX: PKI) held its annual and special meeting of shareholders on June 24, 2025 (the "Meeting").
The Company is pleased to announce that all matters presented at the Meeting were approved, including the special resolution (the "Arrangement Resolution") approving the arrangement with Sunoco LP (the "Arrangement") and election of all ten nominees listed in the management information circular dated May 26, 2025 (the "Information Circular"). The complete results of voting for business considered at the Meeting are set out below and are made available on Parkland's SEDAR+ profile at www.sedarplus.ca.
The Arrangement remains subject to other closing conditions, including regulatory approvals and the final approval by the Court of King's Bench of Alberta. The Arrangement is expected to close in the second half of 2025.

Permex Petroleum Announces US$2,000,000 Private Placement of Convertible Debentures

Vancouver, British Columbia--(Newsfile Corp. - July 4, 2025) - Permex Petroleum Corporation (CSE: OIL) (FSE: 75P) ("Permex" or the "Company") is pleased to announce a private placement (the "Offering") of convertible debenture units of the Company (the "Units") for gross proceeds of US$2,000,000. Pursuant to the Offering, the Company will issue 2,000 Units to a single arm's length subscriber, with each Unit consisting of one convertible debenture (a "Debenture") in the principal amount of US$1,000 and 393 common share purchase warrants (each, a "Warrant"). Each Warrant is exercisable for a period of five years from the date of issuance for one common share of the Company (a "Share") at an exercise price of US$2.54. The Debentures will mature (the "Maturity Date") one-year from the date of issuance. The Debentures bear simple interest at a rate of 10%, payable on the Maturity Date or the date on which all or any portion of the Debenture is repaid. Interest will be paid in cash or Shares based on a conversion price of US$2.54 (the "Conversion Price"), subject to the approval of the Canadian Securities Exchange (the "Exchange"). At any time during the term of the Debentures, a holder of Debentures may elect to convert the outstanding principal and any accrued and unpaid interest thereon into Shares at the Conversion Price. The Debentures will automatically convert into Shares at the Conversion Price in the event the Company completes a financing of Shares for aggregate gross proceeds of at least US$7,500,000. Any conversion of the Debentures which would exceed certain dilution thresholds is subject to the appropriate approvals, including shareholder approval if required by the policies of the CSE. The proceeds of the Offering are expected to be used for general working capital purposes. No finders' fees will be paid in connection with the Offering. The Conversion Price and exercise price of the Warrants was determined at the time discussions commenced between the Company and subscriber and is based on the closing price of the Company's Shares on the CSE on May 7, 2025. The Company obtained confidential price protection from the CSE for the Conversion Price and exercise price of the Warrants on May 7, 2025. The Company confirms that there has been no undisclosed material information with respect to the Company between May 7, 2025 and the date of this news release, and is not aware of any reason for the recent volatility in its trading price. The Company intends to close the Offering following the 5-day notice period required by CSE policy. ('Net Zero') is pleased to announce the completion of environmental studies on its first energy campus in Alberta, a 320-acre site specifically selected to meet the infrastructure requirements and locational preferences of both electricity generation and data centers. With data centers applying for 16,229MW of load capacity from the electricity grid in Alberta, and the Alberta Electric System Operator (AESO) imposing an interim large load connection limit of 1,200MW, Net Zero's energy campus is solving the most critical constraint in Canada's fastest-growing data center market: access to electricity where data centers want to operate.
