
Dalata Hotel Group agrees to €1.4 billion takeover deal
Dalata shareholders will get €6.45 in cash per share, representing a premium of about 12% to the closing price on June 2 - the day before the Scandinavian hotel investors first disclosed their interest in the Irish company.
Dalata had rejected an initial proposal in early June from Pandox and Eiendomsspar, valuing it at €1.3 billion, saying that the price undervalued the group.
The latest offer, which has the backing of the board, concludes the Dublin-based company's strategic review that was launched in March to drive up shareholder returns.
The cash offer of €6.45 per share also represents a 35.5% premium to the Dalata share price before the launch of its strategic review and formal sale process in March and a 49.7% premium to the 12 month volume-weighted average Dalata share price.
Sweden-based Pandox will own 91.5% of the entity taking over Dalata, while Norway-based Eiendomsspar will own 8.5%, the companies said in a statement.
Pandox's long-term operating partner, Scandic Hotels Group AB, will become an operating partner for the existing Dalata portfolio, they added.
Dalata operates 55 hotels under the Maldron Hotel and Clayton Hotel brands, mostly in Ireland and the UK, and aims to open new hotels in Europe including in Berlin and Madrid.
It launched a strategic review in March to explore options for enhancing shareholder value, including a potential sale.
The Dalata Board said it believes the acquisition is in the best interests of Dalata shareholders and represents the most effective route to enhance value for shareholders, relative to Dalata's other strategic options which have been considered as part of its strategic review.
Dalata said it will retain its staff, management team and Dublin headquarters as it continues to expand as an international hotel group.
Dermot Crowley, CEO of Dalata, said the deal represents an exciting new chapter for Dalata in which it will become part of a larger hotel platform and will further accelerate its growth.
He said the deal was a "very good fit" as it gives Pandox a large portfolio in Britain and Ireland, and Dalata better access to capital and a larger platform to accelerate growth.
Dalata will continue to target new properties in the United Kingdom and Western and Southern Europe, he added.
"Our focus remains firmly on our people and our customers. I'm proud to continue to lead our team in close partnership with our new owners. Together, we will unlock new opportunities for the Clayton and Maldron brands as we continue to expand as a leading international hotel company," the CEO added.
John Hennessy, Chair of Dalata, said that after a thorough and rigourous strategic review, incorporating a formal sales process, the board has determined unanimously that this transaction delivers compelling value and represents the best available strategic option for shareholders.
"We believe that it is the right path forward for all stakeholders, and that it positions the business strongly for its next phase of growth under new ownership," the said.
"The value achieved reflects the hard work and professionalism of the exceptional people working in Dalata now and in the past, and we extend our sincere gratitude to everyone in the Dalata Group and to all who have contributed to the journey so far. We look forward to the company's continued success into the future," he added.
Pandox CEO Liia Nõu said the portfolio consisted of "well-established and highly profitable four-star hotels in strong locations" that would increase its footprint in key markets.
Sweden-based Pandox specialises in the ownership, development and leasing of large hotel assets in major cities across Sweden and northern Europe.
It has been expanding its portfolio through acquisitions and leases in key European cities including Stockholm, Berlin and Brussels and its portfolio consists of 163 hotel properties with about 36,000 rooms across 11 countries in Northern Europe.
Eiendomsspar is one of the largest real estate owners in Norway and it owns 11 hotels in Norway, with another two hotels under construction. Eiendomsspar controls about 36% of the voting shares of Pandox.

Ryan Tubridy: Trips to Limerick and Cork remind me how I enjoy Irish hospitality
One of the great things about spending so much time in London is an enhanced appreciation of and for Irish hospitality. I marvel at the way Irish hotels (especially family concerns) are run with such warmth, passion and customer care. In my experience, this doesn't exist in great abundance in the UK. That isn't to say the British experience isn't polished and professional. It simply lacks warmth, an intangible resource that Irish hospitality has to its fingertips. Ryan Tubridy. Pic: Nick Edwards I landed at the perfectly formed and extraordinarily well-run Shannon Airport on Wednesday evening (after an impeccable flight with Aer Lingus, whose staff remain the best I've ever flown with, bar none) and from the get-go, the warmth I'm talking about was obvious. I bumped into some staff on my way to the car park, and they were beaming with happiness and so professional in the way they carried themselves. I had the loveliest chat with Mike, who took me to my hotel in Limerick. Along the way, we chatted about the landmarks, from Bunratty Castle and Durty Nelly's to the River Shannon and King John's Castle. We covered the current political scene in both Ireland and America before our brief but enjoyable journey came to an end as we landed at the Savoy, a beautiful, central and modern hotel in the heart of the city. I was pretty late checking in, but found time to pop into O'Mahony's Bookshop, which has been in business for 100 years and is still thriving. I just about made it in time to say hi to the staff, who filled me in on what the big sellers are and how business is going in general (very well, thankfully). I did a radio show from the shop 15 years ago (I think!) so I always have a soft spot for the place, which remains a family-owned business, giving it that wonderful air of book-loving authenticity. Pic:From there, I strolled down by the riverside where I paid my respects to the Terry Wogan statue and, not too far away, the Richard Harris statue – two proud sons of Limerick, pictured above right, well remembered by the good people of the city. I also found time to pop into a tattoo parlour. Don't worry, I wasn't 'inked'. A tattooist got in touch with me on my Virgin radio show when he heard I was going to be in Limerick and asked me to pop into his pal if I was passing by, so I did and a selfie was had. (Thanks to Jake, who may still be in shock after he saw me coming through the door.) I asked Instagram followers (God, I hate that word in this context) for suggestions of things to do in Limerick, and I was inundated. We did the radio show from our sister station, Limerick Live 95, which was a great experience and allowed me to meet the cracking crew who populate that brilliant station. A quick visit to the Richard Harris exhibition at the Hunt Museum and a speedy tour of King John's Castle was all I could fit in but it was well worth the time. I was well looked after before I had to hop in a car and head for Cork city, where I had a very chilled afternoon reconnecting with a city I hadn't been in for years. I checked into the history nerd's favourite hotel, the Imperial, and then to dinner at Jacob's with the Cork 96 and Onic bosses, who filled me in on the comings and goings in the byzantine but never boring world of Irish radio. Pic: Ryan Tubridy/Instagram It was a lovely, convivial gathering and the word 'Sláinte' was heard many times, but I didn't hang around as I was on duty at Cork 96 the next morning, and I had a particularly big job the following night, so it was back to the Imperial with me in good time. The radio show went off without a hitch, and from there, I was on the road again, but this time, bound for beautiful Bantry and the West Cork Literary Festival. I'm a sucker for a book festival so when they asked me to come and interview Graham Norton on Friday night, I didn't put up an argument. We checked into the breathtaking Seaview House, where that welcome I've mentioned a few times in this diary was in evidence at every turn. Another family-run hotel, this time it was the gracious Ronan and Suzanne O'Sullivan who looked after our every need. My one regret was that it was only a one-night stay. After an early and thoroughly enjoyable dinner with friends, it was time to go and interrogate Graham, whom I've interviewed many times over the years and who treated me to a delicious lunch when I first landed in London. The event was sold out a long time ago, the place was packed, and the craic was mighty. Graham was in exceptionally good form, and the crowd lapped him up. Photos, chats and vino followed, and a tremendous night was had by all. Kudos to the festival organisers who pulled together a relaxed, easygoing and intriguing series of events. It's one that will run and run. From Bantry, it was back to Dublin to spend some time with the important women in my life, who I am happy to say are my favourite people in the world. I'll head back to London this evening, safe in the knowledge that family is king (and queen) when it comes to hospitality, hotels and the heart.

Government decide on €13bn Apple tax windfall & AIB shares sale cash spend in new €100bn national development plan
THE coalition is set to pump close to €100 billion into energy and water infrastructure, new schools, housing, and State-run creches over the next 5 years under plans for the Apple tax windfall to be announced. Astronomer CEO Andy Byron resigns following viral Coldplay concert video
The chief executive of New York-based tech firm Astronomer, Andy Byron, has stepped down after a viral video appeared to show two of the company's senior staff embracing at a Coldplay concert. The company said Mr Byron had resigned and the board had accepted it. A search for a new CEO will begin soon. In a statement, Astronomer said: 'As stated previously, Astronomer is committed to the values and culture that have guided us since our founding. Our leaders are expected to set the standard in both conduct and accountability, and recently, that standard was not met.' It added: 'The board will begin a search for our next chief executive as co-founder and chief product officer Pete DeJoy continues to serve as interim CEO.' Two executives who were caught having an alleged affair at a Coldplay concert have been placed on administrative leave. The moment quickly gained traction online, racking up millions of views and prompting widespread speculation about the identities of those involved. While Astronomer previously said Mr Byron had been placed on leave, the company stopped short of confirming whether he was the man seen in the video. The pair immediately tried to hide their identities, and failed miserably.
