Ola to consolidate brand IPs to streamline governance, rejig structure

Ola Group is reorganising its corporate structure by establishing a holding company to consolidate its brand intellectual property (IP) assets, aiming to streamline internal ownership arrangements.
The move is aimed at eliminating intra-group cross-holdings and simplifying internal ownership structures, according to people familiar with the matter.
The move follows Ola Electric's public listing last year and will be carried out through a newly formed entity under the control of the founder's family office.
Ola's operations currently span mobility, electric vehicles, energy, and artificial intelligence, positioning it as India's only well-diversified technology conglomerate with businesses cutting across key sectors of the new economy.
ANI Technologies, which operates the group's ride-hailing business, holds the brand IP and has licensed it to electric vehicle manufacturer Ola Electric.
The move has triggered concerns among some investors who worry that they could be cut out of future royalty earnings from use of the brand if it is transferred out of ANI Technologies.
Ola Electric Mobility Ltd in a Monday evening stock exchange filing stated that "pursuant to the Business Transfer Agreement dated January 18, 2019, entered into between the company and ANI Technologies Pvt Ltd, the company holds a perpetual, royalty-free, non-exclusive, non-transferable, non-assignable, and revocable license to use certain licensed intellectual property, including the logo and/or word-mark of 'Ola'." This license, it said, is granted exclusively in relation to the company's electric vehicle business and is valid globally.
Some of the prominent investors in the company too did not see any material impact of such a move.
"Founders start companies before investors invest so the brand is logically with the founders," one of the prominent investors in the company said on condition of anonymity.
Stating that market precedents in India and globally have to be looked at before forming a view, he said, "In India, most industrialists own the brand in their own names and even globally big brands are owned and licensed through a corporate structure." "Look at some of the Western big techs, or for that matter, some of the well-known Indian brands. I don't see any material impact of such a move (as being done by Ola Group). Anyway, the company has said no royalty is being paid so I am not sure what the issue is," he added.
Ola Group is looking to realign the group structure to unlock greater value and operational agility.
The brand IPs are currently housed within ANI Technologies, the original Ola company established over 15 years ago. ANI held a stake in the then-nascent Ola Electric in exchange for using the brand for electric vehicle manufacturing and sales. The result was a layered intra-group ownership structure.
With the new holding structure, the company seeks to establish a single point of authority for IP governance, sources said, adding that the objective is to create a cleaner, more transparent framework that reduces internal dependencies and potential conflicts of interest.
Moving the brand IP into an apex entity is also expected to prevent its dilution and mismanagment over time as the group diversifies into new categories.
The structure mirrors similar approaches taken by large Indian family offices such as Adani and JSW, where brand ownership and IPs are retained at the top level and controlled by family trusts to ensure alignment across operating companies.
According to the people cited above, such models are increasingly common among conglomerates managing diversified business interests with strong brand recognition.
The move is part of a broader strategy to future-proof governance and asset control as the group continues to scale its presence across multiple sectors.

All India Football Federation (AIFF) president Kalyan Chaubey on Thursday assured that the Indian Super League (ISL), which has been put on hold for the time being, will be held this season, though he did not specify on a start date of the top-tier domestic competition. He also said that a new head coach of the Indian men's senior football team will be appointed within the next 10 days after the technical committee sent three shortlisted candidates to the AIFF executive committee on Wednesday to pick from. "As AIFF president, I assure you that the league will take place. But time is of the essence, there is international calendar, FIFA windows, home and away matches, so time is a factor," Chaubey told PTI at the sidelines of a press conference hosted by the Indian Olympic Association (IOA). "If the league doesn't take place, it is not only footballers but the people who are associated with football will be affected. It's thousands of people who will be affected. So, we will put our best effort to ensure that the league happens," said Chaubey who is also a joint secretary of the IOA. On July 11, ISL organisers FSDL announced that it has put the 2025-26 season "on hold" due to the uncertainty surrounding the renewal of Master Rights Agreement (MRA) signed with the AIFF in 2010. ISL normally runs from September to April, and the current MRA between Football Sports Development Limited (FSDL), which organises the event, and the AIFF is scheduled to expire on December 8, 2025, by which time the ISL would be into its third month. Following a directive from the Supreme Court, the AIFF has been asked not to negotiate new terms of the MRA with (FSDL), the apex governing body's commercial partner running the ISL, until a final judgment is delivered in the AIFF draft constitution case. The Supreme Court may pronounce its judgment soon. "I am not saying it (ISL) will be delayed, we don't know when the decision is coming. And so as and when it comes, definitely the AIFF will take a call, sit with all the stakeholders and ensure that how smoothly these tournaments, including ISL, can be conducted." On the appointment of the national team head coach to succeed Manolo Marquez who mutually parted ways with the AIFF earlier this month, Chaubey said, "I think 10 days from now, if all goes smoothly. "We will hold executive committee meeting and thereafter the name of the head coach will be announced," he said. The experienced Anglo-Cypriot Stephen Constantine, Stefan Tarkovic of Slovakia and home-bred Khalid Jamil were among three candidates shortlisted on Wednesday by the technical committee of the AIFF. Out of the three, Jamil appeared to be the frontrunner to get the job. The AIFF had invited applications for the top job on July 4 with July 13 as the deadline. It received 170 applications, which included big names like former Liverpool stars Robbie Fowler and Harry Kewell.

New Delhi: India's automakers set to gain access to the UK market as the free-trade pact between the two nations removes 18% duty on exports to the European nation. The India-UK Comprehensive Economic and Trade Agreement (CETA) also protects the domestic clean mobility market for electric and hybrid vehicles by offering no concessions to the UK. 'India shall not provide any out-of-quota preferential customs duty on zero emission vehicles (electric, hybrid or hydrogen fuel vehicles),' the trade documents by the UK government said. Protecting India's clean mobility manufacturing is crucial as demand for electric and hybrid vehicles rises. While hybrid vehicle sales rose about 12% year-on-year to 365,024 in FY25, pure electric vehicle (EV) sales rose 17% to 1,967,313 units, showed data from the central government's Vahan portal. However, concessions offered by India, the world's third-largest auto market by sales, will make luxury car imports from the UK cheaper for Indian consumers. Models from companies including Tata Group-owned Jaguar Land Rover, Aston Martin, and Rolls-Royce can get cheaper in India, which saw 51,000 luxury car sales in FY25. Indian Prime Minister Narendra Modi signed the historic bilateral deal in the UK on Thursday for goods and services trade between the two nations. The pact, which cemented concessions in trade by both nations, laid out a plan for gradually reducing import duties on various products for at least 10 years. For some goods such as UK-made fossil fuel cars and high-end hybrid, electric, and hydrogen vehicles, the agreement lays out a 15-year plan of gradual duty reduction. As per the CETA, India has agreed to gradually reduce tariffs on British luxury cars, with a maximum 37,000 cars seeing base tariffs at 10% in the fifth year after the agreement. From thereon, the number of cars allowed at this rate would reduce eventually to 15,000 at the end of 15th year. 'The proposed reduction in customs duty to 10% on all type of UK-manufactured vehicles over a period 10 years for EVs and five years for other cars—subject to defined quotas and eligibility norms—are expected to make premium cars significantly more accessible to Indian consumers,' said Saurabh Agarwal, partner and automotive tax leader, EY India. India has agreed to relax the tariffs on a specific quota each year, going up to 19,000 in the fifth year and then gradually coming down to 7,500 cars. This will be applicable to petrol cars above 3,000 cc engines and diesel cars of 2,500 cc. Different quotas have been announced for 1,500 cc to 2,500 cc level and up to 1,500 cc. Overall, 37,000 internal combustion engine (ICE) passenger cars will be allowed by the government. Indian companies that stand to benefit include TVS Motor Co., which has a UK subsidiary, Norton Motorcycles; and Hero MotoCorp Ltd, which plans to enter the UK market in the second half of the current financial year. 'As a company with a strong presence in both India and the UK, we at TVS Supply Chain Solutions see this FTA as a strategic enabler. It will help streamline trade flows, reduce operational friction, and accelerate our ability to deliver cost-effective, agile solutions to global customers,' said R. Dinesh, chairman at the company. 'With our strong presence in the UK and India , the agreement further strengthens our position in a critical market while opening new doors for cross-border collaboration, investment, and innovation.' The FTA will protect the interests of Indian automakers and component manufacturers that rely on schemes such as the ₹ 25,938 crore production-linked incentives for automobiles and automotive components (PLI-Auto). Indian electric vehicle makers, seeking benefits under the PLI-Auto scheme, have invested over ₹ 25,000 crore in capital. Component makers are also expecting a boost as their exports will get a relief in the UK. In FY25, auto component players exported $6.75 billion worth of goods to Europe, a part of which goes to the UK. 'The CETA is expected to benefit the Indian auto component sector through enhanced opportunities for exports, streamlined regulatory processes, particularly in key areas such as electric mobility, precision engineering, and lightweight materials,' said Shraddha Suri Marwah, president of the Automotive Component Manufacturers Association of India (ACMA). 'Indian MSMEs, which form the backbone of our industry, stand to gain from the liberalized terms of trade and improved access to UK markets.' Experts said the India-UK CETA cemented a clear path for bilateral trade in the auto sector, with clear benefits outlined for Indian exports. 'The India-UK free-trade agreement is a strategic milestone for the automotive sector, reducing import tariffs on UK vehicles from over 100% to 10% within quota limits, while ensuring 99% duty-free access for Indian exports,' said Pratik Shah, partner, EY-Parthenon. 'With a growing base of auto component & vehicle exports from India, the agreement sets the stage for stronger bilateral trade, deeper supply chain integration, and increased jobs and investment flows,' Shah said. But there were still some challenges related to carbon taxation, and protecting local manufacturing was a key outcome of the deal. 'While there are few concerns around backdoor Chinese imports and UK's carbon border adjustment mechanism (CBAM) levies, long-term success hinges on balancing collaboration with protecting local innovation,' said Shah. India has also agreed to gradually reduce the levy on importing trucks from the UK from 37% in the first year to 8.8% by the 10th year of the agreement. The earlier base levy for trucks was 44%. This agreement comes with an annual quota ranging from 2,500 completely built-up units in the first year to 3,500 units for the 10th year onwards. In case more trucks are imported from the UK than the annual quota for a particular year, there will be a higher levy ranging from 41.8% in the first year to 22% for the 10th year onwards.
