Ltd (RIL) plans to consolidate its fast-moving consumer goods (FMCG) brands into a new entity. The new entity, to be named New Reliance Consumer Products Ltd (New RCPL), will operate as a direct subsidiary of RIL, similar to Jio Platforms Ltd.
The FMCG products are presently managed by Reliance Retail Ltd (RRL), Reliance Retail Ventures Ltd (RRVL), and Reliance Consumer Products Ltd (RCPL). Currently distributed across its retail ventures, this reorganisation aims to provide dedicated attention to these brands whilst attracting sector-specific investors, according to an ET report.

The restructuring will facilitate the involvement of a distinct investor base, as stated in the June 25 National Company Law Tribunal (NCLT) order, which was issued following RIL's restructuring application.

According to the order quoted by the financial daily, "The consumer brands business is one of building brands, managing the entire product lifecycle from research, development, manufacturing, distribution and marketing."

RIL's FMCG Business Restructuring
A source familiar with company strategy told ET that the restructuring will facilitate the retail division's stock market debut by separating the FMCG operations, which could command premium valuations.
According to recent RIL data, RRVL's valuation exceeds $100 billion, potentially making any future public offering amongst the most substantial in recent history.
The FMCG operations, valued at Rs 11,500 crore in FY25, includes more than 15 proprietary and purchased brands. These include Campa (soft drinks), Independence (packaged grocery), and Ravalgaon (confectionery). Additional acquisitions comprise SIL for jams and sauces, regional beverage maker Sosyo, and the Velvette shampoo brand.

"This business also entails large capital investments on an ongoing basis and can attract a different set of investors," according to the NCLT document.
"The consumer brands business is not part of the retail business and it is proposed that this business is housed in a direct subsidiary of RIL."
RCPL, which handles manufacturing, distribution and marketing functions, offers products at prices 20-40% below competitors like Coca-Cola, Mondelez and Hindustan Unilever, while providing enhanced trade margins.
T Krishnakumar, RCPL director and group FMCG chief, had informed ET about their plan to target 600 million consumers in the mass segment whilst maintaining strong relationships with local shops through profitable margins.
He indicated the organisation's aim to expand their FMCG operations nationwide by March 2027.
RRL and RCPL operate as subsidiaries under RRVL, which serves as the retail business holding company and functions directly under RIL.
New Reliance Consumer Products
The reorganisation will proceed in four distinct stages. Initially, RRL's FMCG brands will transfer to parent RRVL through slump-sale. Subsequently, RCPL will combine with RRVL.
Following this, the unified "consumer brands business undertaking" will separate from RRVL and move to Tira Beauty Ltd, presently an inactive company.
Tira Beauty will subsequently be designated as New Reliance Consumer Products (New RCPL) as an ongoing enterprise.

The Mumbai NCLT bench instructed RRVL to organise meetings with its 14 equity shareholders and creditors to secure approval for the proposed "composite scheme of arrangement". Based on submitted affidavits of consent, meetings for shareholders of RRL, RCPL and Tira Beauty were deemed unnecessary.
"New RCPL will carry on the business of manufacturing, distribution, selling and marketing of multiple products under FMCG category and making investments in subsidiaries and joint ventures engaged in FMCG category retail business," as per the order. "On consummation of this scheme, New RCPL will become a direct subsidiary of RIL."
The company reported that kiranas and general trade contributed over 60% of the Rs 11,500 crore revenue in FY25.
The company's earnings call revealed Campa's achievement of double-digit market share in certain regions, with products available across more than one million retail outlets through a distribution network exceeding 3,200 partners.
The NCLT division bench, comprising justice VG Bisht and technical member Prabhat Kumar, additionally instructed the companies to provide details regarding corporate and performance guarantees, along with information about any existing contingent liabilities.

1 2 Chandigarh: In a city known for its bureaucratic rigidity, the Chandigarh administration seems to be treading a callous path when it comes to resolving a decades-long backlog of audit objections, some dating back to 1971. According to the office of the Director General of Audit (Central) Chandigarh, more than 2,300 audit paras of different UT departments are pending. One of the oldest pending audit paras is from the UT excise and taxation department from 1971 regarding tax assessment. For the UT estate office, an audit para from 1979 is pending, which relates to the outstanding balance of a scooter and car stand amounting to Rs 1.13 lakh in that year. There are around 200 entities whose audit paras are pending. Audit paras of the education department are pending since 1980. Some of the audit paras of the sub-registrar office are pending since 1981. Several other UT departments have failed to resolve audit paras since 1981. Among the govt agencies with the maximum number of outstanding paras is the UT engineering department, with more than 700 paras pending against different wings of the department. Some of these have been pending since the 1980s. The estate office has around 155 pending paras. More than 600 audit paras are pending against the municipal corporation. "The audit paras are to be resolved by the department concerned. Most of these relate to financial matters, and some are also regarding administrative policy. Such long pendency of the audit paras indicates that the administration doesn't take the audit process seriously. The audit can only point out the lacunas and financial flaws within the administrative processes, but it is for the administration to rectify these and resolve them with the audit committee. The administrative secretaries should ensure that audit paras in the inspection reports/local audit reports are resolved at the earliest," said an audit department official requesting anonymity. Stating that the piling of the audit report shows that the administration has consistently failed to resolve the lacunas pointed out by the audit, the official said, "It shows that the executive is not taking the constitutional body seriously." After the completion of the audit, the audit observations are forwarded to audited entities in the form of an inspection report. The major observations (part-II-A paras) which have potential are forwarded to heads of departments (HoDs) in the form of a statement of facts (SoF). After getting a reply from the HoD about the SoFs, the same are processed as potential draft paras (PDPs) and subsequently featured in the audit report as draft paras (DPs). "There exist several mechanisms for enforcing compliance to audit, viz. audit committee meetings, bilateral meetings, quarterly/half yearly reports of outstanding IRS/paras, etc. In the case of draft paras of audit reports, selected paras are discussed in the public accounts committee (PAC), and recommendations/action taken notes are forwarded to this end on the basis of such discussion by the PAC," said the audit official. RK Garg, a city-based social activist, said, "It is surprising that a large number of audit paras are pending for so many years, and it is almost all departments of UT. That means UT is not serious about discrepancies and irregularities pointed out by CAG. The administration should start monitoring the audit paras and initiate action for recoveries in financial transactions and launch a special month to submit replies to CAG. The picture will not be cleaned unless strict action is taken and the responsibility of HoDs is fixed." A senior UT official said, "The administration takes the audit paras very seriously and has developed different mechanisms like an online portal to allow administrative secretaries to regularly monitor the progress of resolution of paras. Similarly, regular meetings with the audit agency are held for this purpose."

Haryana Excise Department nets Rs 12,615 crore from ongoing liquor vend auctions

Chandigarh, July 4 (UNI) The Haryana Excise and Taxation Department has achieved revenue of Rs 12,615 crore through the ongoing excise auctions, Excise and Taxation Commissioner Vinay Pratap Singh announced today. The department has successfully auctioned 1,081 out of 1,194 excise zones across the state. Retail liquor vend licensees are allowed to operate two vends in each zone, leading to the opening of over 2,150 retail liquor vends within the first three weeks under the new Excise Policy. The auction process is conducted through a fully transparent e-auction portal. Only 113 zones remain to be auctioned, which are expected to be completed within a few days. The Commissioner emphasized that the process is fair and competitive, with liquor licenses participating freely and bidding at market-driven prices. Singh further informed that, with the Cabinet approving the Excise Policy for an extended period until March 31, 2027, the department has already earned significantly higher revenue than last year. In the most recent auction round held on July 3, 2025, 21 more zones were auctioned, generating an additional Rs 215 crore. He added that although a similar number of zones have been auctioned this year compared to the previous year, the revenue has more than doubled. In comparison, the total license fee collected from auctions during the previous year, which continued till August 2024, stood at Rs 7,025 crore. The department is confident of surpassing the revenue targets set by the State Government. The Commissioner stated that strict action has been taken against individuals involved in threatening or extorting liquor licensees. With active intervention from the State Government, the Haryana Police has acted promptly against such criminal elements. Under the directions of the Chief Minister, the Home Department is closely monitoring any attempts to disrupt the auction process. As a result of recent crackdowns, bidder participation has increased significantly, leading to the successful auction of more than 125 zones, generating revenue of ₹1,370 crore in the last two weeks alone.
