LSL PHARMA GROUP ANNOUNCES REDEMPTION OF 11% UNSECURED CONVERTIBLE DEBENTURES

BOUCHERVILLE, QC , July 2, 2025 /CNW/ - LSL PHARMA GROUP INC. (TSXV: LSL) (" LSL Pharma" or the " Corporation"), a Canadian integrated pharmaceutical company, is pleased to announce that TSX Trust Company (the " Trustee"), in accordance with the trust indenture dated November 1, 2023 between the Corporation and the Trustee (the " Indenture"), will be providing notice of early redemption of all of the Corporation's outstanding $3,288,000 aggregate principal amount of 11% convertible unsecured convertible debentures, originally due October 31, 2028 (the " Convertible Debentures"). The Convertible Debentures will be redeemed by the Trustee on August 4, 2025 (the " Redemption Date"), in accordance with the terms of the Indenture. The Convertible Debentures, which are listed and posted for trading on the TSX Venture Exchange (" TSXV") under the symbol LSL.DB, will cease trading on the Redemption Date, in accordance with TSXV policies.
On the Redemption Date, the Trustee will pay holders of Convertible Debentures a redemption price equal to $10.40 for each $10 principal amount of Convertible Debentures (which includes the early repayment premium required pursuant to the Indenture) plus all accrued and unpaid interest up to but excluding the Redemption Date.
Beneficial holders of the Convertible Debentures are encouraged to contact their investment dealer to coordinate the surrender of their Convertible Debentures or if they have any questions about the redemption. No action is required to be taken by holders of the Convertible Debentures in connection with the redemption.

The merger between U.S.-based Bunge and Viterra is now complete, according to a press release from Bunge on Wednesday. 'Today is a defining moment for our company and our global team as we complete this transformative business combination. I'm grateful to our colleagues whose energy, collaboration and commitment brought us to this milestone,' Bunge CEO Greg Heckman said in a statement. Heckman went on to say the two companies will form a stronger organization in the food, feed and fuel sectors. 'Now, we begin the exciting work of bringing our teams and operations together, uniting our strengths to realize the full potential of this combination,' Heckman said. As part of the merger, Heckman will continue to lead the company, while current Viterra CEO David Mattiske will join the Bunge executive leadership group as a Co-Chief Operating Officer. In a message appearing on its own website, Regina-based Viterra said 'as of July 2, Bunge and Viterra combined to become one company. Together, we will play a leading role in the future of the agriculture industry.' The deal was approved by Ottawa in January with several conditions following its initial announcement in 2024. The merger has come under fire from various agricultural groups and the Saskatchewan NDP. The terms include Bunge's selloff of six grain elevators in western Canada, strict and legally binding controls on Bunge's stake in G3 and a price protection program for certain purchasers of canola oil. Additional terms include a commitment for Bunge to invest at least $520 million in Canada over the next five years and retain Viterra's head office in Regina for at least five years. Bay building redevelopment could get $3.4M boost from City of Winnipeg

The redevelopment of the former Hudson's Bay Company building in downtown Winnipeg could get a $3.4-million funding boost from the city. A new report, to be considered by council's executive policy committee next week, calls for funding to make improvements above and below the sidewalks surrounding the building. The Southern Chiefs Organization is in the middle of a $310-million redevelopment of old Hudson's Bay Company building. It's turning the nearly century-old building into a mixed-use development called Wehwehneh Bahgahkinahgohn. The city has already contributed $20.3 million toward the project, including $9.7 million in tax-increment financing and a $10-million grant from the federal housing accelerator fund. Now, city staff recommend giving another $3.4 million in the 2026 budget for streetscaping, including possibly closing a northbound lane of traffic along Memorial Boulevard. Matt Dryburgh, senior manager of economic development and policy, wrote in the report the closure would allow for trees to be planted. "However, further review of the road, land drainage and transit infrastructure considerations are needed to confirm feasibility," Dryburgh wrote. The money would also pay for repairs to areaways — vacant basement spaces that extend out beneath sidewalks. If approved, it would bring the city's total funding to $23.7 million. The funding needs approval from council. The project was originally slated to cost $130 million in 2022, when the Hudson's Bay Company announced the transfer of the six-storey, 655,000-square-foot building at the corner of Portage Avenue and Memorial Boulevard to the SCO, which represents 34 Anishinaabe and Dakota nations in southern Manitoba.
