NORTH VANCOUVER, BC, July 7, 2025 /CNW/ - Hydron Energy Inc. has received the first order for its first of the kind commercial INTRUPTor-Mid biogas upgrading plant. Hydron will manufacture, deliver, and commission the Renewable Natural Gas Plant in eastern Ontario, Canada.

Hydron Energy's Intensified Regenerative Upgrading Platform Technology (INTRUPTor ™) is a disruptive solution that will revolutionize various market sectors within the gas separation and upgrading industries. Hydron Energy has commercialized this platform technology to produce renewable natural gas (RNG) from anaerobic digesters, waste-water treatment plants, and landfills. The INTRUPTor uses a biomimicry process that operates under ambient conditions and significantly simplifies the plant design as well as fabrication requirements. As a result, the INTRUPTor reduces capital and operating costs by up to 50% and delivers 80% lower greenhouse gas emissions compared to other available commercial products.

COPPER GIANT ANNOUNCES PUBLIC OFFERING OF UNITS FOR GROSS PROCEEDS OF UP TO C$5 MILLION

VANCOUVER, BC, July 8, 2025 /CNW/ - Copper Giant Resources Corp. (" Copper Giant" or the " Company") (TSXV: CGNT) (OTCQB: LBCMF) (FRA: 29H0) is pleased to announced that it has entered into an agreement with Red Cloud Securities Inc. (" Red Cloud") to act as lead agent and sole bookrunner, on behalf of a syndicate of agents (the " Agents"), in connection with a "best efforts" public offering (the " Marketed Offering") for the sale of up to 25,000,000 units of the Company (each, a " Unit") at a price of C$0.20 per Unit (the " Offering Price") for aggregate gross proceeds of up to C$5,000,000. Each Unit will consist of one common share in the capital of the Company and one common share purchase warrant (each, a " Warrant"). Each Warrant shall entitle the holder to purchase one common share in the capital of the Company at a price of C$0.28 at any time on or before that date which is 24 months after the Closing Date (as herein defined). The Company has granted to the Agents an option (the " Over-Allotment Option", and together with the Marketed Offering, the " Offering"), exercisable, in whole or in part, at any time for a period of up to 30 days after and including the Closing Date, to sell the number of additional Units equal to up to 15% of the number of Units sold pursuant to the Marketed Offering at the Offering Price to cover over allotments, if any, and for market stabilization purposes. The net proceeds from the Offering will be used by the Company for the exploration and advancement of the Company's Mocoa copper-molybdenum project in southern Colombia as well as for working capital and general corporate purposes. In connection with the Offering, the Company intends to file a prospectus supplement (the " Supplement") to the Company's short form base shelf prospectus dated November 29, 2024 (the " Shelf Prospectus"), with the securities regulatory authorities in each of the provinces and territories of Canada (except Quebec). The Units may also be sold in the United States on a private placement basis pursuant to one or more exemptions from the registration requirements of the United States Securities Act of 1933, as amended (the " U.S. Securities Act") and in such other jurisdictions outside of Canada and the United States, in each case in accordance with all applicable laws provided that no prospectus, registration statement or similar document is required to be filed in such jurisdiction. (Nasdaq: GP) (TSXV: GPV) ("GreenPower" and the "Company"), a leading manufacturer and distributor of all-electric, purpose-built, zero-emission medium and heavy-duty vehicles serving the cargo and delivery market, shuttle and transit space and school bus sector, announces the closing of the fifth tranche of its previously announced secured term loan offering on July 4, 2025 for an aggregate principal amount of U.S. $250,000 (collectively the " Loans"). Please refer to the Company's news release dated May 13, 2025 for more details regarding the term loan offering. In connection with the Loans, the Company entered into respective loan agreements with companies controlled by the CEO and a Director of the Company (the " Lenders"). Management anticipates that the Company will allocate the net proceeds from the Loans towards production costs, supplier payments, payroll and working capital. The Loans are secured with a general security agreement on the assets of the Company subordinated to all senior debt with financial and other institutions and will bear interest of 12% per annum commencing on the date of closing (the " Closing Date") to and including the date all of the Company's indebtedness pursuant to the Loans is paid in full. The term of the Loans will be two years from the Closing Date. As an inducement for the Loan, the Company issued 304,878 non-transferable share purchase warrants (each, a " Loan Bonus Warrant") to one of the Lenders. Each Loan Bonus Warrant entitles the holder to purchase one common share of the Company (each, a " Share") at an exercise price of U.S. $0.41 per Share for a period of twenty-four (24) months from the closing date of the Loan. In addition, one Lender will be issued an aggregate of 60,975 Shares (each a " Loan Bonus Share"). The Lenders are each considered to be a "related party" within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (" MI 61-101") and each of the Loans and issuance of Loan Bonus Warrants and Loan Bonus Shares, as applicable, is considered to be a "related party transaction" within the meaning of MI 61-101 but each is exempt from the formal valuation requirement and minority approval requirements of MI 61-101 by virtue of the exemptions contained in section 5.5(a) and 5.7(a) as the fair market value, in each case, of the Loans, the Loan Bonus Warrants, and the Loan Bonus Shares, as applicable, is not more than 25% of the Company's market capitalization. All securities issued in connection with the Loans will be subject to a statutory hold period of four months plus a day from the closing of the Closing Date in accordance with applicable securities legislation. In addition, GreenPower today provided a quarterly update with respect to the Company's at-the-market equity offering program implemented on March 7, 2025 pursuant to a Sales Agreement (the "Sales Agreement") with Roth Capital Partners, LLC (the "Agent"). For the three months ended June 30, 2025 GreenPower issued a total of 216,007 common shares through the facilities of Nasdaq stock exchange at an average share price of U.S. $0.45 per share for gross proceeds of U.S. $97,964.
