Cigna closes $3.7B sale of Medicare business to HCSC

Cigna has completed the sale of its Medicare businesses to Health Care Service Corporation for a combined transaction value of $3.7 billion, the health insurers announced Wednesday.
The deal gives HCSC Cigna's Medicare Advantage, Medicare prescription drug and Medigap plans, along with CareAllies, a business that helps providers transition to value-based care. In total, it expands HCSC's patients served from 22 million to 26.5 million, according to the company.
As for Cigna, the deal allows the insurer to fully exit a business that's borne the brunt of rising costs and refocus on its core employer-sponsored coverage. Cigna plans to use proceeds from the deal to repurchase shares and invest in its health services and health benefits businesses.
Cigna entered a definitive agreement to sell its Medicare businesses to HCSC in January 2024 for $3.3 billion in cash and $400 million in capital Cigna expected to be freed. The deal received some criticism for undervaluing Cigna's Medicare lives.
The collective $3.7 billion price tag is a decade-plus low water mark for a Medicare book of its size, even if it is currently losing money, TD Cowen analyst Gary Taylor wrote in a note on the deal when it was announced.
Though the Connecticut-based insurer said in a recent securities filing that the initial $3.3 billion purchase price might increase at closing, given the Medicare businesses' assets had grown over their liabilities, that doesn't appear to have been the case. Cigna's announcement on the deal close shared no new terms, and a spokesperson did not respond to a request for comment.
However, Cigna executives have said they're creating a leaner and more focused organization by offloading Medicare, a division that was failing to reach long-term target margins.
Through the divestiture, Cigna is also removing itself from a notably turbulent market, with MA experiencing shifting regulations, lowering payment rates and rising medical costs that have pressured earnings for major carriers.
Cigna was also a relatively minor player in MA, holding about 2% market share with 697,000 members as of February.
And though Cigna will no longer offer Medicare coverage, the insurer has stressed that it's not getting out of the market entirely. Cigna's health services division Evernorth will continue to provide services like pharmacy benefits to other Medicare organizations, according to executives.
The deal is a significant step up for Chicago-based HCSC, a Blue Cross Blue Shield licensee that sells coverage in Illinois, Montana, New Mexico, Oklahoma and Texas. Onboarding Cigna's assets quadruples HCSC's MA membership and gives it access to plans in 25 additional states and Washington, D.C. — not to mention the Medicare Part D market nationwide, and the Medigap market in all but two states.
Cigna reportedly began shopping around for a buyer for its Medicare business late 2023, with HCSC emerging as the frontrunner in early 2024 after Cigna's plans for a potential merger with rival insurer Humana fell through.
Cigna expects the deal to be accretive to its earnings this year.

Under Armour Struggling to Regain Its Swagger Since its founding in 1996, the Baltimore-based company has built its reputation as a leading manufacturer of performance athletic apparel on technical fabric innovations, particularly its moisture-wicking HeatGear and ColdGear products, which cater to athletes across various sports and climates. Last year, founder Kevin Plank returned to the CEO role to spearhead a 'strategic reset' focused on premium brand positioning and operational efficiency improvements. This has included shifting from the previous product-focused approach to a more consumer-centric, category-managed operating model, designed to better serve the needs of athletes. The company's recent Q4 FY2025 results suggest it has yet to get meaningful traction with its turnaround efforts. Revenue declined 11% year-over-year to $1.2 billion, with weakness evident across major markets, as U.S. sales fell 11%, international revenue dropped 13%, and the Asia-Pacific region declined 27%. Weak top-line performance and ongoing restructuring expenses have resulted in the company posting a net loss for the year of $201 million, with an earnings per share loss of $0.47. Evaluating UAA's Valuation and Momentum The stock currently trades near the midpoint of its 52-week range, $4.78 to $11.89. It reached its all-time high in 2015, trading above $50, then cascaded down over the following years, falling to under $5 earlier this year. However, over the past three months, the stock has experienced a notable rise, climbing 27% during that period. Despite the recent price run-up, the stock still trades at a relative discount, with a price-to-sales ratio of 0.61x, compared to 1x for the Consumer Discretionary sector, 2.42x for Nike (NKE), and 1.61x for Adidas (ADDYY). The shares exhibit positive price momentum, trading above most major moving averages (except for the 200-day moving average, though it is closing in on surpassing that level as well). Other technical indicators are neutral-to-bullish. Is UAA a Good Stock to Buy? On Wall Street, UAA stock carries a Hold consensus rating based on four Buy, 13 Hold, and three Sell ratings over the past three months. UAA's average stock price target of $6.84 implies approximately 4.5% downside potential over the next twelve months. Analysts following the company have taken a cautious stance, with many lowering their price targets for the shares. For instance, Goldman Sachs analyst Brooke Roach recently lowered the firm's price target on the shares to $6.50 (from $7) while maintaining a Neutral rating, noting the potential impact of elevated tariff rates. Similarly, Truist's Joseph Civello lowered the price target on Under Armour shares to $7 while reiterating a Hold rating, citing Q1 FY2026 guidance that came in well below expectations. In a research note, the analyst declared himself 'incrementally cautious' about the company's future outlook, with the impact of potential tariffs yet to be resolved. Conversely, Simeon Siegel at BMO Capital kept an Outperform rating on the shares while lowering his price target to $9 (from $12). He observed that Q4 results marked ongoing improvement in gross margins on lower revenue, as management works to turn the business around. He maintains that focusing on improving margins can act as a lever to enhance profitability and drive share growth over time. UAA Stock in Summary Under Armour is undergoing a turnaround effort aimed at regaining brand momentum and strengthening its market position. The company's strategic reset centers on leveraging its core strength in technical performance wear to deliver premium products and stand out in a highly competitive landscape. However, continued revenue declines across all major regions suggest deeper structural issues that won't be resolved quickly. Negative profitability further clouds the path to sustainable cash flow, especially as well-capitalized competitors like Nike and Adidas maintain pressure on market share. While the firm's bold reset has delivered some early signs of progress, reversing persistent revenue losses and restoring profitability remains a formidable challenge. Until Under Armour demonstrates measurable improvement in these key areas, the turnaround is likely to remain stalled. The stock trades at a relative discount, but this valuation appears to reflect market doubts about the company's ability to execute a successful transformation. Analyst price targets indicate limited upside in the near term, given the associated risks. I maintain a Neutral stance on the stock and will look for signs of margin improvement that could support a more constructive view going forward.

Astronomer has hired Gwyneth Paltrow as a "temporary spokesperson" following the social media firestorm that involved two now-former company executives and a Coldplay concert 'kiss cam" last week. Paltrow appeared in a television-style spot on Astronomer's social media on Friday making a pitch for the company's everyday strengths. "Astronomer has gotten a lot of questions over the last few days, and they wanted me to answer the most common ones," said Paltrow, who split with Coldplay singer Chris Martin in 2014. Astronomer made headlines after internet sleuths identified its CEO and chief people officer as the man and woman seen embracing and then hiding their faces on a "kiss cam" at the July 16 concert. Both have since resigned. In the Astronomer video, Paltrow cut off a question that started with "OMG!" to emphatically say, "Yes, Astronomer is the best place to run Apache Airflow." "We've been thrilled so many people have a newfound interest in data workflow automation," she added. She interrupted another question — "How is your social media team holding ..." — to make a pitch for an Astronomer conference in September. CEO Andy Byron resigned on July 19, and Chief People Officer Kristin Cabot followed on Thursday, according to statements from the company. Shares in auto maker Stellantis (STLA) raced higher today as rival Tesla (TSLA) was handed another huge roadblock in the Chinese EV market. The Stellantis leap came on reports that Hangzhou-based EV maker Zhejiang Leapmotor Technology is launching a battery-powered sedan in mainland China. Leap Lower The B01, a midsize sedan, offers features similar to Tesla's Model 3 but reportedly at less than half the price at 89,800 yuan. According to a report in the South China Morning Post, it is understood that Leapmotor, which is backed by Stellantis, also plans to launch the car in global markets at a yet-to-be-decided date. Deliveries to mainland Chinese customers will reportedly begin this month and include five variants with driving ranges from 430 kilometers to 650 kilometers. The top-end model is priced at 119,800 yuan, the report said. Meanwhile, a Tesla-made Model 3 is priced from 235,500 yuan to 339,500 yuan. Tesla's China sales have suffered this year, falling month after month, as it suffered more intense competition from domestic rivals such as BYD (BYDDY). That's important given that a fifth of Tesla revenues come from China – see below. Stellantis Charge China's car market has also been dragged into a price war as companies compete to win over consumers who, hit by a sluggish economy, are reluctant to spend. However, Tesla recorded a 0.8% increase in June, delivering 71,599 units and breaking an eight-month losing streak. Meanwhile, deliveries of Tesla's China-made Model 3 and Model Y autos surged 16.1% compared to May. These figures include vehicles sold both within China and exported to other markets. Tesla is hoping for further growth from its revamped Model Y car. The six-seat sports utility vehicle could be launched in the fall. Reports suggest that the new Model Y will be larger than the current five-seat version and will have a top speed of 201 kilometers an hour. As for Stellantis, known for traditional car brands such as Chrysler, it keeps charging forward in the electric space. It has been reported that starting this September, some South African Stellantis dealers will sell Leapmotor electric vehicles, starting with the C10 SUV. More models are set to follow over the course of 2025 and into 2026. It's much needed if it wants to keep making inroads into the likes of Tesla both in China and elsewhere. As we see below it has underperformed Tesla substantially over the last 12 months.
