MEXICO CITY--(BUSINESS WIRE)--FIBRA Macquarie México ('FIBRA Macquarie') (BMV: FIBRAMQ) announced today by means of the publication of a call notice (the 'Call Notice') that it will hold an ordinary and extraordinary meeting (the 'Meeting') of holders of the real estate trust certificates identified with ticker 'FIBRAMQ 12' (Certificados Bursátiles Fiduciarios Inmobiliarios or 'CBFIs'), on Friday July 18, 2025, at 11:00 am (Mexico City time) at the offices of the Common Representative located at Av. Paseo de la Reforma No. 284, Piso 9, Col. Juárez, Alcaldía Cuauhtémoc, C.P. 06600, Mexico City, to attend the matters set forth in the agenda (the 'Agenda').
As previously disclosed, Macquarie Asset Management México, S.A. de C.V., as manager of FIBRA Macquarie, has been assessing options to address any potential risk to its stakeholders as a result of the issuance by the Financial Crimes Enforcement Network, an agency of the U.S. Department of the Treasury, of a series of orders concerning various Mexican financial entities, including CIBanco, S.A., Institución de Banca Múltiple, FIBRA Macquarie's trustee. This meeting is being called to prudently and efficiently replace, if deemed necessary, FIBRA Macquarie's trustee in order to maintain business continuity and protect the interest of its CBFI holders.
The Agenda of the Ordinary Holders Meeting is:
I. Proposal, discussion and, if applicable, approval to substitute CIBanco, S.A., Institución de Banca Múltiple ('CIBanco'), if so decided by the Manager, as Trustee of the Trust Agreement with a 'Qualified Trustee', which means (i) any of the following financial institutions which provide trustee services: Banco Actinver, S.A., Institución de Banca Múltiple, Grupo Financiero Actinver; Banco Invex, S.A., Institución de Banca Múltiple, Invex Grupo Financiero; HSBC México, S.A., Institución de Banca Múltiple, Grupo Financiero HSBC; BBVA México, S.A., Institución de Banca Múltiple, Grupo Financiero BBVA México; Banco Nacional de México, S.A. Integrante del Grupo Financiero Banamex; or (ii) any such other trustee or financial institution that might be designated or nominated to replace CIBanco by a governmental authority in Mexico derived from, or in connection with, the order issued by the Financial Crimes Enforcement Network, an agency of the U.S. Department of Treasury, on June 25, 2025, or the temporary intervention of CIBanco ordered by the Mexican financial authorities; provided, that such replacement may be implemented by way of removal and appointment of the new trustee or any other legal alternative including the trustee substitution, as well as to instruct the Common Representative and the Trustee, as applicable, to carry out the acts necessary and/or convenient to comply with the foregoing. II. Proposal, discussion and, if applicable, approval to, if applicable, delegate authority to the manager of FIBRA Macquarie to (i) determine whether CIBanco will be replaced as trustee of FIBRA Macquarie, (ii) If applicable, appoint the new trustee within the Qualified Trustee options; (iii) negotiate and execute the agreements, contracts and/or any other actions necessary and/or convenient to implement the substitution of CIBanco as trustee of FIBRA Macquarie, including, without limitation, the substitution agreement and/or any other action, as applicable; and (iv) the authority to carry out potential future substitutions with Qualified Trustees if necessary to comply with any future orders, sanctions or restrictions issued by any governmental agency of the United States of America or of Mexico, as applicable and in such case to negotiate the execution of the agreements, contracts and/or any other acts necessary and/or convenient to implement the replacement of such trustee as trustee of FIBRA Macquarie, including, without limitation, the substitution agreement and/or the corresponding agreement for the transfer of rights and obligations, as applicable, as well as to instruct the Common Representative and the Trustee, as applicable, to carry out the acts necessary and/or convenient to comply with the foregoing. The Agenda of the Extraordinary Holders Meeting is:
III. Proposal, discussion and, if applicable, approval to amend the Trust Agreement, the Global Certificate, and as applicable, other Transaction Documents, in order to allow, among other things, the substitution of CIBanco as Trustee of the Trust Agreement and/or, where applicable, any other act or agreement that may be applicable, as well as to carry out any modifications that may be requested by the substitute Qualified Trustee, pursuant to the provisions set forth in Clause 4.4, paragraph (b), and other related provisions of the Trust Agreement, as well as to instruct the Common Representative and the Trustee, as applicable, to execute the necessary and/or convenient acts in order to comply with the resolutions adopted herein, including, without limitation, to carry out an update of the registration of the CBFIs in the RNV, redeem the Global Certificate before and to execute all documents, procedures, publications and press releases necessary therefore, as requested or instructed by the Manager, if necessary. Attendance and Voting Instructions
Holders that intend to attend the Holders Meeting shall submit no later than the business day prior to the date of such Holders Meeting: (i) the deposit certificate issued by S.D. Indeval Institución para el Depósito de Valores, S.A. de C.V., (ii) the evidence of ownership that for such purposes is issued by the corresponding custodian, if applicable, and (iii) if applicable, the proxy letter duly signed before two witnesses, or the power of attorney for representation at the Holders Meeting granted under applicable law, in the offices of the Common Representative at Av. Paseo de la Reforma No. 284 piso 9, Col. Juárez, C.P. 06600, Mexico City, Mexico, to the attention of Esteban Manuel Serrano Hernández, Ricardo Ramírez Gutiérrez and/or Giovana Cruz Garcia, from 10:00 to 15:00 and from 16:30 to 17:30, from Monday to Friday. You could argue that Applebee's, when it comes to perception of quality, trails behind rivals like Chili's, TGI Fridays, Miller's Ale House, and a few others. It's sort of the bottom rung of the casual sit-down restaurant - vaguely, but not exactly, in the sports bar category. The company has somewhat courted that reputation with its $1 drink and all-you can-eat riblets promotions. A $1 drink mixed in a trash can doesn't seem high-end, and nobody fully knows what a riblet is. That doesn't mean there aren't Applebee's loyalists. It occupies a narrow space where it offers a lot off food that's good enough, along with cheap drinks. The problem is that rivals like Chili's have also staked out value as well as the perception of higher value. Two people getting a solid hamburger, decent fries, and a beer for $20 might strike some people as a better deal than a bottom-shelf margarita and the left-over parts of the pork rib. "Guests remain cautious with their spending, particularly the lower-income guests, and we continue to see check management and trade down to lower priced items," he said. Applebee's - and IHOP, to an extent - offer lower-priced items with higher perceived value. While some chains are not well positioned for a value-based model, IHOP and Applebee's are set up to allow regular customers to trade down. "Across Applebee's and IHOP, the value mix increased versus Q4. At Applebee's, the value mix increased from 28% to 34%. And at IHOP, that mix increased from 16% to 19% due to the rollout, more broadly, of House Faves. Despite this challenging backdrop, sales, traffic, and our development pipeline each improved in March, and that positive momentum continued into April," he said. That's good news for Dine Brands (DIN) , but a warning shot for the broader restaurant business. Consumers want to eat out, but only if they can see and feel the value. Dine Brands also has a secret weapon - dual-branded IHOP and Applebee's locations. These given the chain the ability to present not only perceived value, but a lot of choice. "We're pleased with the performance of our dual-brand concept, and we remain on target for our 14 domestic dual-brand openings this year. Our first domestic dual brand in Seguin, Texas, continues to perform above expectations, doing approximately three times the sales compared to when it was a standalone IHOP," the CEO shared. Life wasn't easy for Dennis Wong after the fall of Saigon. He abandoned his family's noodle business, fled Vietnam, was robbed by pirates and lived in a Malaysian refugee camp for two years before making it to San Francisco. Then he met his future wife, Annie Wong of Hong Kong. Together, they opened a restaurant together on Clement Street: Le Soleil, which would go on to be a treasured Vietnamese staple for over 30 years. Now, the restaurant has expanded with a second San Francisco location in Stonestown Galleria. This newest rendition of Le Soleil also has two more creative forces: the Wong's daughters, Bianca and Kandyce. They grew up working in the original restaurant, and after years of exploring their own passions, they've returned to put a modern spin on the family business. This is the latest example in San Francisco of a second generation stepping in to preserve their family's legacy through food. Last year, New Song Hong Kong in Chinatown reopened following four years of closure, thanks to the efforts of the owners' adult children. In 2022, the son of the Bodega Bistro family — with pandan cocktails and caviar. Bianca and her father teamed up on a new menu for Stonestown that features a mix of classic and contemporary dishes, such as the Blue Shrimp Aguachile, a Mexican-inspired raw shrimp with Thai chile sauce. Her time working at other San Francisco restaurants — the now-closed Farallon, which specialized in seafood, and Abacá, which has gained national attention for its contemporary Filipino cuisine — gave her a different perspective, she said. 'I wanted this menu to reflect who Kandyce and I are as people,' she said. 'We definitely wanted more contemporary things on it, things that felt like it reflected the fact that we grew up in San Francisco where there's just so many cultures.' One of the most ordered items since its opening two weeks ago is the Pho Risotto, a twist on the Vietnamese soup typically made from beef stock. Instead of noodles, the carb of the dish is a creamy risotto, and in lieu of sliced beef, a flavorful beef rib is placed on top along with pickled Fresno peppers. An unexpected highlight is the chimichurri — a bright green, zesty addition whose acidity pairs well with pho's beefiness. Bianca first got inspiration for the dish after a trip to Vietnam with Dennis in 2019. They went out for pho together one morning, and Dennis, speaking in Chinese, went through different ingredients that might be added to the dish. One such ingredient was huángyóu, which Bianca translated as butter — a strange addition to pho, she thought at the time. She decided to try it, playing around with a dish that could combine a carb, broth and butter. Eventually, the pho risotto was born. Earlier this year, when finalizing the dish, she realized she had made a mistake: Although huángyóu indeed can mean butter, it also can mean bone marrow. Dennis meant the latter. 'So that dish really just came because my Chinese is not as good as we thought it was,' Bianca said. The menu also offers a variety of classic Vietnamese dishes, such as Lap Mei, a rice bowl with pork jowl, sausage, vegetables and a runny egg. The signature quail, which is flambéd tableside with rum and served with lemon pepper sauce, is a repeat item menu from the original location. In the next few weeks, the new Le Soleil will also offer a full bar and cocktail menu created by Spencer Vivos, the bar manager of Abacá. There's Vietnamese coffee and egg foam in the espresso martini, and makrut lime leaf and lemongrass in the margarita. If you visit the Stonestown location, whose opening in mid-June attracted guests such as San Francisco Mayor Daniel Lurie, you'll probably see Annie, the matriarch and restaurant designer, greeting guests. Annie designed the first location with limited freedom to customize it, she said. The old space is smaller, darker and more traditional to Vietnamese culture. With 88 seats, she's used this bigger space to create a calm, minimalist atmosphere filled with live trees and flowers, walnut wood and cream walls. Kandyce, who also helps out with front of house, designed the menus and uniforms. The menus feature red accents and a Chinese stamp that translates to 'sun,' and the uniforms come in multiple colors with Le Soleil's classic sun logo. Her designs are inspired by Chinese brush painting, which she did with her sisters growing up. Le Soleil is one of several restaurants that have opened at the Stonestown Galleria in the past few years, increasing traffic to the mall. Other popular businesses include Marugame Udon, YiFang Taiwan Fruit Tea and Kura Revolving Sushi Bar. '[Stonestown] has become kind of like a food hub here, especially for Asian food, and that was just something we wanted to be part of,' Bianca said. With this new edition of Le Soleil, the entire family is able to build on the legacy that Dennis and Annie started over three decades ago. 'I think we all balance each other out a lot, the four of us,' Kandyce said. 'It just makes sense.'
