
Liberty Broadband Corporation Announces Record Date and Distribution Date for Spin-Off of GCI Liberty, Inc.
In the Spin-Off, if all conditions to the Distribution are satisfied or, if permitted, waived as of the Distribution Date, Liberty Broadband will distribute 0.20 of a share of GCI Liberty's Series A GCI Group common stock, Series B GCI Group common stock and Series C GCI Group common stock (collectively, the 'GCI Group common stock') for each whole share of the corresponding series of Liberty Broadband common stock held as of the Record Date by the holder thereof. Cash (with no interest) will be paid in lieu of fractional shares of GCI Group common stock. Immediately following the Spin-Off, GCI Liberty will be an independent publicly traded company and its businesses, assets and liabilities will initially consist of 100% of the outstanding equity interests in GCI, LLC ('GCI') and its subsidiaries.
The completion of the Spin-Off remains subject to satisfaction or, if permitted, waiver of certain conditions, including the receipt of the Regulatory Commission of Alaska's final order approving the transfer of an indirect controlling interest in the GCI Liberty licensee subsidiaries, which Liberty Broadband expects to receive by June 27, 2025. If the conditions to the Distribution are not satisfied or, if permitted, waived by the expected Distribution Date, then Liberty Broadband may defer the Distribution Date. If the Distribution Date is deferred, Liberty Broadband intends to promptly issue a press release and file a Current Report on Form 8-K to report such event.
Trading Information
Liberty Broadband expects that the shares of Series A GCI Group common stock and Series C GCI Group common stock will be listed on the Nasdaq Global Select Market under the ticker symbols 'GLIBA' and 'GLIBK,' respectively, and that the shares of Series B GCI Group common stock will be quoted on the OTC Markets under the symbol 'GLIBB,' in each case, beginning on July 15, 2025. There is no current trading market for GCI Group common stock, although Liberty Broadband expects that a limited market, commonly known as a 'when-issued' trading market, will develop on or shortly before the Record Date, and that 'regular-way' trading of GCI Group common stock will begin on the first trading day after the Distribution is completed. What Wall Street has to say about the horrid June private payrolls report
ADP's latest surprise report was not on anyone's bingo card. Private payrolls fell by 33,000 in June , the company said Wednesday. Economists polled by Dow Jones expected an increase of 100,000. The report marks the first time since March 2023 that ADP reported a contraction in private payrolls. The data took the wind out of the market's sails in early morning trading. S & P 500 futures gave up their slight gains and were slightly lower following the release. Nasdaq-100 futures were also down 0.3%. To be sure, ADP's track record for predicting the U.S. government's monthly jobs report isn't great — giving investors hope that Thursday's June nonfarm numbers payrolls from the Bureau of Labor Statistics won't be as bad as ADP's figures released Wednesday. The economy is expected to have added 110,000 nonfarm payrolls, according to economists polled by Dow Jones. Here's what some Wall Street investors and strategists had to say about Wednesday's ADP figures: Ian Lyngen, head of U.S. rates at BMO: "The negative print was a clear downside surprise versus the +98k consensus. This is the first negative print since March 2023, and second negative print since the early stages of the pandemic. Overall, it was a disappointing jobs proxy that sets up tomorrow's BLS release as a major wildcard." Peter Boockvar, chief investment officer at Bleakley Financial: "I wasn't planning on writing this week but felt the need right now after seeing the ADP private sector jobs report … I'll say again, a blanket 10% tariff on all incoming imports of goods just loaded about $330b of fresh taxes on American importers (yes, some are absorbed by the exporter) which has the effective impact of raising the corporate income tax rate to 34% from 21%." Curis Announces $7.0 Million Registered Direct and Concurrent Private Placement

("Curis") (NASDAQ: CRIS), a biotechnology company focused on the development of emavusertib (CA-4948), an orally available, small molecule IRAK4 inhibitor, today announced that it has entered into a definitive agreement with a combination of existing and new investors for the purchase of 1,538,460 shares ("Shares") of its common stock in a registered direct offering priced at-the-market under Nasdaq rules.
