
Trump tariffs leave UK firms scrambling to renegotiate contracts
A survey of firms with more than 5,000 employees found that 90 per cent fear that President Trump's import duties would hurt their revenues and profits, with businesses looking at a series of ways to manage rising costs.
More than half (55 per cent) said their main tool to deal with tariff threats was to review existing contracts to find savings or renegotiate better terms with break clauses that could account for the imposition of new levies, according to Acertis, which provides contract management software.
Bernadette Bulacan at Icertis said companies' first resort 'to protect margins is to take a critical look at customer and supplier relationships. For many companies, the path to surviving tariff disruption starts not with policy lobbying but with a forensic look at what's already been committed to on paper.'
She said firms were taking measures to include rules of termination and force majeure clauses in contracts to deal with costs caused by tariffs, while also seeking out new suppliers in countries that were not affected by sweeping US levies.
The Trump administration applied a 90-day pause on reciprocal tariffs he had announced on most of the world economy on April 8, which is due to expire in early July. The president has signed a partial tariff deal with the UK, but most British goods will still be subject to a 10 per cent tariff when selling to US markets, raising the average US tariff rate from about 1 per cent last year to more than 6 per cent.
The European Union is also in talks with the White House about avoiding a potential 55 per cent tariff on all its goods exports.

The debate over contractual terms between suppliers and customers is part of a swathe of legal complexities about who should shoulder the cost of import taxes. In April, Howmet Aerospace, an American supplier of components to the sector, declared a force majeure event that would allow it to stop shipments if it remained subject to US tariffs.
Although the full gamut of threatened tariffs has not yet been applied on most countries, recent data has shown a spike in invoice rejections as businesses attempt to delay supplier payments until they have more certainty about US trade policy.
Icertis's survey, which included 1,000 companies across Britain, the United States and India, found that just under half of them were 're-evaluating' where to find suppliers to avoid tariffs, restructuring their supply chains and manufacturing plants, and also considering 'sunsetting relationships that no longer serve under new cost and compliance pressures'.
About 40 per cent of UK firms said they would absorb higher costs into their margins and just over a third said they were planning to raise prices charged to consumers to deal with tariffs.
Bulacan said companies should also consider price adjustment clauses that account for tariff changes. 'In the same way that force majeure clauses changed fundamentally during the pandemic, these clauses could be invoked against new tariffs to prevent potential losses,' she said.

Energy giant plots UK wood-fuelled data centre
Yorkshire could become home to the world's first data centre powered by wood under plans to prolong the life of Drax, the timber-fired electricity generator. Its owners want to build an artificial intelligence (AI) data centre on land next to the power station where it can draw electricity via direct connections to the plant. Drax has been at the heart of years of protests from environmentalists because it is fuelled by burning wood harvested in North American forests and shipped to the UK. It says this makes the power it generates 'renewable' – a claim contested by green groups, which accuse Drax of promoting the destruction of forests. Will Gardiner, the chief executive of Drax, said the power station's current contracts with the Government, under which it has been paid billions of pounds in subsidies, will expire in 2031. As a result, the company is exploring alternative future revenue sources for the company. 'We want to see them renewed because Drax will be essential to the UK's energy security for many years to come,' Mr Gardiner said. 'But we are also looking at building a data centre on some spare land on the same site where it could source reliable green energy from our power station. We are talking to data centre companies ... It's a longer-term project that could be running by the end of the decade.' He said Drax was exploring offering 'power purchase agreements' with data centre operators under which they would get 'renewable' power at a fixed price and could then claim they were environmentally friendly. Mr Gardiner's comments coincided with the company's latest financial results, showing it made a profit of £281m after tax for the first half of this year, down from £463m in the same period last year. Drax is currently crucial to the UK's power supplies. The plant, near Selby, generated around 5pc of the country's electricity in 2024 by burning 6.4 million tonnes of wood, equivalent to 27 million pine trees. The site was initially built as a coal-fired power station in the 1960s and expanded in the 1980s to become the largest coal-fired power station in Western Europe. When coal became controversial, Drax announced in 2012 that it would convert four of its six units to burn biomass. By 2018, the conversion was complete, creating what its owners claimed was the UK's largest renewable energy power station. Last year alone, Drax imported 4.6 million tonnes of wood from the US and another 760,000 tonnes from Canada, with further deliveries coming from Brazil, Latvia and Russia. It has only been able to keep on burning wood by also burning money. It has received £6.5bn of subsidies from the Government since 2002, mostly under the Renewables Obligation Certificate (ROC) scheme – a subsidy whose soaring costs led to it being closed to new entrants eight years ago. Drax's ROC contracts are set to expire in two years' time but will be replaced by another set of subsidies from 2027-31 under which it will receive another £2bn, all paid for by levies on consumer bills.

Rolls-Royce hits turbo speed. Now keep going for a decade
Turbo Tufan strikes again. It's almost becoming predictable. Every time Tufan Erginbilgiç, chief executive of Rolls-Royce, sets 'midterm' financial targets, the aero-engine maker beats them, or looks set to do so, in no time. Back in February, Erginbilgiç was able to declare that the 2027 targets for operating profits would be hit two years early, so he set new ambitions for 2028. Six months on, even the refreshed numbers look conservative. After a strong first-half, Rolls now thinks it will make £3.1bn-£3.2bn of operating profit over the whole of 2025, or about £300m more than previously advertised. At the current rate of rapid progress, it looks a short hop to £3.6bn-£3.9bn in 2028. The shares rose 8% and touched £11 for the first time. Three years ago the price was about £1. A business that required a £2bn rescue rights issue in the pre-vaccine depths of the pandemic in 2020, is now the fifth largest company in the FTSE 100 index and valued at £90bn. Naturally, Erginbilgiç's share-based 'golden hello' has followed in lock-step. To lure him from the private equity sector, he got £7.5m-worth of Rolls shares when they were 91p in January 2023. That package is now worth a cool £90m, albeit locked up in tranches until 2027 and 2028 (a reassuring detail from the point of view of shareholders). The story of how it has been done is well known by now, even if the pace continues to surprise. Erginbilgiç reorganised Rolls' top management, removed a layer of costs, culled wasteful sidelines and, critically, invested in the reliability of the engines to allow a 'win-win' renegotiation of contracts with airlines. Rolls, a company famed for years for falling short on cash generation, is now churning out the stuff. Meanwhile, markets everywhere are helpful. Demand for civil engines has fully recovered from the pandemic. The Aukus submarine partnership, where Rolls supplies the propulsion systems, underpinned the defence side even before Nato governments pledged to spend more on heavy equipment. Even the unloved power systems division has been knocked into shape in time for the age of datacentres that require backup generators. So the next question is whether the news can get any better. Can Erginbilgiç possibly maintain the pace? Well, there are two reasons to take seriously his talk about 'substantial growth prospects beyond the midterm'. One is the bet on small modular reactors, or SMRs. It is still early days but the UK has ordered three and the Czech Republic six, so we will eventually discover whether these scaled-down nuclear plants can be built on time and on budget. If the answer is yes, then possibilities open up. Like the Czechs, the rest of eastern and central Europe probably wants a cost-efficient alternative to Russian gas. Power-hungry 'hyperscale' datacentres in the US represent another set of potential customers. The SMR unit will be 'profitable and cashflow positive by 2030', said Erginbilgiç. Before that date, we may be asking what the operation would be worth as a spunoff, separately listed company – Rolls has a 62% stake at the moment. Rolls is currently exclusively widebody, but its UltraFan development engine is intended to be capable of being adapted for both markets. The enormous costs mean Rolls would need a partner (the City's guess is Pratt & Whitney), a committed airline customer and would probably demand government support. But the narrow market is much larger than the wide one – it could be genuinely transformative for Rolls. A cynical view says something always goes wrong at Rolls sooner or later, which was the experience over a couple of decades of false dawns. If there is a difference this time, it is that the company is finally producing heaps of cash, which is the real measure of success in its business. Don't mess it up: the UK engineering sector needs a reliable world-leader.
