Sebi proposes tougher governance norms for market institutions
The regulator seeks to reinforce the public-interest role of the market infrastructure institutions (MIIs) over their commercial objectives, according to a consultation paper released by the Securities and Exchange Board of India (Sebi) on Tuesday.
'MIIs have seen a rapid increase in investor base and volumes, as well as a growing network of intermediaries associated with them... a significant growth in revenue and profitability, and they enjoy high profit margins,' the regulator noted in its consultation paper.
The proposals focus on three key areas: Sebi recommends the mandatory appointment of two executive directors (EDs) on the boards of MIIs to oversee critical functions such as trading, clearing, settlement, compliance, risk management and investor grievance redressal. These EDs would be designated as key management personnel (KMPs) and hold comparable stature to the managing director (MD). A third ED may be appointed at the institution's discretion for business development. The paper proposes codifying the roles and responsibilities of MDs, EDs and other key officers such as the chief technology officer (CTO) and chief information security officer (CISO). Currently, these responsibilities are either distributed across departments or not formally defined in the regulations. To reduce conflicts and improve accountability, Sebi has proposed restrictions on board roles. MDs of MIIs would only be allowed to serve as non-executive directors in charitable entities or unlisted government companies not engaged in commercial activities. EDs would be allowed to sit only on the boards of MII subsidiaries. This approach mirrors similar restrictions in the banking sector.
'With the surge in retail investors, the underlying concern is that MIIs must not operate without fixed accountability of KMPs. This consultation paper is a step in that direction,' said Diviay Chadha, Partner at Singhania & Co. 'MIIs—regardless of their status under the Companies Act—will be required to amend their charter documents and board composition to comply with the final regulations.'
While the proposals aim to reduce potential conflicts of interest, some experts flagged possible unintended consequences.
'This prohibition on EDs of MIIs from serving on boards of any company, except MII subsidiaries, is necessary in principle to ensure accountability,' said Akshaya Bhansali, Partner at Mindspright Legal. 'However, from a broader market perspective, it may affect the availability of independent directors for listed companies.'
These proposals come at a critical time as Sebi continues to review the National Stock Exchange's (NSE) long-delayed IPO application. NSE's public listing—first proposed in 2016—has faced several regulatory hurdles.
In a letter to NSE dated 28 February, Sebi responded to the exchange's IPO application by stressing that 'the culture of giving primacy to public interest over commercial interest must run deep at the operating level as well.'
Bhansali, however, said, 'These governance changes should not directly influence Sebi's review of the NSE IPO. They are not targeted solely at NSE. However, unless otherwise clarified, these norms could become de facto expectations or preconditions for approval.'
Public comments on the consultation paper are open until 15 July.

New Delhi, Jul 21 (PTI) Markets regulator Sebi on Monday announced that it has allowed Jane Street, the US-based proprietary trading firm accused of market manipulation, to resume trading after the company deposited the mandated Rs 4,843.57 crore in an escrow account. 'In terms of para 62.11 of interim order in the matter of index manipulation by Jane Street group dated July 3, 2025, (interim order), upon compliance with the directions in clause 62.1 (creation of escrow account with a lien marked in favour of Sebi), for an amount of Rs 4,843.57 crore, the directions stipulated in clauses … of the interim order shall cease to apply,' Sebi said in a statement. While lifting the trading restriction, Sebi said the entities involved have been directed to 'cease and desist from directly or indirectly engaging in any fraudulent, manipulative or unfair trade practice', or any activity that might breach existing regulations. This includes trading in securities using any of the patterns identified or mentioned in the interim order. IndiQube Spaces raises Rs 314 crore from anchor investors ahead of IPO
Last Updated: New Delhi, Jul 22 (PTI) Workplace solutions company IndiQube Spaces on Tuesday said it has raised over Rs 314 crore from anchor investors, a day before its initial share-sale opens for public subscription. Among the anchor investors who have been allocated shares are — Aditya Birla Sun Life Mutual Fund (MF), WhiteOak MF, Bandhan MF, Motilal Oswal MF, Edelweiss MF, TOCU Europe III S.A R.L., BNP Paribas Financial Markets, Citigroup Global Markets Mauritius and Societe Generale, according to a circular uploaded on BSE's website. As per the circular, IndiQube Spaces allocated 13,262,658 shares to 29 funds. The shares have been allotted at Rs 237 apiece, aggregating the transaction size to Rs 314.32 crore. The Rs 700-crore IPO of the Bengaluru-based firm will open for public subscription on July 23 and conclude on July 25. The price band has been set at Rs 225 to Rs 237 per share. At the upper end of the price band, the company's valuation is nearly Rs 5,000 crore. The company is raising Rs 650 crore through issuance of fresh issue and promoters would offload shares worth Rs 50 crore under the Offer for Sale (OFS). WestBridge Capital, a key investor in the firm since 2018, is not divesting any stake in the OFS. IndiQube Spaces proposes to utilise the fresh capital to the tune of Rs 462.6 crore towards funding capex for setting up new centres, Rs 93 crore for repayment and rest for general corporate purposes. The company, which was incorporated in 2015, manages a portfolio of 8.40 million sq ft across 115 properties in 15 cities with a total seating capacity of 1,86,719 as of March 2025. This was a growth from 74 centres and 4.94 million Sq ft in March 2023. IndiQube serves 769 clients, out of which 44 per cent clients are Global Capability Centres. The company follows an enterprise-first strategy owing to which 63 per cent of its occupied area comes from clients who have leased over 300 seats. Further, 44 per cent of its revenue is generated from multi centre clients. Its diverse client mix includes Enphase, Myntra, Zerodha, NoBroker, upGrad, Siemens, Juspay, Perfios, Moglix, Ninjacart, Narayana Health and Allegis to name a few. On the financial front, the company reported a total income of Rs 1,103 crore in fiscal 2025, recording a CAGR of 35 per cent from fiscal 2023. The company raised a total of Rs 324 crore in two funding rounds during 2018 and 2022. WestBridge Capital led the investment with Rs 190 crore, followed by Rs 131 crore from the promoters, and the rest came from angel investor Ashish Gupta. ICICI Securities and JM Financial are book-running lead managers to the equity shares are expected to be listed on July 30 on the BSE and NSE.
