Dye & Durham to consider sale, merger in truce with investor Plantro

(Reuters) -Dye & Durham will review strategic alternatives to stabilize its finances and may even consider selling itself, it said on Tuesday, reaching a settlement that avoids a proxy fight with its second-largest investor, Plantro.
The agreement comes less than a month after Plantro, which owns 11% of the Toronto-based Canadian legal software maker, said it was nominating three directors to the board who would push for a sale of the company, and calling for a special shareholders' meeting to vote on the nominees.
Plantro had argued a sale was the only way to realize a control premium for shareholders and restore stability in the business.
Dye & Durham has now agreed to add Plantro-nominee David Danziger to its board of directors. Danziger, who has expertise in audits, accounting, M&A and management consulting, will also chair a newly formed special committee to lead the review.
In return, Plantro has withdrawn its special meeting request.
Dye & Durham said it will not make any further public comments about the review, which could also include potential mergers, recapitalizations and asset sales, until the process has been completed.
In May, Plantro, a company controlled by former Dye & Durham CEO Matthew Proud, asked Dye & Durham to stabilize its executive team, divest its financial services division, and later this year pursue the sale of its remaining core business.

By Marcela Ayres BRASILIA (Reuters) -Brazil's central bank on Tuesday flagged caution over the impact of steeper U.S. trade tariffs, reaffirming its commitment to a policy stance aimed at lowering inflation expectations after signaling interest rates will remain on hold for long. In the minutes from its latest policy meeting, where policymakers paused an aggressive tightening cycle that had increased the benchmark rate by 450 basis points to a near 20-year high of 15%, the bank said that the 50% U.S. levies on goods from Brazil could have "significant" effects on specific sectors. The broader macroeconomic effects remain uncertain and will depend on the course of negotiations and market perceptions of risk, it said. Policymakers emphasized they are closely monitoring potential effects on the real economy and financial markets, and reinforced the central bank's cautious stance in a scenario of heightened uncertainty. They also noted that inflation expectations among many market participants remain above the official 3% target, with no significant changes in longer-term projections, even as implied inflation measures derived from financial assets have declined. "The committee reaffirmed and renewed its commitment to reanchoring expectations and to conducting a monetary policy that supports such a movement," the minutes said. The current scenario "prescribes a significantly contractionary monetary policy for a very prolonged period to ensure the convergence of inflation to the target," it added. While acknowledging clearer signs of moderation in credit markets amid a high-interest rate environment, the central bank said the labor market remained resilient, and said it was "natural" to observe mixed signals at "turning points in the economic cycle." Latin America's largest economy is evolving broadly in line with expectations, said the central bank, with slowing growth seen as necessary to widen the output gap and ensure inflation control.

Canada's condo market has taken a beating recently, but nowhere more so than in the suburbs. Prices in communities surrounding Toronto such as Halton Hills, Ont., have plummeted by more than 50 per cent from their peak, says a report by Moody's Analytics. Brampton, Mississauga and Oakville have also suffered 'significantly' steeper losses than the City of Toronto itself. White Rock, B.C. and West Vancouver have seen peak-to-trough declines of 30 to 40 per cent compared with the national condo price drop of about 8 per cent. 'Given the booming supply, proximity is commanding a premium, and periphery markets are giving back their pandemic gains,' said Brendan LaCerda, director of economic research at Moody's. During COVID-19 lockdowns, prices soared in regions surrounding Toronto and Vancouver, as remote work prompted an exodus from downtown cores. In response, developers built more, and supply boomed, eroding the price premium on suburban condos, said the report. Since Canada's housing market peaked in mid-2022, the performance of multifamily housing markets and that of single-family homes has diverged sharply, said Moody's. Both markets plunged when mortgage rates began to rise, but after bottoming out a year later, the single-family home market has made steady gains, while the multi-family market has suffered further declines. By the first quarter of 2025, condo sales in the Toronto area had dropped 75 per cent from their peak in mid-2022, said Canada Mortgage and Housing Corporation in a separate report. Months of inventory for pre-construction condominiums here hit a record high, 14 times higher than in 2022. Moody's said the outlook in the short run depends on how well the condo market can absorb the new inventory. Pre-construction sales were driven by low interest rates, but as these are reset at a higher rate, distressed borrowers could be forced to sell, putting more pressure on prices.
