A legacy Napa Valley winery has sold. Here's the buyer

A well-regarded, family-owned winery in Napa Valley is changing hands.
Founder Bill Harrison has sold his William Harrison Vineyards & Winery to members of two other long-standing Napa winemaking families: the Clarks, of Amizetta Estate Winery in the Lake Hennessey area, and the Longs, of David Arthur Vineyards on Pritchard Hill. The deal includes William Harrison's nearly 9-acre property on the Silverado Trail in the Rutherford district. A purchase price was not disclosed.
The winery will be renamed William Perry, after two of the new owners, William Edward Clark and Perry Clark. They will be the operating partners, along with Laura Long (with help from their respective spouses Jenny Wagner Clark, Christine Clark and Teddy Bystrowski). After completing some light renovations, the team expects to reopen for tastings in the fall.
Right now, Rutherford 'is absolutely the most coveted area in Napa Valley,' said Compass real estate agent Mary Carpenter, who represented the buyers along with Nick Muccitelli of Vanguard. It's known for its marine sedimentary soils, often called 'Rutherford dust,' that can result in powerful red wines.
'A property like this doesn't happen that often in Rutherford,' Muccitelli said.
In a period of more expansive growth for the wine industry, it might have been snatched up by a moneyed corporation rather than independent families. 'This just shows that even in a state of flux, the winery and vineyard real estate market is full of opportunity,' Muccitelli said.
The Clark brothers had been 'having conversations on and off with Bill (Harrison) for eight years,' said Perry Clark, who is also Amizetta's president. He and his brother, who goes by Eddy, had been looking for a 'valley floor project' and hoped to find something in Rutherford, which Amizetta overlooks from its 1,000-foot-perch at the base of Howell Mountain. After visiting Harrison for a tasting eight years ago, Perry Clark told him, 'If you're ever thinking of selling this place, we'd love to talk.' Harrison said he wasn't interested, but that changed in the last couple of years.

Harrison's family history with wine dates to 16th century Italy. After immigrating to North America, his ancestors established a vineyard in Mexico and later in the Central Valley. In the early '80s, Harrison started one of California's first mobile bottling lines, which allowed wineries that didn't have extensive infrastructure to bottle efficiently.
He bought his Rutherford property in 1986 and built a winery whose façade resembles an old Western saloon. Initially the facility produced wines for Harrison's uncle's Perelli-Minetti Winery, and he made the first vintage of William Harrison wines in 1993. Though the brand has never become one of Napa Valley's best-known names, it has earned a reputation for being well made and age-worthy, thanks in part to longtime consulting winemaker Philip Corallo-Titus, also of Chappellet Winery.
'There's not a whole lot of the old Napa Valley left, and that's what Bill is,' Perry Clark said.
By the time Harrison was ready to sell, Perry and Eddy Clark needed some extra capital. So they enlisted their longtime friend Long, whose father founded David Arthur Vineyards in 1980 (he made his first vintage at Amizetta's winery). Although they are the primary investors, the rest of the Clark family are also shareholders in the new venture.
They plan to bring some 'modern finishes' to the winery, but will keep the bones of the facility intact, with its 35-foot ceilings and old-growth cedar trussing. The building was made from stone quarried across the street on the Silverado Trail, according to Perry Clark.
For the Amizetta and David Arthur sites, both nestled high in the hills, 'the remoteness is the pro, but there's also limitations on access and how much you can produce,' Perry Clark said. 'We wanted the opportunity to have something that's down in the valley, that's more accessible and visible.'

Putin tries to use Moldova to undermine Ukraine and NATO

Russia's foreign intelligence agency recently a c cused NATO of drawing Moldova into 'armed conflict with Russia.' Moscow has also claimed that the tiny nation's intelligence service is cooperating with Ukraine to sabotage its enormous neighbor. These accusations are not new, but rather part of a long-term Kremlin narrative seeking to justify aggression against Moldova. As President Trump puts pressure on Moscow, Russian President Vladimir Putin is searching for new opportunities to challenge Washington. Moldova offers just what he is looking for. The U.S. and its allies should get ready for Russian meddling in Moldova's elections in September. Russia has long interfered in Moldova. It is located squarely between Romania — NATO's eastern flank — and Ukraine's vulnerable underbelly. Having a pro-Russian government there would allow Moscow to menace both Ukraine and NATO simultaneously. Moscow also wants to prevent Moldova from continuing its Western progression and eventual membership in the European Union. We know Putin's playbook. Moldova held presidential elections last fall, which were subject to what the U.S. State Department called 'an unprecedented level of Kremlin interference.' The elections were reportedly marred by widespread vote-buying. pro-Russian oligarch Ilan Shor is alleged to have distributed up to $39 million to about 138,000 voters in a country with a total population of under 2.5 million. When Russia cut gas exports to Moldova after its full-scale invasion of Ukraine in February 2022, gas prices rose seven-fold and overall inflation spiked to 35 percent. Shor's opposition party has also worked to foment unrest against the Moldovan government, magnifying the impacts of Russian energy blackmail. Shor's party took advantage of this economic chaos, organizing demonstrations calling for President Maia Sandu to resign. But these were not spontaneous protests. Shor paid attendees up to 80 euros a night to protest. The average Moldovan makes less than 740 euros per month. The American government has sanctioned Shor for his participation in 'Russia's global influence campaign, which seeks to manipulate the United States and its allies and partners.' Russia uses economic turmoil to enhance its information operations in target countries, seeking to convince the population that Russia is a more dependable ally and economic partner than the U.S. or Europe. It is clear that similar efforts will be used in this fall's parliamentary election campaign in Moldova. Russia's favorite game is unfreezing 'frozen conflicts,' which in this case means in Transnistria, a breakaway region in Moldova economically and militarily supported by Russia. Transnistria is run by pro-Russia leaders who facilitate the Kremlin's broader plan to destabilize and maintain a foothold in Moldova. Russia maintains 1,500 Russian 'peacekeeping' forces in Transnistria, actively threatening Moldova's security. Moldova's president warned in June that Russia could manufacture a crisis in Transnistria as the elections approach. 'If Russia comes to power, Moldova will become a base for hybrid war against the EU,' she said. She accused Russia of 'using' the residents of Transnistria as a means of influencing Moldova. Moldovan Prime Minister Dorin Recean has also warned that Russia is trying to install a pro-Russian government in Moldova that will allow Russia to deploy up to 10,000 troops in Transnistria. He alleges that a 'huge effort to undermine Moldovan democracy' is underway, targeting the upcoming elections. An 'investment' — in other words, bribes — by Russia in the parliamentary elections similar to the one made in the presidential election could go a lot further if used to target vulnerable pro-democracy candidates in competitive districts. These warnings parallel the assessment by Ukrainian President Volodymyr Zelensky that Russia hopes to conquer the Odesa region of Ukraine as a means of threatening Moldova and Romania. Putin is working this issue from both sides of the Moldovan-Ukrainian border. The West can help Moldova protect its democracy, but that requires recognizing how Russia uses hybrid warfare and countering Moscow in its own space, with both offensive and defensive influence operations. First, the U.S. should provide legal and technical assistance to Moldovan authorities investigating illicit financial flows between Russia and pro-Russian parties in Moldova. This can help protect the upcoming elections from Russian meddling. Second, Western countries should conduct their own influence operations to combat Russian disinformation, weaken Russian influence and put Moscow on its back foot. As Trump is negotiating with Putin over a ceasefire on Ukraine, the Kremlin is searching for new avenues to challenge Washington and weaken Brussels. Sowing political mayhem in Moldova is part of that strategy. Trump and his European allies should put Putin on the defensive before September to let the Kremlin know who is the boss. (TSX.V: PEI, OTC: GXRFF) ('Prospera', 'PEI' or the 'Corporation') Operations Update Prospera continues to demonstrate strong operational performance, averaging gross production of 859 boe/d (97% oil) from July 1st to July 23rd. This sustained growth follows the successful completion of numerous projects across the company's properties including well reactivations, rod repairs, sand control upgrades, engine maintenance and tune-ups, lease upgrades, mineral rights acquisitions, coil-tubing cleanouts, and waterflood optimizations. Nine additional wells have come online in the last 10 days and are currently in stages of load fluid recovery or initial optimization. Notably, these figures exclude production from the recently acquired White Tundra Petroleum assets, which remains subject to TSXV acceptance. Comprehensive well-by-well analysis is now being conducted weekly, with production enhancement changes implemented on a daily basis through communication with field operations personnel. Concurrently, Prospera's service rig continues to systematically work through a robust inventory of over 150 remaining workover and reactivation candidates across its heavy oil properties, further enhancing operational efficiency. Prospera's predominantly heavy oil production base continues to operate in favorable pricing conditions with WCS (Western Canadian Select) differentials in an optimal range, contributing to enhanced revenue and cash flow. The Corporation's high netbacks support our strategy to reallocate capital efficiently into high-impact and reliable projects, with 50+ projects now completed and plans finalized for its Q3 and Q4 service rig programs including nine Luseland reactivations that have completed engineering and planning stages. Cuthbert Production at the Cuthbert pool has been rising steadily, averaging 356 boe/d (100% oil) from July 1st to July 23rd. This sustained growth is supported by ongoing waterflood optimization, increased pump speeds, and the completion of critical maintenance across wellsite and battery infrastructure. A high-impact remediation project on the 16-28 HZ well has been successfully completed, involving the installation of a downhole bridge plug to isolate a section of the well previously drilled into coal and water-bearing part of the formation. Additionally, a high-impact remediation project on the 08-02 HZ well has been fully funded and is awaiting mobilization after lease conditions dry up. This project includes a casing cut and cementing to block water production from the heel of the well. Hearts Hill Production at the Hearts Hill pool remains stable, averaging 230 boe/d (91% oil) from July 1st to 23rd. The Corporation is actively advancing waterflood pattern optimization and fluid level drawdown initiatives to enhance reservoir performance. A comprehensive line-by-line review of all pipelines in the area has been completed to confirm injection volumes, validate pipeline integrity, and support the development of a final field reactivation and workover plan. Earlier Sparky zone recompletions continue to deliver consistent oil production, with future Sparky waterflood development held in inventory. Prospera is also actively evaluating uphole recompletion opportunities in the Waseca and Rex zones to further unlock production potential. Luseland The Corporation continues to advance its growth trajectory at the Luseland pool, averaging production of 193 boe/d (100% oil) from July 1st to 23rd. This performance is supported by ongoing workovers, well reactivations, and field optimizations. In the past 10 days, five reactivated wells have been brought online, with two additional wells recently completed under Single Well Battery setups and awaiting start-up. Numerous other wells are currently undergoing optimization, including the installation of recycle pumps, application of sand suspension chemical treatments, increased pump speeds to accelerate fluid drawdown, flushby operations, and well loads to bring sand up the wellbore. These efforts are complemented by various initiatives aimed at reducing operating costs. Prospera's engineering team is focused on well-by-well monitoring of all new reactivations to maximize production rates and enhance reservoir understanding while minimizing well failures and decline rates. Several high-performing Luseland wells are featured in the accompanying Key Wells Report , demonstrating the success of Prospera's strategic focus on revitalizing legacy wells with significant original oil in place (OOIP). By reactivating these assets, the company is effectively converting wells previously classified as No Reserves Associated (NRA) and burdened solely with Asset Retirement Obligations (ARO) into actively producing wells with meaningful Proved Developed Producing (PDP) reserves—resulting in sustainable revenue generation and positive cash flow. Production, Workover Tracker, and Key Wells Report Prospera is enhancing its transparency measures with the publishing of its updated production, workover tracker, and key wells report . Production volumes on each field will continue to be reported on a monthly basis, along with corporate revenue information. A detailed workover tracker will share production rates from all workovers and reactivations completed, with information on capital spend and cumulative production since start-up to be added to the August iteration of this report. Additionally, numerous key wells and their production graphs are explained in detail as the company further proves out its highly capital-efficient workover and reactivation business model. Price Hedging The Corporation is pleased to announce that it has entered into a contract to hedge a portion of its oil production. From September 2025 through February 2026, Prospera has hedged 100 barrels of oil per day at an average price of approximately USD $67.00 per barrel of WTI. This strategic initiative is aimed at providing improved cash flow stability, strengthening corporate governance through proactive risk management, and capitalizing on current favorable market pricing. It represents a disciplined approach to managing commodity price exposure while preserving upside potential across the remainder of PEI's production. Shares for Debt Prospera has entered into agreements with two vendors to settle outstanding trade payables through the issuance of common shares. The first vendor has agreed to settle a total of $28,900.45 through the issuance of 125,000 common shares at a deemed price of $0.231 per share. The second vendor has agreed to settle $7,392.55 through the issuance of 40,000 common shares at a deemed price of $0.185 per share. The shares will be subject to a trading restriction of four months and a day from the date of issuance and are subject to TSXV acceptance. Loan Amendment The Corporation announces a further amendment to its $11,000,000 promissory note, originally dated June 7, 2024, in collaboration with its principal lender. Following previous increases, an additional $2,000,000 has been added, bringing the total principal amount to $18,700,000. The note retains its original terms, including a 12% interest rate and a two-year maturity, with no other changes. The proceeds are earmarked specifically towards production-increasing capital projects. This amendment remains subject to acceptance by the TSXV. Promissory Note Update The Corporation provides an update regarding the previously disclosed one-year secured promissory note on January 9th, 2025. The promissory note component of the offering will now be unsecured. The placement closed with four subscribers, raising aggregate gross proceeds of $900,000. Each unit, priced at $1,000, consists of: (i) a one-year unsecured promissory note with a principal amount of $1,000, carrying a 12% annual interest rate, and (ii) 5,000 common share purchase warrants of the Corporation, exercisable at $0.05 for a period of one year, for a total of 4,500,000 warrants. Subscribers are entitled to a 5% gross overriding royalty (GORR) for every $1,000,000 of principal investment on revenue from all Prospera properties on incremental production above 1,363 barrels per day, calculated on a monthly average until the principal debt is fully repaid.
