Aker ASA: Aker Property Group to Exchange Class B Shares for Class A Shares in Samhällsbyggnadsbolaget i Norden AB

FORNEBU, Norway, May 27, 2025 /PRNewswire/ -- Aker Property Group, a wholly owned subsidiary of Aker ASA, today announces that its wholly owned subsidiary, APG Invest AS ("APG"), has entered into an agreement to exchange 125,038,756 class B shares for 100,923,623 class A shares in Samhällsbyggnadsbolaget i Norden AB (STO: SBB) ("SBB").
The transaction follows the previously announced agreement on May 13, 2025, under which APG acquired 164,561,931 class B-shares in SBB, representing approximately 9.08% of SBB's share capital and 4.44% of the voting rights. Upon completion of the current transaction, APG will hold 100,923,623 class A shares and 39,523,175 class B shares in SBB, corresponding to a total ownership of approximately 7.75% of the share capital and 28.32% of the voting rights.
"This share exchange reflects a step towards taking a more active ownership role in SBB, in line with Aker's strategy and proven method of work. With increased voting rights and eventual board representation, we look forward to working closely with the company's leadership and board to help revitalize the company and strengthen its balance sheet," said Øyvind Eriksen, President and CEO at Aker ASA.
The transaction is expected to be completed around the end of Q2 2025, subject to the receipt of Foreign Direct Investment (FDI) clearances.

Plans for Nordic spa in Edmonton's river valley now official, developers say

Edmonton has been selected as the location of a new spa that promises to make a secluded corner of the city's southwest a destination for cold plunges, steam heat and silent relaxation. The city's first Nordic spa is slated for construction in Brander Gardens, overlooking the North Saskatchewan River. Canadian wellness brand Scandinave Group Inc. has been floating plans to construct the facility on property owned by the University of Alberta Properties Trust known as the Soaring lands. In a joint news release Wednesday, officials with Scandinave Group, along with the provincial government and Travel Alberta, announced that those plans are now official. Steve Arsenault, the company's president and CEO, said the project is moving forward after garnering support from Alberta's Investment and Growth Fund. The spa is now expected to open in the summer of 2028. "Bringing Scandinave Spa to Edmonton is a natural fit with our vision to create unforgettable wellness experiences in iconic destinations," Arsenault said in a statement. "We're proud to be part of Alberta's tourism future and to offer Edmontonians a unique way to unwind, year-round." Nordic spas, known as a Scandinavian spas or thermal spas, are centred around the concept of hydrotherapy where clients gently heat their bodies in saunas or hot tubs before cooling off with a cold bath and repeating the cycle. Scandinave Group Inc. — which has built similar spas in Quebec, Ontario and British Columbia — said the spa will include saunas, steam baths, cold plunges and outdoor relaxation areas. Following a pitch to the City of Edmonton and a series of public consultations, councillors voted unanimously to pass a rezoning application for the project in February, clearing the way for construction. Arsenault said the project is expected to generate approximately $121 million in total economic impact over its first decade of operation while making Edmonton a destination for the growing wellness tourism industry. It's expected to result in 330 temporary jobs during construction and 52 permanent full-time jobs after the spa opens, company officials said. The announcement was lauded by Andrew Boitchenko, Alberta's tourism minister, who said the provincial government is proud to support the new venture. "This landmark project sets the stage for future tourism development, fuelling the growth of our visitor economy by enhancing Edmonton's iconic river valley and promoting Alberta as a premier wellness destination."

Oslo, Norway-headquartered Navamedic has completed its previously announced acquisition of dne pharma's business for Nkr225m ($22m). This acquisition comprises dne pharma's entire business: its product portfolio, key personnel, all vital contracts, intellectual property, distribution agreements and licenses. They will be integrated into the existing commercial platform of Navamedic, aiming to facilitate rapid market access and expansion within Nordic and selected markets in Europe. The acquired products from dne pharma include Ventizolve (intranasal naloxone spray), Levopidon (levomethadone) and Metadon Dne (methadone), which is used for opioid substitution therapy. The initial transaction announced in June 2025 stated a payment of Nkr185m at closing and an additional Nkr40m dependent on future sales volumes. Navamedic CEO Kathrine Gamborg Andreassen stated: "This acquisition represents a significant step in our strategic expansion into the rapidly growing field of addiction treatment and is well aligned with our long-term growth ambitions. 'Thanks to the strong collaboration among all parties involved, the transaction was completed smoothly and efficiently. We are pleased that the General Meeting unanimously approved the rights issue yesterday, and we are sincerely grateful for the continued support of Kistefos and the other underwriters.' To finance the acquisition, Navamedic secured new debt facilities amounting to Nkr110m from Nordea Bank Abp, filial i Norge (Nordea), supplemented by equity raised through a rights issue. A bridge loan provided by Nordea facilitated the prompt completion of the deal ahead of finalising the rights issue proceeds. In arranging this transaction, Navamedic was assisted by DNB Carnegie, part of DNB Bank, and Thommessen for advisory services.
