Mars US$36 billion Kellanova deal waved ahead by US regulator

[SAN FRANCISCO] Mars' US$36 billion takeover of snack maker Kellanova was given the green light by the US Federal Trade Commission (FTC) on the same day European Union regulators opened up a lengthy probe of the deal.
The head of antitrust enforcement at the Washington-based agency said a review of the deal found that it 'does not meet the standard for an anticompetitive merger'.
'Commission staff closely reviewed every aspect of this transaction, including both specific product markets and potential portfolio effects from the acquisition,' Daniel Guarnera said on Wednesday (Jun 25). 'They turned over every stone needed to arrive at a robust assessment of the likely competitive effects of this transaction.'
Earlier in the day, the European Union opened an in-depth investigation over concerns that the largest packaged-food deal in almost a decade could thwart competition. In the takeover, Mars, known for its chocolate, will get a number of snack brands, including Pringles chips.
The deal will allow Mars to add 'several very popular brands of potato chips and cereals to its already broad and strong product portfolio', the EU's antitrust chief Teresa Ribera said. The probe 'will assess the transaction's impact on the price of these companies' products for consumers'.
The companies have now secured regulatory approval in 27 out of 28 jurisdictions with no asset sales or other changes to their business, and expect to close the deal 'towards the end of 2025', Mars chief executive officer Poul Weihrauch said in a statement.
Announced last August, the deal will help closely held Mars diversify its chocolate-heavy portfolio away from cocoa, whose prices have risen to historic levels. Kellanova itself has fared better than most of its competitors with a string of strong earnings since it spun off its cereal business as WK Kellogg.
In his statement, Guarnera said the companies sell different products in other countries, including breakfast cereal sold by Kellanova in Europe that it does not sell in the US.
'The Trump-Vance FTC takes an America First approach to antitrust enforcement,' Guarnera said. 'Our job is to determine whether there is a violation of American law that we can prove in court. And once we have concluded there is not, our job is to get out of the way.' BLOOMBERG

[HONG KONG] US-based infrastructure investment firm I Squared Capital has withdrawn plans to make a takeover offer for Hong Kong's HKBN, the broadband operator said on Monday (Jun 30), as a competing bid backed by a state-owned entity takes centre stage. The announcement comes over a month after Reuters reported that China Mobile was nearing a deal to take over HKBN with I Squared having dropped out. I Squared already owns Hong Kong-based broadband provider HGC Global Communications, in which China Investment Corp holds a minority stake. However, the Miami-based firm has so far been unable to secure approval from the Chinese sovereign wealth fund to proceed with a formal bid for HKBN, according to the Reuters report. Rival suitor China Mobile built a 15.5 per cent stake in HKBN from buyout company TPG and has offered HK$7.8 billion (S$1.3 billion) for the broadband firm. I Squared was preparing to trump China Mobile's offer of HK$5.23 per HKBN share, which was made in December, but was not keen to pay more than HK$6 apiece, Reuters reported in January. 'Despite the HKBN CEO's comments that the China Mobile offer is not good enough, China Mobile has no pressing need to bump if a competing offer fails to materialise,' Smartkarma's Arun George said in a note before HKBN's announcement on Monday. 'I am not offering Iran ANYTHING, unlike Obama,' Mr Trump wrote on his Truth Social platform. 'Nor am I even talking to them since we totally OBLITERATED their Nuclear Facilities.' The statement comes as Iran's deputy foreign minister told the BBC that talks between Washington and Tehran cannot resume unless the US rules out further strikes on Iran. Mr Majid Takht-Ravanchi told the British broadcaster that the US had signalled it wants to return to the negotiating table, a week after it struck three Iranian nuclear facilities. 'We have not agreed to any date, we have not agreed to the modality,' said Mr Takht-Ravanchi. 'Right now we are seeking an answer to this question. Are we going to see a repetition of an act of aggression while we are engaging in dialogue?' The US needs to be 'quite clear on this very important question', he said. The two countries were in talks over Tehran's nuclear programme when Israel hit Iranian nuclear sites and military infrastructure in June , with the US joining by bombing three nuclear sites – Fordow, Natanz and Isfahan – on June 21. The deputy minister revealed to the BBC that the US had signalled it did 'not want to engage in regime change' by targeting Supreme Leader Ayatollah Ali Khamenei. Israel claims that Iran's nuclear programme is close to producing a bomb, whereas Tehran says it is for peaceful purposes. It is not clear yet how much damage the strikes inflicted on Iran's nuclear facilities, which Mr Trump has said were 'totally obliterated'. UN nuclear watchdog chief Rafael Grossi said Iran would probably be able to begin to produce enriched uranium 'in a matter of months'. Mr Takht-Ravanchi said he did not know how long it would take. Under a 2015 deal, Iran was allowed to enrich uranium below 3.67 per cent purity for fuel for commercial nuclear power plants. Mr Trump abandoned the agreement in 2018 and Iran responded by producing uranium enriched to 60 percent – above levels for civilian usage but still below weapons grade. China sticks to stainless-steel levies despite Indonesia pain

[BEIJING] China will press on with levy anti-dumping duties on imports of stainless-steel products, including from Indonesia, as it seeks to protect a domestic industry battered by persistent oversupply and trade uncertainty. Some traders and industry executives had expressed hopes the world's largest metal consumer would reconsider its tariffs, particularly for Indonesia, given the role that Chinese companies have played in expanding the nickel and stainless steel production in Indonesia, today among the top suppliers of both. Beijing, however, has now ruled that lifting the measures would risk hurting its industry at home, according to a statement posted on the commerce ministry website on Monday (Jun 30). The levies – which cover stainless steel billet and hot-rolled coil from the European Union, the UK, South Korea and Indonesia – will remain in place for another five years. When they were introduced in July 2019, China's tariffs surprised the industry, given almost all stainless steel products from Indonesia in particular come from local ventures of large Chinese companies including Tsingshan Holding Group. Together, the two nations produce close to three-quarters of the world's stainless steel. But China's slowing economy has hit demand, and both countries are threatened by the Trump administration's aggressive tariff policies. Both nickel traded on the London Metal Exchange and stainless steel in Shanghai hit their five-year lows earlier this year amid sluggish demand and squeezed production margins. Tsingshan has been compelled to start suspending some stainless steel production at the Indonesia Morowali Industrial Park on the island of Sulawesi. The levies on Indonesian producers will remain unchanged at 20.2 per cent, China's statement said. The trade ministry also kept a 43 per cent duty on all stainless-steel products from EU and UK companies and 103.1 per cent for most South Korean companies, according to the statement. Levies on products by Posco Holdings, which has a price commitment with the Chinese government, will be kept at 23.1 per cent. In the domestic stainless market, privately owned Tsingshan and rival Jiangsu Delong Nickel Industry complete with state-owned titan China Baowu Steel Group. BLOOMBERG
