Less than 2 years after Flexport bought Convoy's tech stack, it's being sold to DAT

The tech stack that was at the heart of now-defunct digital brokerage Convoy is on the move again, being sold to DAT in a move seen as significantly broadening that company's value proposition in the freight market.
Freight forwarder Flexport, which acquired the tech stack from the remnants of Convoy less than two years ago, said Monday it is selling the product to DAT.
When a company retreats from something it bought quickly, it is often a sign of defeat. (An old reference certainly, but the deal by Quaker Oats (NYSE: PEP) in the 90's to buy beverage maker Snapple for $1.4 billion, only to sell it back to its original owners three years later for $300 million, is considered the ultimate example of that sort of humbling failure).
There is no sign that is the case with the quick flip of the Convoy tech stack.
Ryan Petersen, the CEO of Flexport, said the return on the sale of the Convoy tech 'puts Flexport in an awesome place financially.' When Flexport purchased the Convoy tech stack in late 2023, the price on the transaction was reportedly $16 million, though neither company confirmed that price. The sale to DAT reportedly was made at a price near $250 million, though the companies declined to disclose the sales price.
Besides the strong return on investment, Petersen, in a joint interview with DAT's CEO Jeff Clementz, said the presence of a powerful technology tool serving brokers that is supposed to be neutral could often complicate Flexport's primary business of freight forwarding.
Neutral might not be neutral
'What we realized is that a neutral platform is not neutral,' Petersen said. 'We have a brokerage. We're a massive freight forwarding company.' The combination, he said, raised questions in the industry whether the Convoy platform truly could be seen as neutral.
It's not the first time a company in the freight tech world has wrestled with the issue. When what is now Triumph Financial (NASDAQ: TFIN) bought HubTran to serve as an open loop auditing system for brokers and factoring companies, Triumph's management took great pains, repeatedly, to stress that its traditional factoring business could not get an inside look at what its factoring competitors who were using the legacy HubTran platform were doing.
Petersen noted that the digital brokerage business that came with its 2023 acquisition of the Convoy tech stack will remain with Flexport. It processes about 100,000 loads per year, he said, 98% of which are completed with no human involvement.
It will also continue to use the Convoy system even though it will now be owned by DAT, according to Petersen. 'On day one, we will be their biggest customer and we hope to continue to be their biggest customer,' he said.
A widening range of offerings from DAT
For DAT, the purchase is possibly transformative. In the past several months, besides promoting Clementz to CEO, it has purchased visibility provider Trucker Tools and payments platform Outgo. (Clementz said DAT did not pursue an acquisition of the Convoy tech stack when it was first offered for sale as part of the Convoy bankruptcy).
With the purchase of the Convoy tech stack, it has now vastly increased its range of offerings to the freight sector with capabilities that have moved well beyond its traditional load board.
Clementz, in his interview with FreightWaves, laid out what might be considered the three segments of how loads are offered into the market. About 50% of broker loads, he said, get moved through a broker's private network. But after that, he said, 'you might go to other load boards,' adding that DAT is the 'backstop you need to go to, ultimately, especially in the last 24 to 48 hours.'
If brokers choose to use their private network, Clementz said, that also may come with a decision to put the load on what will now be DAT's Convoy platform, 'because I don't have to touch it. And if it all works, fantastic. If not, then I'll intervene and I'll work it through the load board.'
Ultimately, he said, DAT believes the Convoy platform, with its power of automation to get shipper and carrier together, will be the first place that loads will be placed.
But from there, Clementz said, if a match isn't made it can 'waterfall' down to the DAT platform.
'We think we can go directly from the shipper to the TMS (transportation management system) and into the Convoy platform directly and then move to the load board,' Clementz said. The Convoy tech team–which is coming over to DAT in the deal–already has been working with TMS providers to have loads in a TMS populate into the Convoy platform automatically.
Load board will continue to be dominant for awhile
But change isn't overnight. 'We actually think the load board will be the primary use case for quite a long time,' Clementz said.
Fraud prevention is expected to be a major selling point of the broader DAT product offering, Clementz said. DAT already was set to launch a fraud management solution before the deal with Flexport.
But the Convoy system long had been admired for its own fraud prevention tools, Clementz said. Building it into the DAT platform on top of its own capabilities 'will really make DAT the safest platform,' he added.
There will be no upfront fees for DAT users to sign up to use the Convoy platform, Clementz said. Fees will be transactional, so a DAT user can access the Convoy system with no payments unless a transaction is completed.
But that fact also is a driver to the deal, according to Clementz. Bringing in new users on to the system has an extremely low customer acquisition cost, which often goes by the acronym CAC, and that may slow some early adoption, he added.
'I think we will have more demand than we can handle for onboarding, so we'll probably have to create a wait list because there's no cost to sign up for this,' Clementz said. 'It will take time for us to integrate accounts, set them up and get them going.'
DAT is a unit of publicly-traded Roper Technologies. (NASDAQ: ROP) In the company's latest conference call with analysts, president and CEO Laurence Hunn said DAT's financial performance in the second quarter 'was solid…and had strong (average revenue per unit improvements).' DAT data is not broken out separately in the Roper earnings.
Hunn also said DAT had made 'significant progress' integrating Trucker Tools into its system.

In international trade, one of the best-kept secrets is also the most expensive: over $10 billion in refundable tariffs goes unclaimed each year. Despite being legally entitled to recover these funds, companies fail to file duty drawback claims on an estimated 78% to 85% of eligible transactions. Enter a new wave of AI-powered trade management companies that have collectively raised tens of millions in venture capital over the past eighteen months. The latest of these is Caspian, which just emerged from stealth with $5.4 million in seed funding led by Primary Venture Partners. The San Francisco-based company, founded by ex-Flexport engineers Justin Sherlock and Matt Ebeweber, focuses specifically on duty drawback—the process of reclaiming tariffs paid on imported goods that are later re-exported. What sets the newcomers apart is their AI-first approach and, in e.g. Caspian's case, its rare distinction as both a licensed customs broker and CBP-approved technology vendor—a regulatory combination that allows it to file claims directly with customs authorities, similar to established players like J.M. Rodgers Co. but with modern automation capabilities. The Trump Factor: Tariffs as Business Reality The stakes have never been higher. President Trump's renewed focus on tariffs has dramatically increased the amounts businesses pay in duties, making recovery programs more valuable than ever. New reciprocal tariffs that went into effect earlier this year — with new deals rolling in — add an additional 10 percent ad valorem duty on most imported goods, creating fresh opportunities for drawback claims. This environment has forced businesses to reconsider their trade strategies. 'Centralizing this data and executing these cost savings so quickly is a game-changer for our margins and inventory planning,' said Jim Franz, President, North America at UltiMaker, a Netherlands-based manufacturer of 3D printers that uses Caspian. The AI Promise and Its Limits There is a broader trend toward using artificial intelligence to automate traditionally manual financial processes, while companies like focus on preventing compliance issues through better data classification and documentation, companies like Caspian lean towards AI. Both approaches promise significant time savings—Caspian claims to submit duty drawback claims in days rather than months, while automates customs clearance procedures that traditionally require extensive manual review. This tension between automation and expertise reflects a broader challenge facing the entire venture-backed trade tech sector. Yet they must navigate the same fundamental challenge that has allowed established players like J.M. Rodgers Co. and TecEx to maintain high recovery rates: trade regulations that require nuanced interpretation. The competitive benchmarks are daunting. Traditional providers like J.M. Rodgers and Alliance Drawback Services claim recovery rates of up to 99% of duties, with the ability to file retroactive claims up to three to five years prior. For venture-backed startups to succeed, they must not only match these recovery rates but do so while offering superior user experience and faster processing times. Market Dynamics and Consolidation Pressure The influx of venture capital into trade technology suggests investors believe the market is ripe for disruption. Primary Venture Partners' Emily Man frames it as creating an entirely new software vertical: "tariff management." However, the market faces natural consolidation pressures. Large enterprises often prefer working with established customs brokers who handle their full trade compliance needs rather than point solutions. Companies had a lower bar to clear coming into the quarter, as analysts tempered their expectations amid President Trump's tariffs, stocks' lofty valuations, and uncertainty about the health of the US economy. This week, investors will be treated to another flurry of quarterly results from Big Tech companies, including Microsoft (MSFT), Apple (AAPL), Meta (META), and Amazon (AMZN). This week's reports also include updates from Spotify (SPOT), Ford (F), Procter & Gamble (PG), Boeing (BA), Starbucks (SBUX), and Qualcomm (QCOM), among others. Data from FactSet published Friday showed that with 34% of the index having reported results, analysts expect S&P 500 companies to report a 5.6% jump in earnings per share during the second quarter. Heading into the quarter, analysts expected S&P 500 earnings to rise 5% in Q2, which would mark the slowest pace of earnings growth since the fourth quarter of 2023. Spotify stock sinks after Q2 earnings miss Spotify (SPOT) shares fell as much as 10% in early premarket trading Tuesday after the audio streamer missed second quarter earnings and revenue expectations. The results follow a remarkable 120% rally over the past year, as the stock rebounded from 2022 lows on the back of price hikes, cost cuts, and investor enthusiasm for AI and advertising. Spotify hit a record high of $738.45 earlier this month, but shares slid to around $635 immediately following the results. Spotify reported second quarter revenue of €4.19 billion ($4.86 billion), missing analyst expectations of €4.27 billion, though up from €3.81 billion in the same period last year. The company posted an adjusted loss of €0.42 ($0.49) per share, sharply missing forecasts for a profit of €1.97 and down from earnings of €1.33 in Q2 2024. "Outsized currency movements during the quarter impacted reported revenue by €104 million vs. guidance," the company said in the earnings release. The Michigan-based maker of washers and dryers reported diluted earnings of $1.17 per share on net sales of $3.7 billion. Wall Street was expecting earnings of $1.58 per share on net sales of $3.8 billion. Investors have been watching Whirlpool, which manufactures most of its appliances in the US, as a potential winner from President Trump's tariffs. However, the company hasn't seen the benefits of Trump's policies yet. In fact, retailers front-running expected tariffs appeared to weigh on the company's second quarter results. "As expected, the second quarter continued to be impacted by competitors stockpiling Asian imports into the U.S.," the company said in the earnings release. We are confident in our long-term strategy and believe that evolving tariff policies will ultimately support domestic manufacturers." Whirlpool also cut its full-year guidance to $6 to $8 a share (previously it was $10 a share) and recommended slashing its quarterly dividend to $0.90 per share from $1.75 per share. Waste Management beats on revenue, earnings Waste Management (WM) reported earnings and revenue that beat Wall Street expectations, sending the shares marginally higher in after-hours trading. Earnings per share of $1.92 were ahead of estimates for earnings of $1.90 per share, while revenue of $6.43 billion exceeded estimates of $6.35 billion, per S&P Global Market Intelligence. "Our second quarter results are a strong demonstration of our progress on all fronts," WM CEO Jim Fish said in a release. "Our Collection and Disposal business produced robust organic revenue growth and margin expansion, achieving the Company's best-ever operating expense margin." Waste Management stock rose 0.7% following the results. Tilray stock sinks after earnings Tilray stock (TLRY) reversed gains, sinking over 6% after hours after the Canadian cannabis company posted mixed quarterly results. Net revenue was $224.5 million in the fourth quarter compared to $229.9 million in the same period a year ago and $233 million estimated, per S&P Global Market Intelligence. Tilray posted adjusted earnings of $0.02 per share, compared to expectations for flat profitability.
