NCLAT directs NCLT to promptly decide stay on EoI for Jaiprakash Power, Jaypee Fertilisers

to promptly decide on the stay of the process of inviting
Expression of Interest
(EOI) regarding two Jaiprakash Associates group's investments in
Jaiprakash Power
Venture and Jaypee Fertilisers & Industry. In an order on April 29, 2025, the Allahabad bench of the National Company Law Tribunal stayed the process of inviting EoI by the Resolution Professional of debt-ridden Jaiprakash Associates Ltd (JAL), which is currently going through the
Corporate Insolvency Resolution Process
(CIRP).
This order was immediately challenged by the National Asset Reconstruction Company Ltd (NARCL), which is the assignee of 85 per cent of debts of the banks to JAL and the Resolution Professional (RP), before the National Company Law Appellate Tribunal.
However, a three-member bench of the
NCLAT
, led by Chairperson Justice Ashok Bhushan, observed that the matter is already scheduled for hearing before the Allahabad bench on May 26, 2025, hence it directed it to consider the reply filed by the lenders' body CoC (Committee of Creditors) and RP.
"The application having been fixed for May 26, 2025, we request the Adjudicating Authority (NCLT) to consider the application as well as the reply submitted by the RP and CoC to take a decision with regard to further process without being influenced by any observation made in the impugned order," the National Company Law Appellate Tribunal (NCLAT) said in its order passed on May 20.
"Looking to the facts that CIRP is a time-bound process, the Adjudicating Authority (NCLT) shall endeavour to dispose of the application on the date fixed or as early as possible," it said.
The NCLAT also asked Sunil Kumar Sharma, the suspended director of JAL, on whose plea the NCLT stayed the process of EoI, to file a rejoinder, if any, and mentioned that it has "not expressed any opinion on the respective submissions" of the parties before it.
The appellate tribunal was hearing appeals filed by the National Asset Reconstruction Company Ltd (NARCL) and Resolution Professional (RP), challenging the status quo granted by the NCLT on the issuance of EoI.
Under the Insolvency & Bankruptcy Code, RP issues EoIs for companies under CIRP, to invite potential resolution applicants to submit their resolution plans for the debt-ridden company.
On April 29, 2025, though the NCLT issued notice to the resolution professional of JAL, it also directed to stay the process of inviting bids for Jaiprakash Power Ventures and Jaypee Fertilizers.
"Meanwhile, with regard to the relief sought by the Applicant to issue ex-parte ad-interim stay on inviting EOI as resolved by the Committee of Creditors in the 11th meeting of the Committee of Creditors for the sale of investment of Corporate Debtor in Jaiprakash Power Ventures Limited (JPVL) and Jaypee Fertilizers & Industries Limited and/or Kanpur Fertilizers & Chemicals Limited (JFIL/KFCL), the status quo deserves to be maintained till further order," the NCLAT had said.
NARCL submitted before the appellate tribunal that the NCLT has not given any reasons in the impugned order for passing the order of status quo whereas reasons, if any, were only for issuing notice.
It contended that there have to be reasons for passing an interim order, including irreparable loss, balance of convenience and prima facie case for passing of an interim order, which has the effect of staying the process of CIRP (Corporate Insolvency Resolution Process), which is a time-bound process.
Sunil Kumar Sharma has submitted that NCLT had raised concerns regarding the process to invite bids for the sale of certain investments, citing the proposed sale being premature, lacking transparency, and risking prejudice to the stakeholders' interests.
The applicant had pointed out the failure to consider existing encumbrances, proper valuation, and the need for prior CoC approval, emphasising that any asset sale must ensure maximum realisation and legal compliance governing the CIRP process. However, despite his objection, RP convened a CoC meeting.
Investments of JAL in Jaiprakash Power Ventures are encumbered, while investments in Jaypee Fertilisers & Industry are unencumbered.
Sharma further submitted that there are certain mandatory preconditions under the IBC to be fulfilled for a valid sale, which include the sale must pertain to unencumbered assets, there must be a formed opinion that such a sale is necessary for better realisation of value under the circumstances; the book value of all assets sold during the CIRP must not exceed 10 per cent of the total admitted claims.

"The tribunal has also acknowledged the dual regulatory space-corporate insolvency under the IBC and fraud classification under the Reserve Bank of India's 2016 Master Directions on Frauds," said Vidhani. Kolkata, Jul 13 (PTI) The West Bengal Power Development Corporation Ltd (WBPDCL) is hopeful of finalising the appointment of a mine developer and operator (MDO) soon for underground mining at the mega Deocha Pachami coal block in Birbhum district, with six companies, including one from Poland, already expressing interest through a global tender process, a senior official said. WBPDCL Director (Mining) Chanchal Goswami said the EoI was part of the broader global tender floated on December 20, 2024, along with the geological report and draft notice inviting tender (NIT). 'We are working with these six bidders to take forward the tendering process, with India's leading underground mining firms, and a Polish major, participating,' he said. The list of bidders who have shown initial interest includes JMS Mining Pvt Ltd, Gainwell Commosales Pvt Ltd, Minop Innovative Technologies Pvt Ltd, Minsol Ltd, Maheshwari Mining Pvt Ltd, and JSW SA, the largest underground coal mining company in Poland. 'In parallel, we are also awaiting the expert study report from the National Institute of Rock Mechanics (NIRM), Bengaluru, given the complex geological challenges at Deocha Pachami. The coal seams are overlaid by thick basalt rock layers, and the NIRM report will help us finalise the mining strategy,' Salim said. The Deocha Pachami coal block, estimated to hold 1,000 to 1,200 million tonnes of reserves, is considered among the largest in the world. However, its development has been delayed due to land acquisition issues, environmental sensitivities, and the site's challenging geology, including a hard basalt overburden ranging from 100 to 200 metres and fault lines. 'Underground mining is the only viable option for Deocha Pachami given the land acquisition constraints. WBPDCL will also prepare a parallel detailed project report (DPR) to validate the project framework, with assistance from CMPDI,' another official said. Despite market scepticism over private sector participation in underground mining due to high technical risks and capital requirements, WBPDCL's recent pilot project for basalt rock removal has attracted strong interest. 'Basalt rock extraction has already begun. The government started bidding with a 15 per cent revenue share, but it went up to 71.5 per cent — this was unimaginable,' the official said. The pilot project commenced after a ceremonial 'bhoomi puja' in February 2025. It spans an initial 12 acres, with plans to expand to 326 acres. Meanwhile, the tender process has attracted scrutiny, with the CPI(M) demanding a judicial probe into the ballast mining contracts, citing concerns over transparency. Separately, the state government is exploring underground coal gasification for around 30 per cent of the block where conventional mining may not be feasible. The remaining 70 per cent is planned to be developed through a mix of underground and opencast mining, wherever possible. The success of the basalt extraction has provided fresh momentum for advancing Deocha Pachami's underground coal development, which is seen as crucial to West Bengal's future energy security and industrial growth, officials said. In comparison, the BSE Sensex was down 0.54 per cent at 82,057 at 01:14 PM. The stock price of the smallcap power generation company was trading at its highest level since May 2013. In the past seven trading days, the stock appreciated by 44 per cent from a level of ₹18.67 on July 3, 2025. It has more-than-doubled or zoomed 113 per cent from its 52-week low of ₹12.6 touched on May 7, 2025. The average trading volumes at the counter jumped over 2-fold. A combined 681 million shares representing 10 per cent of total equity of JP Power changed hands on the NSE (604 million) and BSE (77 million). The Gautam Adani-led group is leading the race to acquire the infrastructure developer, with an immediate cash payout of ₹3,500 crore. The group's offer also includes retaining ₹890 crore within the company after its acquisition and potentially absorbing ₹2,600 crore from the disputed Yamuna Expressway Industrial Development Authority (YEIDA) land. The agency does not expect JAL's CRIP to have a material impact on JPVL's balance sheet; however, the outcome of the same shall remain a key monitorable for the agency. JP Power plans to incur capex of ₹1,500 crore over FY25-FY27 for the installation of flue-gas desulfurization (FGD) unit at Nigrie and Bina thermal power plants and ₹760 crore towards Bandha North coal mine over FY25-FY29. The capex is likely to be funded by internal accruals. The company's ability to execute both the capex projects with internal accruals shall remain a key monitorable, Ind-Ra said in January 2025 rating rationale. JP Power in its FY25 annual report said that the Indian power sector in FY2024-25 presents a multitude of opportunities driven by increasing energy demand, rapid technological advancements, and strong government support for clean energy transition. With the country's peak power demand reaching a record 250 GW, the need for capacity expansion creates significant investment opportunities, particularly in renewable energy.
