Optiva Inc. enters into Support Agreement with Holders of Approximately 85% of Outstanding Senior Secured Notes to Provide 45-Day Period to Continue Negotiations with Noteholders and Third Parties regarding a Potential Transaction

TORONTO, July 18, 2025 (GLOBE NEWSWIRE) — Optiva Inc. (TSX: OPT) ('Optiva' or the 'Company'), a leader in powering the telecom industry with cloud-native billing, charging and revenue management software on private and public clouds, today announced that it has entered into a support agreement (the 'Support Agreement') with holders ('Noteholders') of approximately 85% of its outstanding principal amount of 9.75% senior secured PIK toggle notes due July 20, 2025 (the 'Notes'). The Support Agreement provides a 45-day grace period (the 'Grace Period') to allow Optiva's special committee of independent directors to conclude negotiations with Noteholders and prospective merger counterparties regarding a Potential Transaction. During the Grace Period, Noteholders who are parties to the Support Agreement have agreed to forbear from exercising any of their rights or remedies in connection with any payment default occurring on the scheduled maturity of the Notes on July 20, 2025 (the 'Forbearance'). This Grace Period may be extended at the election of the Noteholders. Optiva will continue to operate in the ordinary course, upholding its commitments to customers, employees and suppliers. In addition to the Forbearance, the Company has sufficient near-term liquidity, with approximately $12 million cash on hand as of July 13, 2025, to ensure business continuity and the ability to meet its ordinary course financial commitments, including, without limitation, to its customers, employees and suppliers, as it continues to pursue a Potential Transaction. Based on the proposals received to date, Optiva common shareholders are expected to receive nominal consideration for their shares in connection with any Potential Transaction. In connection with the Support Agreement and Forbearance, the repayment of (i) approximately $108.6 million principal amount due on maturity of the Notes on July 20, 2025, and (ii) approximately $5.2 million in accrued interest will no longer be required to be paid as scheduled, and instead is expected to be addressed as part of any Potential Transaction to the extent such transaction is reached within the Grace Period. There can be no assurance that a definitive agreement with respect to a Potential Transaction will be entered into by Optiva, or if entered into, that any such Potential Transaction will be completed. If a definitive agreement with respect to a Potential Transaction is not reached within the Grace Period, there can be no assurance that the Forbearance will be extended or that an alternative resolution will be available. 1 Stable Canadian Stock Down 63% From All-Time Highs to Buy and Hold Immediately

For Canadian investors who want some shelter, Bombardier (TSX:BBD.B) might sound like a bold pick, but there's a surprising amount of substance behind the splashy name. Especially while it's still down 63% from all-time highs. A wild ride This is a Canadian stock that's been to the brink, and back. In fact, it's gone from hitting all-time highs of about $442 in August, 2000 to lows of $5.26 in 2020, adjusted for the stock merger. Yet here it is in 2025, delivering profits, beating earnings, and confidently guiding for future growth. That's no accident. And it's why the Canadian stock, which remains well below its all-time highs, could be one of the more underrated long-term plays on the TSX today. Bombardier recently reported first-quarter 2025 results that added fuel to its turnaround story. The Canadian stock posted revenue of US$1.6 billion, up 10% year over year. Earnings before interest and taxes (EBIT) rose to US$243 million, and adjusted EBITDA reached US$318 million, with a healthy margin of 20.4%. This kind of profitability was once unthinkable for Bombardier, but it's quickly becoming the norm. Net income was US$110 million or US$1.03 per diluted share, compared to US$302 million in losses a year earlier. Free cash flow was negative for the quarter, which is expected due to seasonality, but full-year guidance still calls for US$250 million to US$500 million in free cash flow. More to come What's most impressive is how it got here. Bombardier is now laser-focused on its business jet segment, after shedding its commercial and rail operations. It's streamlined, leaner, more agile, and that's paying off. The Global 7500 continues to lead its class, and Bombardier's aftermarket services are a growing source of high-margin revenue. In fact, aftermarket revenue was up 11% year over year to US$424 million. There's no pretending this is a safe haven Canadian stock like a utility or a grocer. Bombardier still carries debt of US$4.7 billion at quarter-end, and the stock can be volatile. But it's also a pure-play aviation business with a growing order backlog. As of the end of Q1, the backlog stood at US$14.9 billion. That kind of visibility isn't easy to find in the industrial space, especially for a name once written off as a penny stock. Where it stands From a valuation standpoint, the case gets even stronger. The Canadian stock currently trades around $162, well off its 2000 peak, despite dramatically stronger fundamentals today. And with expected full-year revenue of US$8.4 billion and adjusted EBITDA guidance of US$1.5 billion, the Canadian stock's forward-looking metrics suggest plenty of room to run. Bombardier is not for the faint of heart. There are risks tied to global demand for business jets, potential delays, and inflation in parts and labour. Plus, there's no dividend, so investors are betting purely on capital appreciation. But for those willing to hold through the cycles, this is a business that's gaining real traction. Bottom line If you're looking for a Canadian stock to tuck into your portfolio and forget for the next decade, Bombardier might not be the obvious choice, but that could be exactly what makes it so compelling. Down more than 60% from its peak, profitable, and projecting solid growth in a tough economy, Bombardier offers a contrarian bet with real upside. The trade tensions may rage on, but this is one Canadian company charting its own flight path, and investors might want a seat onboard. 3 No-Brainer Energy Stocks to Buy Right Now for Less Than $200

Given the favourable environment, I am bullish on the following three energy stocks, which are currently trading below $200. Enbridge Enbridge (TSX:ENB) is one of the top energy stocks to have in your portfolio due to its regulated and low-risk assets, consistent dividend growth, and healthy growth prospects. The company operates a diversified asset base, generating cash flows from over 200 assets. Its regulated asset base and long-term contracts provide stability to its financials. Supported by these reliable cash flows, ENB stock has been paying dividends since 1955. Also, it has raised its dividends uninterruptedly since 1995 at an annualized rate of 9%. Its current dividend payout of $0.9425/share translates into a forward dividend yield of 6.1%. Moreover, Enbridge has identified $50 billion in growth opportunities spanning over the next five years. Meanwhile, the company plans to make capital investments of $9 billion to $10 billion annually to expand its asset base. Given its healthy liquidity position, the energy giant is well-positioned to fund its growth initiatives. Further, ENB stock maintains a sustainable payout ratio of 60–70% of its DCF (discounted cash flows). Additionally, considering its solid underlying business and healthy growth prospects, management expects to raise its dividend by 3% annually until 2026 and 5% thereafter. ENB trades at a reasonable NTM (next 12 months) price-to-sales multiple of 2.7, making it an attractive investment opportunity for investors. Canadian Natural Resources Another energy stock I am bullish on is Canadian Natural Resources (TSX:CNQ), a leading producer of crude oil and natural gas. The Calgary-based energy company operates large, low-risk, and high-value reserves that require lower capital reinvestments. Besides, its efficient and effective operations have led to lower breakeven oil prices, thereby driving its financials and cash flows. Supported by its healthy cash flows, the company has increased its dividends at a 21% CAGR (compound annual growth rate) over the past 25 years. It currently offers a healthy forward dividend yield of 5.5%. Further, CNQ plans to invest $6 billion this year, thereby strengthening its production capabilities. Amid its growth initiatives, the company's management predicts that its total production this year will come in between 1,510 and 1,555 barrels of oil equivalent per day (BOE/d). The midpoint of this guidance represents a 12.5% increase from the previous year. Notably, OPEC (the Organization of the Petroleum Exporting Countries) is predicting a rise in oil demand this quarter, which could support oil prices. Therefore, increased production and higher oil prices could drive CNQ's financial performance in the coming quarters, making it an ideal buy. Northland Power Northland Power (TSX:NPI), which develops, owns, and operates a diversified energy infrastructure, is my final pick. It has an economic interest in approximately 3.4 gigawatts of power-producing facilities. The company has outperformed the S&P/TSX Composite Index this year, with returns exceeding 33%. The improvement in broader equity markets and progress the company has made in developing some of its key projects appear to have made investors optimistic, driving its stock price higher. Meanwhile, the company sells most of the energy produced from its facilities through long-term contracts, which account for approximately 90% of its revenue. The weighted average life of these contracts stands at 15 years. Therefore, its financials are less susceptible to volatile market conditions. Further, the company has 2.2 gigawatts of projects under construction, which could support its financial growth in the years to come. The management expects its adjusted EBITDA (earnings before interest, tax, depreciation, and amortization) to grow at a 7–10% CAGR through 2027. Therefore, I expect Northland Power, which currently offers a healthy forward dividend yield of 5.2%, to continue paying dividends at a higher rate.
