How To Keep Top Talent When Existing Incentives No Longer Work

Even with the major U.S. stock indices hitting new heights over the past two years, many companies have seen their share values plummet.
When the share price is under pressure, CEOs need their teams to stay intact and pull together. It's also at times like these that the incentives companies typically offer to maintain stable leadership teams and retain top talent may no longer be adequate.
As Meldon Wolfgang, an expert in helping Boards, CEOs and human resources officers make decisions during uncertainty, explains, 'When the value of long-term incentive programs shows signs of eroding, companies must re-examine the entire range of incentives they offer—financial and non-financial alike. This is the ultimate strategic HR question. And it applies not only to senior leadership, and to management, but to your entire employee family.'
Traditionally, stock awards and option grants—giving employees the right to buy company stock at a specified price—have been the cornerstone of executive and employee retention. The logic is straightforward: equity incentivizes people to stick around and help the company build long-term value.
This works well when the company's share price is rising—and there's an expectation it will continue to rise. But when the price sags, especially when it falls below the price at which an employee can exercise his or her option, incentives lose their attractiveness.
That's the situation some companies face today. In many cases, there will be fixes and turnarounds, and earnings and stock prices will rebound. Until then, however, stock options may cease to function as incentives. Employees may feel the option awards are meaningless and could become worthless, or worth much less.
This is when executives and employees may start looking elsewhere.
While replacing any employee is costly, replacing seasoned, specialized, and executive talent is especially costly, carrying hidden costs in lost productivity, morale, and institutional knowledge. By some estimates, the cost of replacing such workers—both hard costs (recruiting, onboarding, etc.) and soft costs (lost productivity, loss of institutional knowledge, etc.)—can be as high as four times the employee's annual salary.
Companies that find themselves in such a bind—with valued employees exiting amid falling share prices—clearly need to restructure their incentives. The key is to be creative; while financial incentives are critically important, cultural and other non-economic benefits may be equally important (and more doable for some).
On the financial side, the most direct way to restore the power of incentives is to put real value back in employees' hands. Beyond equity grants, there are multiple effective levers companies can use:
Retention bonuses. This is immediate: Commit to stay and we give you money. According to a WorldatWork inventory of corporate rewards programs, 67% of the companies surveyed offered some form of a one-time retention bonus in 2022. Evidence shows they work: a 2023 survey found 86% of employees would commit to staying with their company for a period of time in exchange for an immediate cash bonus. Of course, this depends on the company having sufficient cash on-hand to be able to fund a retention payment.
Stock incentives. As a variation on direct equity, employers can shift to stock grants, such as Restricted Stock Units (RSUs) and other awards where employees receive the full value of the shares as soon they qualify. Unlike options, RSUs retain value as long as the stock price remains above zero. By granting more stock or RSUs, instead of options, companies can ensure that employees still have skin in the game, while ensuring the employees that market dips won't wipe out their equity.
'Phantom stock' and SARs. Phantom stock, or 'shadow shares,' mimic the real thing, and typically include Stock Appreciation Rights (SARs) —meaning their value increases in tandem with share-price gains. Shadow shares can be converted into cash or equity at a future date—but not if the employee leaves.
Convertible retention bonds. Similar in intent, though not in structure, to shadow shares, convertible retention bonds are employee-owned investment instruments that convert to equity if the company meets certain growth benchmarks–or are paid in cash (or expire) if it doesn't.
Option repricing/exchanges. Some companies are replacing underwater stock options with new option grants or RSUs that have intrinsic value equal to or exceeding their original grants.
Deferred compensation. Deferred compensation plans, commonly referred to as 'golden handcuffs,' are usually intended to keep key employees until retirement. But they can be structured in other ways as well, such as deferred bonus pools tied to performance benchmarks—where there is no immediate cost to the company, but employees receive a cash bonus if business improves.
Compensation, while important, doesn't fully explain why employees choose to stay where they are or seek employment elsewhere. Other frequently expressed concerns include job security, professional growth opportunities, feeling valued at work, having a voice, and family. Employers can best address these concerns culturally and structurally. Here are some suggestions:
Job security. There's no better way to tell employees that their jobs are safe than by announcing, 'No layoffs,' a long-standing policy, for example, at Marvin Windows and Doors, Nucor Corporation, Publix Super Markets, and Torani, the syrup and flavorings maker, which has gone 100 years without a layoff. This doesn't mean no changes; changes already are underway due to artificial intelligence (AI), advanced robotics, and other new technologies. What a 'no layoffs' policy does is create stability, since employees are less likely to preemptively look for a new job when their existing job is secure.
Advancement opportunities. Most employees gladly will pursue new challenges inside your organization—if you make it possible. If they need upskilling or reskilling, provide it. Also consider creating internal talent, or project, 'marketplaces' and tour-of-duty rotational programs across departments or business units that enable employees to try new things and facilitate career moves. Research shows that workers who make internal moves tend to stay longer. A LinkedIn analysis, for example, found that after three years an employee who had been promoted or moved laterally within a company had a 65% to 70% chance of still being there, versus about 45% for someone who hasn't changed roles.
Even in uncertain or troubling times, when a company's stock may be down or flat, senior leaders have many tools available to help keep key employees.
But retention requires purposeful, strategic effort. When employees see multiple reasons to stay—a financial upside and a fulfilling work environment—the retention calculus shifts dramatically. Instead of asking, 'Why stick around?', they see staying as the smart choice.

Beleaguered Americans struggling with high apartment rents are about to get a measure of relief from PNC Multifamily Capital, a division of PNC Financial Services Group (NYSE: PNC). The Pittsburgh-based regional bank recently announced the formation of a fund that will invest over $208 million to develop and renovate affordable multi-family rental housing throughout the country. The states where the communities will be located include: Alabama California Hawaii Illinois Kentucky Minnesota Nevada Ohio Oregon Pennsylvania Texas PNC said in a statement that Fund 98 will draw capital from numerous sources, including PNC, multiple insurance companies, and two investors who have not previously been involved with affordable housing. The U.S. Department of Housing and Urban Development website describes its Low Income Housing Tax Credit program as "the most important resource for creating affordable housing in the United States today." The program was established as part of the Tax Reform Act of 1986, which allocates an annual $10.5 billion distribution to state and local housing authorities in the form of tax credits. State and local agencies use these tax credits to incentivize real estate developers, landlords, and property owners to operate and acquire affordable housing. Renters and low-income families have become increasingly vulnerable to the spikes in housing costs nationwide. Rising property values are great for real estate investors, but they also bring the law of unintended consequences into play. Increased acquisition and construction costs mean developers can only make returns by focusing on the high-income segment of the market. That creates an imbalance of luxury development and puts low-income families at an increasing risk of homelessness. Almost every big city in the 11 states where PNC's 98 fund will operate is struggling with a lack of affordable housing. The state and local housing authorities employ the tax credit in several ways. Some developers build entire communities dedicated to affordable housing that rely exclusively on the tax credits. Other developers who operate in the luxury sector may also offer a designated number of affordable tax-credit units in exchange for construction approval. , 'The LIHTC Fund 98 closing illustrates PNC Multifamily Capital's continued and long standing commitment to financing new and improved affordable housing across the country,' Megan Ryan, senior vice president and manager of Tax Credit Equity Syndication for PNC Multifamily Capital, said in the statement. PNC is an established player in this sector. PNC Multifamily Capital currently manages 133,000 units that account for $15.5 billion worth of low-income housing tax credits. That experience can be an important asset in this heavily-regulated sector. PNC's newest fund will certainly not solve the housing affordability problem in the states where it will own and operate properties. However, a concentrated effort and continued commitment from the investment community could go a long way towards alleviating America's affordable housing crisis. In the meantime, there will be 2,000 fewer families in need of affordable housing, and that's certainly a plus. If you're in your 20s, 30s, 40s or beyond, his 9 money milestones are worth considering. His first milestone is clearing all high-interest, meaning over 6%, debt. 'You cannot build a rich life while dragging credit card debt behind you — and you will be shocked at how fast your money grows once this anchor is gone,' Sethi says. Credit card debt is the worst kind of debt, according to Sethi. It creates compound interest in reverse, counteracting any of the benefits you would otherwise receive from investing. Clearing this debt before doing anything else with your cash should be your number one priority. The fastest path to understanding your debt is by creating a budget that tracks it all — credit card debt, student loans, mortgage, personal loans — alongside the APR, or the interest rate charged on your debt. 'That includes rent or mortgage payments, transportation, groceries — and put that money in a boring high-yield savings account.' His next milestone is all about ensuring you are investing regularly, without lifting a finger. Automating your finances means you don't have to do anything to invest — it happens automatically. This requires setting up automatic contributions with your banking and investing accounts, so a percentage of the money you earn is automatically invested every time your paycheck hits your account. 'The secret to getting rich is not about stock picks, it's not about crypto, it's definitely not day trading … it's boring, automated, consistent investing,' according to Sethi. He recommends investing at least 10% of your income into your 401k and/or Roth IRA every time you are paid. He also suggests increasing that auto-investment by 1% every year to supercharge your investment plan — meaning if you invest 7% of your pay this year, next year you would revisit your automatic investment plan and set it to 8%. Dave Ramsey says — and that 'anyone' can do it Sethi notes that your income is your most powerful wealth building tool. Your career is where you earn money, and the more money you earn, the more you can invest. 'The majority of millionaires in America made it from having a nice stable salary and then investing their money in low cost investments,' he says. 'They didn't win an insurance settlement. They didn't pick a lottery ticket. 'They literally had a nine-to-five job and they took part of that money and invested. That's why it makes a lot of sense for you to pay attention to your career and build the skill of increasing your income.' Sethi's next milestone is all about finding and understanding the bank account balance you need to retire and achieve all the financial goals you want in life. 'What number in the bank is enough for you? Is it a million dollars in savings? Two million, five million? Okay, but why?' Sethi asks. 'Why do you want that number? Truly rich people know their number and they know their why.' Ask yourself what number will make you feel like you have enough to retire comfortably, retire early or go on that dream sabbatical. Knowing how much you need and why is the backbone of any strong financial plan. 'If you don't know what that money is for, then you are simply wasting your life chasing a number,' Sethi continues. If you're unsure of what that number should be, a financial advisor can help you get a better picture of your goals. If you are married, or considering marriage, this is crucial advice. 'If you happen to get hit by a bus one day, you're going to leave your grieving family not even sure where the money is.' If one partner holds access to all the accounts, and that person is suddenly gone, this creates extra chaos for the partner left behind. This can help you and your partner create a shared dashboard to manage your full financial picture. What don't you care about? Cut it out ruthlessly. 'This checkpoint is about clarity. It's about knowing what doesn't matter to you,' Sethi notes. 'Here's what you need to do: Write down three things you don't care about spending money on, then write three things you want to spend money on unapologetically.' This means actively looking at what you spend money on by tracking spending for a few months. Make sure your spending is aligned with the things you actually care about. 'Once you know what is not part of your rich life, then you can cut those things without guilt, and you can actually redirect that money to the things you love,' Sethi says. Tracking your spending could show that you're actually spending $120 a month on subscription services you haven't used in years, allowing you to make cuts and put your money toward something more meaningful. While you're tightening up your finances, it might be a good idea to look at other monthly expenses like insurance. A big part of this is shopping around for the best rates, but this can take a lot of time and energy. One option is to use to do the hard work for you. The platform lets you compare reputable providers like Geico and Progressive in minutes with offers as low as $29/month. For homeowners, you could instead look at to see if they beat the rates you're currently paying. On average, you can save $482 per year using side-by-side comparisons of providers in your area. From here, you could put the money you'll save each month toward investments instead. Keep in mind that, in most cases, you don't need to wait until your policy is up for renewal to make a switch. Sethi's next milestone is all about simplicity. It is easy to get caught up in financial optimization to the detriment of enjoying your life. An all-consuming obsession with getting the best deal possible, or carrying around a wallet full of credit cards that need a spreadsheet to keep track of the best cash back rates for each spending category, is not how you create a healthy relationship with money. 'Do you really want to spend the rest of your life optimizing a spreadsheet of cash back rewards?' Sethi asks. This takes up time you could better spend earning money, recharging by watching your favorite show or being with family. All that work to save an extra $50 a year isn't always a worthwhile use of time. Instead, he recommends keeping 'one to two solid rewards cards.' 'Cancel those junk cards, including those predatory f—ing credit cards with 30% plus APRs that you got from Gap and Kohl's to get $10 off a sub par pair of jeans,' he continues. 'And then monitor your interest rates like a hawk while you're paying off debt.' Finally, Sethi recommends using everything you learned from the other milestones to create a financial vision that you revisit yearly. What you think you want out of life in your 30s will not be the same as what you might want in your 40s or 50s. At the end of each year, update your plan to suit your current lifestyle and future goals — a recurring calendar event can help with this. Sethi recommends asking yourself the following questions during these check-ins: 'What do I want more of in this coming year? What doesn't matter to me anymore? What do I want less of? And finally, what's next?' For some, a big goal might include real estate investing to create generational wealth. But not everyone can afford a mortgage, or a big downpayment. It might be gearing up to pay billions of dollars to participate in a drug program currently in development. Its would-be partner is an American biotech that has earned a lot of attention lately. 10 stocks we like better than AstraZeneca Plc › AstraZeneca (NASDAQ: AZN) might soon be on the hook for an eventual 11-figure payout, and investors weren't all that comfortable with this. A Bloomberg article published Thursday morning said that the company is pursuing what might end up being an expensive partnership with a biotech. A cautious market traded AstraZeneca stock down by more than 2% following the report, on a day when the S&P 500 index landed firmly in positive territory with a 0.8% gain. The article that dinged AstraZeneca was a Bloomberg piece asserting that the company is in discussions with Summit Therapeutics (NASDAQ: SMMT) on a formal partnership. The article, which cited unidentified "people familiar with the matter" as its sources, stated the two companies might collaborate on ivonescimab. This is a cancer drug licensed by Summit (from its developer, Akeso) for numerous jurisdictions outside of Akeso's native China, including North America and Europe. According to Bloomberg, AstraZeneca and Summit are currently working out the details of such an arrangement. The article's sources added that an upfront payment of several billion dollars could be involved in any deal; it did not get more specific. One figure mentioned was $15 billion, which is apparently a total in upfront monies and milestone payments Summit might eventually earn. AstraZeneca is a global healthcare incumbent that's large, sprawling, and well financed -- at the end of its latest reported quarter, the U.K.-headquartered company had more than 4 billion British pounds ($5.5 billion) in cash alone. Still, $15 billion is a huge amount, even when spread over the lifetime of an in-development drug's lifecycle. I wouldn't be overly concerned about this if I were an AstraZeneca shareholder. In fact, I'd be encouraged. There aren't a great many oncology development programs that have shown as much potential as ivonescimab, and if it ends up fulfilling its promise it could easily be a blockbuster drug. I think it might be smarter to be a buyer than a seller of AstraZeneca at the moment.
