NEW YORK--(BUSINESS WIRE)--Ortelius Advisors, L.P. ('Ortelius') today announced that independent proxy advisory firm, Egan-Jones Ratings Company ('Egan-Jones'), has recommended that stockholders vote FOR the election of all six Ortelius nominees to the Brookdale Senior Living Inc. (NYSE: BKD) ('Brookdale' or 'Company') Board of Directors, on the WHITE Ortelius proxy card, at the upcoming 2025 Annual Meeting of Stockholders. The recommendation from Egan-Jones builds on supportive commentary already published by Institutional Shareholder Services Inc. ('ISS') regarding Ortelius' campaign for change at Brookdale.

In its report finding that Ortelius has presented a compelling case for change at Brookdale, Egan-Jones*:
Recognized the distinct and unique nature of Ortelius' strategy and confirmed the need for significant Board renewal to drive change:
'We believe that the current management and the Ortelius nominees propose strategies that are diametrically opposed to each other: management is determined that they will be able to grow out of their debt – something that seems unlikely given multiple years in a row of extremely low operating margins. On the other hand, Ortelius believes underperforming assets must be sold off to pay down debt and improve operating margins. We strongly believe that, to effectively execute a meaningful turnaround and unlock long-term value for shareholders, the full slate of Ortelius nominees should be elected.'
Validated Ortelius' criticisms about Brookdale's operating performance and Total Shareholder Return ('TSR'):
'The Company has not been able to recover after COVID, with the TSR from the beginning of 2020 through the end of 2024 sitting at -30%. Despite strong industry tailwinds, such as rising occupancy in senior housing and increasing demand due to changing demographics, BKD's TSR has remained stagnant. We believe that the Company's inability to capitalize on these market opportunities demonstrates the need to re-evaluate its current strategy.'
Concluded Brookdale has clearly underperformed its peers and faces an unsustainable debt burden which requires urgent action:
' [Brookdale]... has greatly underperformed NHC as well as the total market. Additionally, it is worth noting that BKD has not been able to recover to pre-covid returns but are instead down 30% over the 5-year period.'
'Given the company's inability to recover from COVID and their lagging occupancy rates compared to nationwide averages, we do not believe the Company will be able to grow itself out of debt.'
Supported Ortelius' assertion that Management's strategy is insufficient and unlikely to restore profitability at Brookdale:
'The Company's financial performance presents significant concerns, primarily due to high leverage and poor operational efficiency. With debt-to-enterprise value ratios consistently average over 90% over the past five years, BKD is heavily reliant on debt. Revenue growth is being offset by the Company's persistently low operating margin. In our view, the Company's weak balance sheet limits its financial flexibility and means to restore profitability.'
Confirmed that Ortelius' plan to sell underperforming properties is well conceived and viable:
'The Company believes it will be able to grow its way out of debt. Divesting non-core assets does not appear to be an option under the current board and management. In our view, their optimism about improving BKD's average occupancy rate comes too late, especially considering the excessive cash burn and mounting debt. We believe the Ortelius nominees are correct that assets will need to be sold off to generate cash, to pay off debt, invest in improved facilities, and re-align its strategy as a pure play company.'

More than 100 nations attending a UN aid conference pledged this week to help defuse the ticking time bomb of developing countries' ballooning debt, but deciding how is proving more divisive. "The debt burden is crippling the developing world," UN chief Antonio Guterres told the conference in the Spanish city of Seville that reaffirmed support for lifting low-income nations out of their predicament. "We must fix the global debt system which is unsustainable and unfair," Guterres pleaded at the gathering, which runs to Thursday. The total external debt of the group of least developed countries has more than tripled in 15 years, according to UN data. Developing nations now pay $1.4 trillion every year to service their debt -- its highest level in 20 years. Global South nations contend with interest rates two times higher than their richer counterparts when they borrow, increasing the burden. More than three billion people live in countries that fork out more on interest repayments than on health, according to a report commissioned by the late Pope Francis and coordinated by Nobel laureate economist Joseph Stiglitz. A litany of international crises from the Covid-19 pandemic to conflicts have plunged the world economy into turbulence in recent years, with repercussions felt acutely in lesser developed countries. Experts also blame the proliferation of costly and grandiose projects, particularly in African countries that have taken out billions in loans from China. "Many low-income and vulnerable countries are trapped in a vicious cycle of debt, poverty and climate-induced crisis," said the Action Aid NGO, which warned of a "critical" situation. The macroeconomic deterioration has real-world impacts for ordinary citizens, "notably on health policies", Francoise Vanni, of The Global Fund to Fight AIDS, Tuberculosis and Malaria, told AFP. - 'Lack of commitment' - In Seville, several world leaders from the Global South, including Kenyan President William Ruto and Senegal's Bassirou Diomaye Faye, called for a reform of the international financial system to resolve the vicious cycle. The document adopted in Seville -- snubbed by key actor the United States -- calls for the general adoption of clauses in loans that allow borrowing countries to temporarily suspend repayments due to an external shock or natural disaster. Storms, droughts and floods turbocharged by climate change disproportionately affect low-income countries that have historically contributed the least to the emissions that drive global warming. The so-called "Seville Commitment" asks creditors to increase loans in local currency to limit risks caused by foreign exchange fluctuations. It also urges the creation of a central database housed in the Washington-based World Bank "to harmonise and strengthen debt data reporting, enhance debt transparency and reduce reporting burdens". The World Bank says only a quarter of poor nations declare information on their new loans, denying crucial information to lenders. The Vatican-commissioned report also recommended "systemic reforms" and "essential investments" to tackle the crisis, suggesting an end to preferential treatment for private creditors and extending debt relief measures introduced during the pandemic. But NGOs want to go much further than boosting transparency by cancelling debt altogether for the most stricken countries. Hundreds of protesters marched through the stifling heat of Seville on Sunday to demand the measure, which has occasionally been applied in the past. But donor countries, which face debt problems of their own, are reluctant to implement such an initiative, making it unlikely. Known as the favorite platform for everyday investors, Robinhood became well known during the GameStop short squeeze of 2021 and has retained its popularity since then, gaining popularity among new and aspiring traders. After going public in 2021, Robinhood stock initially struggled to garner momentum, demonstrating minimal returns through most of 2022 and 2023. However, late in 2024, it started trending upward and since then, has made significant progress.
