
Lenskart's Bansal set to join list of founders with pre-IPO stake boosts

Omnichannel eyewear retailer Lenskart is likely to issue additional shares to its founder and CEO Peyush Bansal through a structured payout arrangement, which could increase his stake in the public markets-bound company by 1.5-2%, said people briefed on the development.Bansal and his wife Neha Bansal, also a cofounder, currently hold a combined stake of about 12-13% in the firm.The move reflects a broader trend among consumer tech and internet companies, such as Zomato (now Eternal), Swiggy PB Fintech and Freshworks, which have awarded stock to founders ahead of their initial public offerings (IPOs) through various mechanisms.'The transaction is yet to be finalised but Bansal is likely to be allotted shares at a fair market value as determined by the bankers and the auditors. This will result in his stake going up by roughly 1.5–2%,' said one of the persons, who did not wish to be identified.In June 2024, the Bansals along with founders Amit Choudhary and Sumeet Kapahi had invested around $20 million in the company.Industry executives said that for companies raising significant capital, founder stakes often get diluted, and that pre-IPO stock grants serve as a way to compensate and retain them.'It's quite common for founders to increase their stake ahead of an IPO... They see the upside and approach the board, citing their low shareholding. When a founder's stake drops significantly, boards often accommodate by allocating shares through expanded Esop (equity stock ownership plan) pools or other mechanisms,' said Anshuman Das, CEO of executive staffing firm Longhouse.This is facilitated through increasing the Esop pool, buying out an existing investor or preferential allotments, Das said, adding, 'In large consumer tech or internet firms, heavy fundraising often leads to substantial dilution of founder equity.'Such a practice is common among new-age, venture-backed companies where founders often see greater dilution, unlike in traditional businesses where promoters retain a larger shareholding.IPOs are milestone events for investors and boards tend to be more open to rewarding founders for steering the company to that point, as they should also benefit from the value created. In larger companies, where promoters hold a bigger stake, that upside comes through post-IPO share gains, said another industry executive.Queries sent to Lenskart did not elicit a response till press time.Food and grocery delivery company Swiggy had granted employee stock options worth around $271 million to its top management in its latest stock-based compensation plan implemented in April last year. Around $200 million worth of options from this were granted to founder and group CEO Sriharsha Majety. Swiggy listed on the bourses in November 2024.Prior to this, in 2021, Zomato's board granted founder and CEO Deepinder Goyal 368 million stock options with a six-year exercise window that could effectively double his stake in the company from nearly 4% at present.Other tech startups, such as Freshworks, Delhivery and PB Fintech, that went public after Zomato also granted stock-based awards to their founders and top management prior to their IPOs, particularly in cases where founder stakes were under 10%. These executives include Freshworks founder and then CEO Girish Mathrubootham, Delhivery founder and CEO Sahil Barua and PB Fintech founders Yashish Dahiya and Alok Bansal.Delhivery's cofounders Sahil Barua and Kapil Bharati along with other senior executives at the time were allotted shares worth Rs 25 crore each. Similarly, prior to the company's 2021 IPO, Policybazaar parent PB Fintech had granted 10.2 million shares to founders Dahiya and Bansal as part of its 2021 Esop scheme that was announced ahead of its public issue.Lenskart plans to file its draft IPO papers this year , targeting a potential $10 billion valuation for a $1 billion public issue, ET had reported earlier.One of the persons said that the company has been meeting public market investors and that the IPO size and valuation will be finalised depending on broader market conditions.Lenskart's last round of funding in June 2024 valued the company at $5 billion. US-based Fidelity marked up the valuation of the omnichannel eyewear retailer by more than a fifth to $6.1 billion at the end of April 30.In 2023-24, the Gurgaon-based company's net loss shrank to Rs 10 crore from Rs 64 crore in the previous financial year, which the company attributed to technology-driven operational efficiencies. Operating revenue increased 43% to Rs 5,428 crore, while earnings before interest, taxes, depreciation and amortisation more than doubled to Rs 856 crore.

Eternal shares rally 5% on Blinkit's plans to switch to inventory-led model
Shares of Eternal (formerly Zomato) surged 5.4% to hit an intraday high of Rs 277.65 on the BSE on Monday after its quick commerce subsidiary Blinkit announced a strategic shift to an inventory-led business model, aimed at boosting operational efficiency and margins. ADVERTISEMENT By the end of today's trading session, the shares of Eternal settled 3.11% higher at Rs 271.50 on the BSE. The Gurugram-based Blinkit will transition to the new model starting September 1, 2025, under which it will directly purchase inventory from sellers and brands, rather than operating as a marketplace that simply stores seller-listed products. By transitioning fully to direct inventory ownership, Blinkit expects to simplify operations for sellers and streamline processes, as brands will no longer need to manage GST and FSSAI compliances for warehousing under the marketplace company notified sellers over the weekend, informing them that the last date to opt into the new system is July 30, after which non-participating sellers will no longer be allowed to list their inventory. From August 31, inventory will officially shift to Blinkit's move follows Eternal's transformation into an Indian-owned and controlled company (IOCC) earlier this year, allowing it to operate a fully inventory-led model in compliance with India's FDI norms. Under Indian regulations, foreign-funded marketplaces are restricted from owning inventory, prompting platforms like Blinkit to operate under hybrid models until now. ADVERTISEMENT Eternal's CFO, Akshant Goyal, earlier stated that assuming Blinkit owned 100% of its inventory in FY25, it would deploy less than Rs 1,000 crore in working capital, only about 3–4% of Blinkit's gross order value of Rs 28,274 crore in shift is expected to improve Blinkit's control over inventory and operating margins, crucial at a time when quick commerce players face margin pressures amid aggressive expansion. Swiggy rolls out Rs 150 crore in fresh Esops under 2024 plan

Based on the previous market close of Rs 385.15 per share, the total value of the grant is estimated to be around Rs 150 stock options come with an exercise price of Re 1 each, converting into fully paid-up equity shares once vested. They may be exercised at any point following the vesting period, right up to the company's April, the Sriharsha Majety-led company had introduced an Esop package valued at Rs 443.4 crore for eligible employees, as disclosed in a separate NSE follows a similar development reported by ET in January, when Swiggy stated in an exchange filing that it had "approved the allotment of 2,61,93,411 equity shares of the Company pursuant to the exercise of stock options by the eligible employees, under Swiggy ESOP Plan 2015 & Swiggy ESOP Plan 2021."During the January–March quarter, Swiggy's net loss nearly doubled to Rs 1,081 crore, primarily due to the rapid expansion of its quick commerce vertical, including the addition of close to four dark stores per this aggressive push also boosted Swiggy's consolidated operating revenue, which rose 45% year-on-year to Rs 4,410 of 11:15 am on Monday, Swiggy's stock was trading at Rs 389.60 per share.

Proxy adviser seeks update on ₹480 cr ESOP clawback from Rashmi Saluja
Mumbai: Five months after Dabur India Ltd chairman Mohit Burman took control of Religare Enterprises Ltd, a proxy advisory firm has sought an update on the issue of recovering shares of a subsidiary worth ₹ 480 crore from former Religare chair Rashmi Saluja. On Sunday, InGovern Research Services issued a note asking that Religare and its subsidiary, Care Health Insurance, provide details and an update on the employee share options awarded to Saluja. The Bengaluru-based proxy advisor also asked for the recovery of fees paid by Care Health to its former independent director, Pratap Venugopal, who provided legal opinion to the insurance firm. When contacted, Religare on Sunday said, 'Irdai issued an order holding the issuance of ESOPs to Dr Saluja illegal. Care Health Insurance Limited had filed an appeal before the Securities Appellate Tribunal (SAT) under instructions from Dr Saluja, who was then the non-executive chairperson of the board. Subsequent to Dr. Saluja's removal from the board, the board of directors of the company decided to withdraw the appeal. The said appeal before the SAT now stands withdrawn. We offer no further comments as these issues are being examined internally.' Saluja received ESOP grants representing about 2.5% of Care's share capital. More than four-fifths of the insurance firm's ESOPs were allotted to her. InGovern has also raised conflict of interest concerns about Venugopal, a senior advocate, counselling Care Insurance on the ESOPs, as he was also an independent director on the company's board. Venugopal was advising and approving Care's decisions on the ESOPs, as per InGovern. As per the proxy adviser's report, the Nomination and Remuneration Committee, which approves pay and stock options, also lacked independence as Venugopal was a part of it. The dual role of Venugopal was not clearly disclosed to shareholders, InGovern said. 'Venugopal played dual roles, as an advisor and an ID (independent director), in a critical matter like the issuance of ESOPs, especially after IRDAI had disapproved the issuance of ESOPs, yet the company relied on his legal opinion to proceed with it,' said Shriram Subramanian, managing director of InGovern. Such roles create potential conflict of interest in list companies if full disclosures are not made, he said. Mint could not immediately reach Venugopal for comment. Religare owns 62.91% of Care Health, while Kedaara Capital and Union Bank of India own 15.84% and 5.28%, respectively. Public shareholders own the remaining 16%. The issue raised by InGovern is about the grant of 22.7 million ESOPs by Care Health to Saluja, a non-executive director at the time, even after the Insurance Regulator and Development Authority of India rejected the proposal. Saluja had exercised 7.57 million of those options. In July 2024, IRDAI took action and imposed a ₹ 1 crore penalty on Care Health and ordered the company to buy back the 7.57 million exercised shares at ₹ 45.32 each within 30 days and cancel all unvested ESOPs within 15 days. IRDAI had found the grants in violation of Section 34A of the Insurance Act. Section 34A of the Indian Insurance Act, 1938 gives IRDAI the authority to approve the appointment, reappointment, termination, and remuneration of key managerial personnel in insurance companies. InGovern has now demanded a public disclosure of the minutes of the board and Nomination and Remuneration Committee meetings, legal opinions on ESOPs, full IRDAI correspondence, and conflict of interest declarations. At the regulatory level, the proxy adviser has called for a probe by the Securities and Exchange Board of India into disclosure lapses and a review by the ministry of corporate affairs into director roles and responsibilities.
