MCA, Sebi discuss probe into Gensol Engineering

) chairman Tuhin Kanta Pandey has met corporate affairs secretary Deepti Gaur Mukerjee to discuss ongoing investigations into
Gensol Engineering
, among other regulatory matters, a person aware of the development told ET.
The meeting, held in the national capital on Friday, came amidst a crackdown on Gensol by the ministry and regulators, especially Sebi, over alleged fraud and
corporate governance
lapses.
Last month, Sebi barred Gensol's promoters-brothers Anmol and Puneet Jaggi-from accessing the securities market and ordered a
forensic audit
of the listed
renewable energy
company, after an interim report of the regulator flagged fund diversion by the brothers and governance lapses.
The corporate affairs ministry (
MCA
) also launched a separate probe into Gensol and 18 related entities, including EV cab service provider
BluSmart Mobility
. The probe is expected to be completed within 3-5 months, a senior official said last week.
The Jaggi brothers have also allegedly misused term loans extended to Gensol by state-run lenders
Indian Renewable Energy Development Agency
(Ireda) and
Power Finance Corporation
(PFC).
Pandey and Mukerjee are also understood to have discussed routine regulatory matters during their meeting. Queries sent to MCA and Sebi on Monday remained unanswered until the paper went to press.
Following a Sebi reference, the National Financial Reporting Authority (NFRA) has launched a preliminary enquiry into Gensol's books. The Institute of Chartered Accountants of India (ICAI), too, is reviewing the FY24 financial statements and statutory audit reports of Gensol and BluSmart.
Sebi started examining the matter after receiving a complaint in June 2024 alleging manipulation of share price and diversion of funds at Gensol.
Gensol's share price had scaled a peak of ₹1,126 a piece last fiscal, with a market capitalisation of around ₹4,300 crore, according to the regulator's interim report.
But by April 11, 2025, days before Sebi released the interim report, the share price had crashed to ₹133, driving down the market cap to just ₹506 crore. On Monday, the shares closed at ₹65.50 apiece on the BSE, down 2% from the previous close.

The entity under scrutiny is PTC Cables Pvt. Ltd (PTCC), which holds a 1.91% stake in Vedanta Ltd, a company with a market capitalization of ₹ 1.75 trillion, according to BSE data. PTCC is owned by Bhadram Janhit Shalika Trust (BJST), which Viceroy alleges is controlled by the Agarwal family, founders of the Vedanta Group. According to Viceroy, PTCC received ₹ 1,500 crore in dividend income from Vedanta over the past five years, and the capital was "upcycled" to promoter-linked entities. 'PTCC exists for one purpose: to quietly recycle Vedanta's cash into promoter-controlled vehicles while maintaining the illusion of independence," the Viceroy report said. Vedanta denied the allegations. 'These assertions are baseless," a spokesperson for the company said, adding that the company was compliant with the disclosure norms as stipulated by the Securities and Exchange Board of India (Sebi) and the Companies Act, 2013. 'Neither BJST nor PTCC are part of the promoter group as defined under applicable regulations, and their shareholding has been transparently disclosed in public filings," the spokesperson added. A day after Viceroy released its report, JP Morgan had issued a note, telling investors not to get distracted by the allegations on corporate governance and financial management, and that the global brokerage had an Overweight rating on both Vedanta Resources Ltd and Vedanta Ltd. Viceroy's claims are based on publicly available records. In a 2009 income-tax case, BJST's correspondence address was listed as Anil Agarwal's personal residence in Mumbai. In another case, the trust's address was that of Todarwal & Todarwal, a firm linked to Arun Todarwal, who currently serves as a director on the board of Sterlite Power Grid Ventures, a Vedanta subsidiary. Todarwal has also previously served as a director on the boards of Hindustan Zinc Ltd, Sterlite Technologies, MALCO, and BALCO. The report acknowledged that no conclusive documentation of current control was available, noting that Indian trusts are subject to less stringent disclosure obligations compared to companies. Viceroy also cited unnamed former Vedanta employees who claimed that the Agarwal family's control over PTCC was an "open secret" within the company. In addition to alleging hidden promoter ownership, the report flagged governance concerns at PTCC. The company was incorporated in 1993 with the Agarwal family as shareholders and was transferred to BJST in 2017. Its current directors are Todarwal and Kannan Ramamirthan. Ramamirthan is an independent director of Hindustan Zinc, Vedanta's most profitable subsidiary. He has also previously served on the boards of other Vedanta group firms, including Talwandi Sabo Power Plant, BALCO, Sterlite Energy, and Sterlite Interlinks. Vedanta has not disclosed in its filings that PTCC—classified as a public shareholder—has directors with long-standing associations with the group. The company did not respond to a specific query on this issue. Calls and emails to Todarwal for a comment did not elicit a response. Mint could not reach Ramamirthan for a comment. Concerns about the independence of BJST and PTCC are not new. In a 2020 note, proxy advisory firm Stakeholder Empowerment Services (SES) had said that BJST was previously known as the SIL Employee Welfare Trust and was linked to Sterlite Industries Ltd, which was later merged into Vedanta. The trust was subsequently renamed as BJST. 'It is not clear as to who presently controls the BJST," SES had written. However, if the firm was under the control of Vedanta, then PTCC should be classified as a promoter shareholder, it said. Viceroy's first report on the Vedanta Group was published on 10 July, a day before Vedanta Ltd's annual general meeting (AGM). The initial report triggered a drop in the company's stock, though shares later recovered. At the AGM, shareholders reposed their faith in the company. Since the report's release, Vedanta shares have gained 2% to close at ₹ 449.75 on Tuesday. THE MUMBAI police are probing a series of hoax bomb threat emails sent by an unidentified person using names of politicians, actors and popular YouTubers from southern states. Police have received complaints regarding around nine such email threats, so far, which they suspect were sent by one person who uses several keywords like names of South Indian public figures and claim that RDX-based Improvised Explosive Devices (IED) being kept at popular places and government installations in and around Mumbai. The latest in the series of threats was received on Sunday by the BSE where the accused threatened that RDX had been kept inside the building. This particular email had been undersigned by the name 'Comrade Pinari Vijayan', referring to Kerala Chief Minister Pinarayi Vijayan. A BSE employee saw the email on Monday and alerted the authorities, following which the premises were checked and the threat was found to be a hoax. An FIR has been registered at the MRA Marg police station. An official from Mumbai police said that in the past the accused has used the names of actor Tamil Nadu Deputy CM and actor Udhayanidhi Stalin, YouTuber Subakku Shankar, IPS officer Jaffar Sait and Afzal Guru with some conspiracy theory along with a threat. ' The threat usually mentions that an RDX-linked Improvised Explosive Device (IED) device is placed somewhere. We suspect it is the same person who has been sending these threat mails. We have zeroed in on nearly nine keywords used in approximately 10 threat mails that have been received in the last few months,' the official said. The official added that in all these cases, the accused has used a Virtual Private Network (VPN) to send these emails due to which we have so far not been able to track him down. 'The frequency with which he uses South Indian celebrities and mentions conspiracy theories makes us suspect the accused hails from a southern state or it could be to mislead us,' the official said. The official added that they are still conducting a technical probe in the matter and will trace the accused. In May, the Palghar collector's office had received a threat mail about RDX based IED being kept there. The mail said that there the RDX had been kept by the same people who were planning to kill the Opposition leader in Tamil Nadu EK Palaniswami to ensure that the probe against former DMK functionary Jaffar Sadiq in a drug trafficking case is unsuccessful.

Mumbai, Jul 15 (PTI) Stock markets snapped the four-day falling streak on Tuesday with the benchmark Sensex rebounding by 317 points on buying in auto and pharma shares amid a decline in retail inflation to a more than six-year low, nearing the RBI's comfort zone. In the last four trading days, the Sensex dropped 1,459.05 points or 1.74 per cent and the Nifty declined by 440 points or 1.72 per cent. Among Sensex firms, Sun Pharma, Trent, Tata Motors, Bajaj Finserv, Mahindra & Mahindra and Bajaj Finance were the major gainers. However, HCL Tech declined 3.31 per cent after the IT services firm reported a 9.7 per cent drop in consolidated net profit for the June quarter, hurt by higher expenses and the one-time impact of a client bankruptcy. Eternal, Tata Steel, Kotak Mahindra Bank and Axis Bank were also the laggards. Retail inflation declined to over six-year low of 2.1 per cent in June, nearing the RBI's comfort zone, on account of subdued prices of food items, including vegetables, driven by widespread monsoon. The Consumer Price Index-based inflation was 2.82 per cent in May and 5.08 per cent in June 2024. Inflation is on a decline since November 2024. 'Market sentiment is showing signs of improvement, supported by a blend of global and domestic developments. Optimism is growing around the possibility of an interim trade agreement with the US, which could lead to a moderation in tariff-related risks. 'Concurrently, domestic inflation has fallen to multi-year lows, strengthening expectations of a further rate cut by the RBI—potentially accelerating future economic growth, which is currently showing signs of improvement,' Vinod Nair, Head of Research, Geojit Investments Limited, said. The BSE smallcap gauge climbed 0.95 per cent and midcap index went up by 0.83 per cent. Among BSE sectoral indices, auto (1.48 per cent), healthcare (1.14 per cent), consumer discretionary (0.89 per cent), FMCG (0.80 per cent), realty (0.77 per cent) and services (0.58 per cent) were the gainers. Utilities emerged as the only laggard. As many as 2,576 stocks advanced while 1,479 declined and 160 remained unchanged on the BSE. 'Markets witnessed some respite and edged marginally higher after four consecutive sessions of decline. Participants drew comfort from the further easing of CPI inflation, which triggered notable buying in rate-sensitive sectors on hopes of a potential rate cut. However, continued disappointment from the IT space, following HCL Technologies' results, capped overall momentum,' Ajit Mishra – SVP, Research, Religare Broking Ltd, said. In Asian markets, South Korea's Kospi, Japan's Nikkei 225 index and Hong Kong's Hang Seng settled in the positive territory while Shanghai's SSE Composite index ended lower. European markets were trading in the green. The US markets ended in positive territory on Monday. Global oil benchmark Brent crude dipped 0.17 per cent to USD 69.09 a barrel. Foreign Institutional Investors (FIIs) offloaded equities worth Rs 1,614.32 crore on Monday, while Domestic Institutional Investors (DIIs) bought stocks worth Rs 1,787.68 crore, according to exchange data. On Monday, the Sensex dropped by 247.01 points or 0.30 per cent to settle at 82,253.46. The Nifty settled lower by 67.55 points or 0.27 per cent to 25,082.30.
