TORONTO and FLIN FLON, Manitoba, July 28, 2025 (GLOBE NEWSWIRE) -- McEwen Inc. ('McEwen') (NYSE: MUX) (TSX:MUX) and Canadian Gold Corp. ('Canadian Gold') (TSX-V:CGC) are pleased to announce that they have entered into a binding letter of intent (the "LOI") on July 27, 2025 in respect of a proposed transaction (the "Proposed Transaction"), whereby McEwen would acquire all of the issued and outstanding securities of Canadian Gold by way of plan of arrangement. If the Proposed Transaction is completed, Canadian Gold would become a wholly-owned subsidiary of McEwen.
Canadian Gold's principal asset is its 100% interest in the Tartan Mine, which is located in Manitoba, Canada (the "Tartan Mine"). The Tartan Mine is a high-grade former producing mine with existing infrastructure and high exploration potential. Canadian Gold also holds a 100% interest in greenfield exploration properties in the Hammond Reef and Malartic South projects, which are adjacent to some of Canada's largest gold mines and development projects in Ontario and Quebec.
The Proposed Transaction
Pursuant to the terms of the Proposed Transaction, each Canadian Gold common share (a 'Canadian Gold Share') would entitle its holder to receive 0.0225 of a McEwen common share (a 'McEwen Share') (the "Exchange Ratio"). The Exchange Ratio represents an offer price of CDN $0.35 per Canadian Gold Share, being a premium of 26% to the 30-day volume weighted average price ("VWAP") of the Canadian Gold Shares as at market close on July 25, 2025. Following completion of the transaction, existing Canadian Gold shareholders will own approximately 8.2% of the combined company resulting from the Proposed Transaction.
The LOI provides for the parties to enter into a definitive arrangement agreement (the "Arrangement Agreement") setting out the final terms and conditions of the Proposed Transaction. Upon the execution of the Arrangement Agreement, McEwen and Canadian Gold will issue a subsequent news release containing any additional terms of the Proposed Transaction.

Substantial exploration potential, which has been recently increased by Canadian Gold's optioning of the adjoining Tartan West property (Fig. 2, 3 & 4).

Details of the Proposed Transaction
The Proposed Transaction is expected to be completed by way of a court-approved plan of arrangement under the Business Corporations Act (British Columbia). Under the terms of the LOI, McEwen will acquire all of the issued and outstanding Canadian Gold Shares in exchange for McEwen Shares on the basis of the Exchange Ratio. Outstanding options and warrants to purchase Canadian Gold Shares would be exercisable prior to the closing of the Proposed Transaction (the "Closing"), in accordance with their respective terms. Any outstanding options and warrants not duly exercised prior to the Closing would be terminated without any additional compensation.
In order to comply with NYSE rules, Mr. Rob McEwen will not be entitled to receive newly-issued shares of McEwen representing more than 1% of the currently issued and outstanding shares of McEwen without obtaining the prior approval of McEwen shareholders, which is expected to be voted on at the next annual meeting of McEwen shareholders. If such shareholder approval is not obtained, McEwen will pay for such excess shares in cash.
To be effective, the Proposed Transaction will require the approval of: (a) 66 ⅔% of the votes cast by shareholders of Canadian Gold; and, (b) a simple majority of the votes cast by minority Canadian Gold shareholders in accordance with Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101"), at a special meeting of Canadian Gold shareholders expected to take place by the end of 2025 (the "Canadian Gold Meeting"). In accordance with MI 61-101, the vote of the minority Canadian Gold shareholders will exclude, among others, the shares of Canadian Gold held by McEwen and Mr. Rob McEwen.
The Arrangement Agreement will include provisions such as conditions to closing the Proposed Transaction, and representations and warranties and covenants customary for arrangement agreements. The LOI stipulates that the Arrangement Agreement will also include: (i) customary deal protection and non-solicitation provisions in favor of McEwen, including a break fee of approximately C$2.2 million payable to McEwen in certain circumstances; and (ii) provisions allowing Canadian Gold to consider and accept superior proposals, in compliance with its fiduciary duties.
Completion of the Proposed Transaction will be subject to customary closing conditions and receipt of necessary court and regulatory approvals, including approval of the TSX and the NYSE.

The Proposed Transaction was approved by the Board of Directors of both McEwen and Canadian Gold, based on the recommendation of their respective special committees comprised of independent and disinterested directors. These special committees reached their decisions after consulting with their independent legal and financial advisors.
Messrs. Rob McEwen and Ian Ball, recognizing their respective conflicts of interest as directors of McEwen and as shareholders/interested parties in Canadian Gold, abstained from voting on the approval of the Proposed Transaction by McEwen's Board of Directors. Similarly, Messrs. Alexander McEwen and Jim Downey acknowledged their conflicts of interest, as they were appointed to the Canadian Gold Board of Directors by Rob McEwen.
To ensure a thorough and impartial review of the Proposed Transaction, the special committees of both companies have engaged independent financial advisors. These advisors will prepare a formal valuation of the respective shares, as required by securities law, and provide an opinion that, subject to the assumptions, limitations, and qualifications outlined in the written opinion, the consideration to be exchanged is fair from a financial perspective.
Further details with respect to the Proposed Transaction will be included in the Arrangement Agreement and in an information circular to be mailed to Canadian Gold shareholders in connection with the Canadian Gold Meeting. Overview of Canadian Gold's Tartan Mine
The Tartan Mine is a former producing mine with significant infrastructure close to the town of Flin Flon, Manitoba. It has access to a skilled workforce, inexpensive renewable power and a supportive mining and taxation environment.
Tartan Mine produced 47,000 ounces of gold between 1987 and 1989. Recently, Canadian Gold announced two transactions that expanded the strike length of Tartan from 8 kilometers to 29.5 kilometers along a key regional shear zone. The expanded property has the benefit of leveraging the infrastructure at Tartan Mine that includes a ramp to 320 meters below surface, the footprint of the former 450 tpd mill, road access and power to the mine site.

Why Trump's deals with the EU, Japan may not be templates for Canada in trade talks

U.S. President Donald Trump's successive announcements of deals setting baseline tariffs on the European Union and Japan are prompting questions about whether they're a road map for Canada to follow in trade talks. Trump and European Commission President Ursula von der Leyen described the bones of an agreement on Sunday. It sets across-the-board tariffs of 15 per cent on most European Union exports to the United States, along with a commitment by Europe to invest $600 billion US in the American economy and spend $750 billion on U.S. energy products — although there's plenty of fine print still to come. That makes it broadly comparable to the deal Trump announced last week with Japan: a 15 per cent across-the-board tariff and a Japanese commitment to invest $550 billion in the U.S. Trump was threatening to hit Europe with 30 per cent baseline tariffs and Japan with 25 per cent on Aug. 1, so both trading blocs are selling the deals as wins. Because Canada is facing the threat of 35 per cent tariffs on some goods on the same date, does that mean Canada should be aiming for a similar agreement? Prime Minister Mark Carney certainly isn't saying so. Asked whether any forthcoming deal will be "in the ballpark" of those 15 per cent baseline tariffs, he emphasized the differences between Europe's and Canada's trading relationship with the U.S. "We are in a different position, and that is why these negotiations ... are different," Carney said on Monday, citing Canada's geographical closeness and energy exports to the U.S. "Europe, in that agreement yesterday, made commitments to buy American energy," he said at a news conference in Prince Edward Island. "America needs Canadian energy." WATCH | Canada's trade talks with the U.S. are different from Europe's, Carney says: Across-the-board tariffs 'difficult for Canada to accept' There are plenty of reasons why a 15 per cent baseline tariff rate is not something for Canada to aspire to, given that its economy is proportionally far more dependent on the U.S. market than Europe's and Japan's are. Jonathan O'Hara, an international trade lawyer in the Ottawa law office of McMillan LLP, said Canada should set its sights on a better deal than the EU or Japan negotiated since it's already so tightly integrated with the American economy. "On a broad level, having some kind of across-the-board tariffs, I think, would be very difficult for Canada to accept," O'Hara said in a weekend interview with CBC News. WATCH | Here's what's in Trump's tariff deal with the EU: Yet it appears that Canada doesn't actually face the prospect of tariffs that are truly across-the-board. That's because it has something that neither the European Union nor Japan have: an actual free-trade deal. Trump's "fentanyl emergency" tariffs, currently set at 25 per cent — which he's threatening to raise to 35 per cent on Friday — hit only those goods that don't comply with the rules of origin in the Canada-U.S.-Mexico Agreement (CUSMA). That means the vast bulk of Canada's exports to the U.S. are currently crossing the border tariff-free. Steel and aluminum tariffs a big question That may be why Carney's Liberal government does not feel the same sort of pressure as Europe and Japan to get a deal on Trump's timeline, said Drew Fagan, a professor at the University of Toronto's Munk School of Global Affairs and Public Policy. "Overall, the average tariff on Canadian goods going into the United States is about as low as any place in the world," he told CBC News. "What's important for us is that the [CUSMA] free-trade agreement continues to hold. Whether it will in the future, of course, is a fundamental question." The biggest exceptions to Canada's mostly tariff-free access to the U.S. are steel and aluminum, hit by Trump's 50 per cent global rate as he tries to prop up that sector at home. In their deals reached with the U.S., neither the EU nor Japan are let off the hook from that tariff. While Canada is surely angling for something better on steel and aluminum — such as the U.K.'s 25 per cent tariff, potentially headed to zero — the European and Japanese agreements suggest that will be tough to achieve. Carlo Dade, director of international policy at the University of Calgary's School of Public Policy, said Canada will likely face a tariff rate comparable to Europe's. "The Americans have decided to readjust the terms of trade," Dade said. "The price of access to the U.S. market is going up globally. It appears everyone is going to have to pay an increased cost." There are plenty of signs to suggest that the prospects are slim for Canada to reach a deal by Trump's deadline of Friday: Carney said the talks are complex, his top trade negotiators are downplaying the importance of the deadline and Trump himself is saying there may not be a deal at all.

Wall Street bank JPMorgan reshuffled ratings and price targets on a group of bitcoin miners to begin the week. Updating estimates for the group to reflect second-quarter earnings and changes to the network hashrate and the bitcoin price, the bank upgraded MARA Holdings (MARA) to overweight and lifted its price target to $22 from $19, suggesting about 30% upside from the Friday close just above $17. IREN (IREN) was downgraded to neutral from overweight, though the price target was lifted to $16 from $12. Riot Platforms (RIOT) was also cut to neutral from overweight, and its target increased to $15 from $14. Overweight rated CleanSpark (CLSK) is the bank's top pick, with a raised price target of $15 versus $14 previous, suggesting about 30% upside from the close just below $12 on Friday. Unrated Cipher Mining (CIFR) has a new price objective of $6. "In a shift, we favor the pure-play operators within our coverage universe, as they offer the best relative value, and are best positioned to benefit from a rising bitcoin price," analysts Reginald Smith and Charles Pearce wrote. Miner price targets have been increased to account for higher bitcoin prices and improving mining profitability, the authors continued. The world's largest cryptocurrency was trading around $118,700 at publication time.
