Jentayu to buy solar stake, raise RM49mil for Sabah hydro project

KUALA LUMPUR: Jentayu Sustainables Bhd plans to acquire a 51 per cent stake in Jentayu Solar Sdn Bhd for RM5.87 million and raise up to RM48.84 million via a private placement to support its renewable energy project in Sabah.
In a filing with Bursa Malaysia, the group said the stake in Jentayu Solar will be acquired from Jentayu Capital Sdn Bhd through a set-off arrangement involving part of a refundable deposit previously paid by the company.
Jentayu Solar operates a 5.99 megawatt (MW) solar plant in Pokok Sena, Kedah, under a 21-year power purchase agreement (PPA) with Tenaga Nasional Bhd that began in 2019.
Jentayu has also been granted a call option to acquire the remaining 49 per cent in Jentayu Solar from Seri Panglima Holdings Sdn Bhd for RM5.64 million within 12 months.
As Jentayu's managing director Datuk Beroz Nikmal Mirdin and his spouse Datin Nurhaida Abu Sahid are shareholders of Jentayu Capital, the acquisition is deemed a related party transaction and will require shareholder approval.
To help fund its 162MW hydropower project in Sipitang, Sabah, known as Project Oriole, Jentayu plans to issue up to 119.4 million new shares, potentially raising RM48.84 million.
Proceeds will be used primarily for the project's next phase, including expenses tied to the PPA with Sabah Electricity Sdn Bhd and securing project financing. Around RM15 million is earmarked for working capital.
Jentayu also proposed a variation in the use of RM16 million raised from a 2022 rights issue.
Initially intended for a separate hydro asset acquisition that was later aborted, RM5.87 million will now go towards funding the Jentayu Solar stake, while the balance of RM10.13 million will be channelled into future renewable energy investments.
The group said it is already in early talks to acquire a company involved in operating and maintaining a hydropower plant in East Malaysia, which could enhance internal capabilities and reduce long-term costs.
"The board believes these proposals will support the group's expansion in renewable energy and strengthen its long-term growth," it said.
Independent adviser QuantePhi Sdn Bhd has been appointed to advise non-interested shareholders on the related party aspects of the deal.

MELAKA: A total of 5.03 million hectares or 89.6 per cent of the oil palm plantation area in Malaysia has been certified under the Malaysian Sustainable Palm Oil (MSPO) certification scheme as of June 30 this year, said Deputy Minister of Plantations and Commodities Datuk Chan Fong Hin. He said the achievement reflects the continued commitment of Malaysia's palm oil industry to adopting sustainable plantation practices that align with internationally recognised standards. "The MSPO certification initiative also enforces strict standards to ensure that oil palm plantation companies and smallholders are not involved in any form of forced labour. To this end, the MSPO requires certified entities to comply with the Employment Act 1955, which stipulates that workers cannot be compelled to perform work without their consent," he said when opening the 'Know Your Rights, Do It Right' Programme Series 1/2025. The programme was also attended by the Secretary-General of the Ministry of Plantations and Commodities (KPK), Datuk Yusran Shah Mohd Yusof, here today. Chan said the programme was implemented by the ministry to provide the agri-commodity industry with clear and accurate information on labour issues in the plantation sector, particularly those involving foreign workers. He noted that currently, more than 75 per cent of the approximately 280,000 workers in the oil palm plantation sector are foreign workers, with the majority coming from Indonesia, followed by Bangladesh, India, and Nepal. "The government recognises that the continued heavy reliance on foreign labour can give rise to various issues and risks, including exploitation and forced labour, especially due to a lack of transparency in recruitment processes. "This can also lead to trade restrictions imposed by countries such as the United States if there is evidence of forced labour practices within the supply chain. "Therefore, the ministry has taken the initiative to organise programmes like this, to ensure that labour-related challenges no longer hinder the development and progress of the plantation sector," he said.

KUALA LUMPUR: The non-interested directors and independent adviser to Kim Hin Industry Bhd have recommended shareholders reject the company's ongoing takeover offer, citing a significant undervaluation of its shares and the risk of delisting. In the latest Independent Advice Circular (IAC) dated Aug 4, NewParadigm Securities Sdn Bhd described the 85 sen per share offer by Kim Hin (Malaysia) Sdn Bhd and Chua Seng Huat as "not fair and not reasonable." The IAC was filed by Kim Hin to Bursa Malaysia in accordance with takeover rules. It contains the views of the independent adviser appointed to evaluate the offer on behalf of the company's minority shareholders. The advisory firm noted that the offer price represents a 72.6 per cent discount to the estimated revalued net asset value of RM3.10 per Kim Hin share and a 54.8 per cent discount to the company's unaudited net asset value of RM1.88 per share as at March 31, 2025. "We are of the opinion the offer is not fair considering the significant discount... notwithstanding the offer price is at a premium to the historical market prices of Kim Hin Shares," NewParadigm said in its evaluation. "Based on the above, NewParadigm is of the view that the offer is not reasonable," it added. The board's non-interested directors, Datuk Sim Kheng Boon, Kho Soon Kheng and Aw Tai Hui, said they concurred with the independent adviser's view. "The non-interested directors... recommend that the holders reject the offer," they said in the circular. The 85 sen per share cash offer was made to acquire all remaining shares not already held by the joint offerors. As at the latest practicable date, the joint offerors and persons acting in concert hold 63.78 per cent of Kim Hin shares. The offer is unconditional and remains open until Aug 15, with the potential for extension. Despite persistent losses, including seven consecutive years in the red up to the financial year ended 2024, the board pointed to underlying asset value and future restructuring potential as reasons to reject the offer. The IAC also noted that the offerors do not intend to maintain Kim Hin's listing status. If acceptances push their shareholding to 90 per cent or more, they intend to invoke compulsory acquisition provisions under the Capital Markets and Services Act. "Holders should take note that... the joint offerors will procure Kim Hin to take the requisite steps to withdraw its listing status from the official list," the circular said. Although the offer provides liquidity in an otherwise thinly traded stock, with average monthly turnover of just 0.04 per cent over the past two years, the board warned that shareholders should monitor market prices and weigh their options carefully. "Holders should also monitor the prevailing market prices of Kim Hin shares vis-a-vis the offer price before deciding whether to sell... or to accept the offer," the directors said. Shares of Kim Hin last traded at 85 sen prior to the issuance of the IAC.

KUALA LUMPUR: Extending the mandatory retirement age will enable civil servants to increase their savings, pay off debts and cover their living expenses. Putrajaya Indian Civil Servants Association president Dr Sathiskumar K. Muthusamy said many civil servants made big financial commitments, such as house purchases and personal loans, only during their mid-career. "As a result, they are unable to pay off these debts by the time they retire, while their pensions are not sufficient to cover these commitments and other costs, such as their children's education and living expenses. "So, extending it (retirement age) will provide financial relief to civil servants." Prime Minister Datuk Seri Anwar Ibrahim, when tabling the 13th Malaysia Plan at Dewan Rakyat on Thursday, announced that the mandatory retirement age limit would be reviewed. Currently, the mandatory retirement for civil servants is 60 years old. This is also the minimum retirement age for private sector workers under the Minimum Retirement Age Act 2012. Dr Sathiskumar suggested that any policy should be flexible as not all sectors were suitable for retirement age of 65 years old. "Critical sectors such as medicine and education can be considered. For example, a medical consultant with extensive experience can still treat patients. "However, the performance and health of civil servants need to be monitored to ensure that the quality of service is maintained and productivity is not affected," he added. National Union of Teaching Professions (NUTP) president Aminuddin Awang said Malaysia's retirement age was lower than in Singapore and the Philippines. He said in the short term, the policy might affect promotion opportunities and staff recruitment but the effect would not be significant in the long term. "We must give those who are interested and have extensive experience the opportunity to continue serving for as long as they are able."
