US rival agrees £1.2bn deal for British car parts firm in new hit to UK stock market

The British car parts maker Dowlais has agreed to a £1.2bn takeover by its US rival American Axle & Manufacturing, in the latest departure from the London stock market.
The main operation of Dowlais, which has been listed on the FTSE 250 index since 2023, is GKN Automotive, which formed part of the GKN engineering business that was bought by the private equity group Melrose in an acrimonious £8bn takeover battle in 2018.
American Axle & Manufacturing will pay £1.16bn in cash and shares for Dowlais as the two companies aim to weather the transition to electric vehicles.
The deal is the largest US takeover deal for a UK company announced so far this year, and follows an exodus of London-listed companies during 2024.
There was increased transatlantic mergers and acquisitions activity in 2024, according to analysis by the law firm A&O Shearman, which found that the relative strength of US equity markets made the UK an attractive hunting ground for potential bidders.
The Dowlais takeover comes just months after the CEO of Dowlais said carmakers' switch to electric vehicles would take longer than expected, as several manufacturers scaled back their EV plans.
The companies said that joining together would 'create a leading global manufacturer with the scale, product portfolio, technology and global diversification required to lead and innovate in a transitioning business environment'.
Dowlais, which supplies 90% of the world's carmakers, employs about 30,000 people globally. Under the terms of the deal, American Axle & Manufacturing will acquire it for 85.2p a share, a premium of 25% on the UK firm's closing share price on 28 January. Dowlais shares climbed by as much as 11% on Wednesday, before falling back slightly.
Dowlais's chief executive, Liam Butterworth, said the deal would create a company which could be a leading supplier as the world 'transitions to electrified mobility'.

Butterworth said last August that European sales of EVs were challenging because of changes to government subsidies and policies supporting the move away from petrol and diesel cars, as the company announced a slide in profits.

Shares in UK lenders surged on Monday after a favourable supreme court ruling significantly slashed the anticipated bill for companies engulfed in the car finance scandal. Specialist lender Close Brothers, which is the most exposed to the scandal, jumped as much as 27% at the start of trading, while the UK's biggest motor loan provider, Lloyds Banking Group, rose by 5.5%. Shares in Barclays, which no longer provides car finance but is dealing with the fallout for the remaining loans on its books, rose by 1.1%. The motor finance industry – which ranges from big banks such as Lloyds and Santander UK to specialist lenders and the finance arms of carmakers such as Ford and BMW – dodged a collective £44bn compensation bill after the supreme court broadly sided with lenders in a ruling on Friday. The Financial Conduct Authority (FCA) subsequently announced plans for a much smaller redress scheme, which will go out for consultation by October. It is expected to cost lenders between £9bn and £18bn. The scheme will help draw a line under the car finance scandal, compensating millions of drivers who were overcharged as a result of controversial commission arrangements between lenders and car dealers as far back as 2007. Lloyds, which had previously set aside £1.2bn to cover compensation payments, did not announce any further provisions on Monday, and said that the 'ultimate impact' on the bank would depend on a 'number of factors'. That included the outcome of the consultation over the FCA compensation scheme, any 'further interventions' including by regulators, as well as 'broader implications of the judgment, including legal proceedings and complaints.' However, Lloyds, which is the largest provider of motor loans in the UK through its Black Horse division, said any additional money put aside for compensation 'is unlikely to be material in the context of the group'. 'The provision will continue to be reviewed for any further information that becomes available, with an update provided as and when necessary,' Lloyds added. THOOTHUKUDI, India, Aug 4 (Reuters) - Vietnamese electric vehicle maker VinFast (VFS.O), opens new tab began operations at a new plant in India, its first overseas factory, on Monday, and said it hopes to source more parts locally and that it had received orders from Sri Lanka, Nepal and Mauritius. The loss-making carmaker has struggled to break into developed Western markets and its foray into India, the world's third-largest auto market, will be a key test of its vehicles' popularity and its business acumen. The plant in Thoothukudi in the southern state of Tamil Nadu has an initial capacity to build 50,000 EVs annually, scalable to 150,000. Its first vehicles will be two premium electric SUVs, the VF 7 and VF 6. VinFast has talked with several of its component suppliers, and some want to shift part of their production to the industrial park in India, VinFast Asia CEO Pham Sanh Chau told Reuters. The company plans to roll out cars to Indian showrooms later this month, he added. The pricing of the vehicles has not been disclosed. Though the orders from other nations mean the plant could evolve into an export hub, VinFast's immediate focus remains on Indian customers, Chau said. Last year, VinFast agreed with Tamil Nadu state to invest $500 million over five years and to work towards up to $2 billion in investment. Success in India will be key if it is to meet its global delivery target of 200,000 cars for 2025. It sold about 72,100 in the first half of the year, primarily in its home market. Production in the U.S. has, however, been delayed until 2028. The company also said it plans to eventually expand its other businesses to India, including its electric ride-hailing service.
