
Great Eastern holders vote on US$704mil OCBC delist plan
SINGAPORE : Oversea-Chinese Banking Corp's (OCBC) final attempt to fully control Great Eastern Holdings Ltd with its S$900 million (US$704 million) bid will be tested today, capping a two-decade quest by Singapore's second-largest lender to take over the insurer.
OCBC is just 6.28% shy of complete ownership, and Great Eastern's minority shareholders will vote at an extraordinary general meeting (EGM) whether to delist the 117-year-old firm with an improved bid from the bank.
If rejected, OCBC's so-called 'exit offer' will lapse, paving the way for the insurer's shares to resume trading.
Acquiring Great Eastern, one of the largest insurers in Singapore and Malaysia, will boost OCBC CEO Helen Wong's strategy to build an integrated financial services group that will better capture growth in the region's booming wealth management sector.
The insurer has total assets of more than S$100 billion with 16 million-plus policyholders, complementing the bank's business.
'The transaction is to streamline the group structure and we also think it opens up the potential to manage group capital more efficiently,' said Jayden Vantarakis, head of equity research for Southeast Asia at Macquarie Capital.
'Still, a full takeover would have a minimal impact on earnings or strategy as OCBC is already in control,' he said.
Trading in Great Eastern's shares has been suspended since July 2024 after OCBC failed to secure a sufficient level for a delisting or compulsory acquisition with last year's offer.
While the bank raised its bid by 17.8% last month to S$30.15 a share, the price is still at a discount to the insurer's 2024 embedded value of S$38.08 per share.
That metric has been used to value insurers elsewhere and has been cited by resistant minority shareholders urging a higher offer.
Great Eastern's independent directors have advised shareholders to accept OCBC's bid, which has been described by the firm's financial adviser EY as 'fair and reasonable'.
The insurer has contributed an average of about S$700 million a year in net profit to OCBC over the past 10 years, translating to an average of about 15% of OCBC's annual net profit over this period, the bank has said.
'While delisting Great Eastern has been a long-term goal for OCBC, the bank is satisfied with its 93.72% stake, regardless of the outcome of the EGM,' it said in a statement last month.
'OCBC does not intend to launch another offer in the foreseeable future,' it added.

He said the US would not reduce tariffs without reciprocal concessions. 'So we need to evaluate the impact on Malaysia if we give in to a request. If the balance is positive, we may proceed. But if the impact is negative, we must say no.' He also said Malaysia was taking a long-term view, with negotiations focussed on issues vital to the country's future competitiveness. 'Whatever we offer the US must be consistent with what we offer others,' he said, referring to Malaysia's other trade partners. 'We must be fair and balanced – it's not as simple as just reducing tariffs.' Tengku Zafrul also said Malaysia had remained firm on its red lines during the 90-day negotiation window with US officials. 'The key takeaway is that we stood firm on what we needed to stand firm on. For every single commitment negotiated, we asked ourselves on balance, would it be better to have a lower tariff for certain sectors but open up our market unconditionally on certain products?' At the core of Malaysia's position was its sovereignty and the government's duty to protect its regulatory space, he said. Tengku Zafrul said there were areas in which the country could not compromise as they involved the matter of sovereignty. He said non-negotiable matters included Malaysia's right to impose digital taxes, maintain its current procurement policies, and uphold laws passed by Parliament – especially those related to e-commerce and criminal law. Prime Minister Anwar Ibrahim has said he will meet US secretary of state Marco Rubio tomorrow to discuss the issue.

PAC summons Amir Hamzah over sale of shares, privatisation of MAHB
PAC chairman Mas Ermieyati Samsudin said finance minister II Amir Hamzah Azizan is being summoned as part of the committee's proceedings related to the management of public airports. PETALING JAYA : The Public Accounts Committee has summoned finance minister II Amir Hamzah Azizan to provide testimony regarding the sale of shares and privatisation of Malaysia Airports Holdings Bhd tomorrow. Its chairman, Mas Ermieyati Samsudin, said Amir Hamzah is being summoned as part of the PAC's proceedings related to the management of public airports, in which the committee has conducted six proceedings over the past week. Among the witnesses were former MAHB CEO Raja Azmi Raja Nazuddin, Hong Leong Investment Bank Bhd CEO Lee Jim Leng, and Retirement Fund Inc (KWAP) CEO Nik Amlizan Mohamed. Permodalan Nasional Bhd president and group CEO Abdul Rahman Ahmad, Bursa Malaysia CEO Fad'l Mohamed, and Securities Commission Malaysia executive director Zain Azhari Mazlan – representing SC chairman Faiz Azmi – were also called. Global investment firm BlackRock, which allegedly has connections with Israel and its military, completed its acquisition of GIP in October. GIP and Adia are taking up a 30% stake in MAHB through a consortium led by Khazanah. The rest will be owned by Khazanah (40%) and EPF (30%). Critics of the MAHB privatisation deal have claimed that EPF lost RM500 million in stock trading from buying back MAHB shares at higher prices after selling them at lower rates. Mas Ermieyati previously said PAC's inquiry into MAHB would not be limited to its privatisation deal, but would include issues related to the management of public airports, including the hike in airfares to Sabah and Sarawak, and the delayed reinstallation of the aerotrain service at KLIA.
