Rugby Resources Ltd. Provides Update on Arrangement with Pampa Metals

Vancouver, B.C., July 08, 2025 (GLOBE NEWSWIRE) — Rugby Resources Ltd. ('Rugby' or the 'Company') (TSX-V: RUG) is pleased to report that it has now filed and mailed materials to the shareholders of Rugby, including the Management Information Circular dated June 9, 2025 (the 'Circular') and related documents for the Special Meeting of the Rugby shareholders to be held in Vancouver on July 16, 2025 at 10:00 a.m. (the 'Meeting').
At the Meeting, shareholders will consider and vote on a Special Resolution (the 'Arrangement Resolution') approving the previously announced Statutory Plan of Arrangement (the 'Arrangement') involving the acquisition by Pampa Metals Corp. ('Pampa Metals') of 100% of the outstanding common shares of Rugby ('Rugby Shares'). Pursuant to the Arrangement, Rugby shareholders will receive one common share of Pampa Metals for every 6.4 Rugby Shares held. In addition, as part of the Arrangement, Rugby shareholders will also receive common shares (Aegis Shares) of a newly incorporated mineral exploration company, Aegis Resources Ltd. (Aegis) on the basis of one Aegis Share for every 10 Rugby Shares held.
To be effective, the Arrangement Resolution must be passed by at least two-thirds (66⅔%) of the votes cast by all Rugby shareholders present in person or represented by proxy at the Meeting. Following the closing of the Arrangement, Aegis will hold a 20% free-carried interest in the Cobrasco project (carried to completion of a feasibility study), a prospective, potentially high-grade copper-molybdenum porphyry in Colombia, a 1.5% NSR in the Mantau copper-gold project in north eastern Chile and a minority joint venture interest in the Georgetown porphyry copper project in Queensland, Australia. In addition, Aegis will hold the prospective El Zanjon and Venidero projects, potentially high grade epithermal gold silver targets in Santa Cruz Province, Argentina.
In addition, at closing of the Arrangement, Aegis will be a reporting issuer in British Columbia and Alberta. Management of Aegis does not intend to apply to list the Aegis Shares on any recognized stock exchange at this time. Management of Aegis will assess all Aegis's options and determine the best course of action for Aegis, including considering an application to list the Aegis Shares on a stock exchange in the future. There can be no assurance as to if, or when, the Aegis Shares will be listed for trading on any stock exchange.
Upon the recommendation of its Special Committee, the board of directors of Rugby, after careful consideration, has unanimously determined that the Arrangement is fair, from a financial point of view, to Rugby shareholders and that the Arrangement is in the best interest of Rugby. Accordingly, the Rugby board of directors unanimously recommends that Rugby shareholders vote in favour of the Arrangement Resolution.
On June 3, 2025, Rugby received conditional acceptance of the TSX Venture Exchange ('TSXV') for the Arrangement. In addition, on June 11, 2025, Rugby was granted an interim order of the Supreme Court of British Columbia (the 'Court') in connection with the Arrangement. Completion of the Arrangement is conditional upon, among others, receipt of a final order by the Court and final acceptance of the TSXV. The Court hearing in respect of the final order is expected to take place at 10:00 a.m. (Vancouver time) on Tuesday July 22, 2025 (or as soon thereafter as legal counsel can be heard).

We are confident that following the closing of the Arrangement Pampa Metals' management will immediately commence the rapid evaluation of the Cobrasco project. The advancement of Cobrasco should lead to a natural reassessment of the value of Aegis due to its 20% free-carried interest in Cobrasco .'
Additionally, Pampa Metals has announced a non-brokered private placement LIFE Offering for gross proceeds of $6,000,000 through the issuance of 37,500,000 common shares at a price of $0.16. Subject to completion of the Arrangement, Pampa Metals intends to use the net proceeds of the Offering to fund exploration drilling at the Cobrasco copper porphyry discovery in Colombia, preparatory work for the upcoming field season at the Piuquenes copper-gold discovery in Argentina, and working capital and general corporate purposes, as more specifically described in the Amended Offering Document ( refer July 4, 2025 News Release (CSE:PM)).

This is effectively elevating the business prospects for renewable energy companies like Northland Power (TSX:NPI). Yet, this renewable energy stock is down over 35% in the last five years, resulting in a strong, undervalued opportunity for investors. Here's why I think Northland Power stock is on the cusp of strong performance in the years ahead. New projects to drive cash flows for this renewable energy stock As you can see from Northland Power's stock price graph below, this renewable energy stock has had a rough time in the last five years. This price decline was a function of many things, such as rising interest rates, leverage, and inflation. Today, the macro environment is much improved, with lower interest rates and inflation. This is bringing positive changes to Northland's financial position. Also, Northland's battery storage project is now completed and in operation, and two of its other major projects, Baltic Power and Hai Long, are nearing the end stages of their development. This will mean lower capital expenditures as well as a significant ramp-up in cash flows in the coming two years. These projects will add $600 million to Northland's adjusted earnings before interest, taxes, depreciation, and amortization (EBITDA). Also, they will add $200 million to Northland Power's free cash flow. Northland Power: A diversified renewable stock Northland Power has a global footprint of 3.4 gigawatts of energy in operation and 2.2 gigawatts under construction. This footprint is diversified both geographically and by energy source. From Canada to Northern Europe to Taiwan, this diversification gives Northland more stability in its operations and financial performance. Looking ahead, the two new projects that are expected to come onstream in the next couple of years will provide further diversification. Furthermore, Northland's renewable assets are also diversified across energy sources. With clean-burning natural gas, wind, solar, and battery energy storage assets, Northland is ready to meet the demand growth for renewable energy. A strengthening balance sheet Finally, I'd like to address Northland's balance sheet. As you know, the company's business is highly capital-intensive. Back in 2021, Northland's long-term debt peaked at over $7 billion. Today, the company has managed to bring this debt level down to $6.1 billion. Also, as you know, interest rates have come down significantly in recent years. They hit 5% in 2023, but have since declined to the current 2.75%. This, coupled with Northland's debt reduction, is resulting in lower interest payments and healthier financials. The company currently has $1.1 billion of liquidity on the balance sheet to fund new projects. Management's guidance for adjusted EBITDA in 2025 is $1.3 billion to $1.4 billion. This represents an increase of between 3% and 11% versus 2024. As we head into 2026 and 2027, cash flow will get an additional boost from the newly completed projects, Hai Long and Baltic Power. The bottom line In closing, this renewable energy stock is gearing up to really see the benefits from its recent capital-intensive years. As its two new projects come into service in the next couple of years, cash flows will get a boost, and Northland's risk profile will decrease. As a result, the stock's valuation will rise. The Six Nations Championship is being lined up for new investment as part of a multibillion-pound attempt to cash in on the global growth of sport. The private equity giant CVC Capital has called in bankers to review options for its sporting portfolio, which include stakes in Europe's top rugby competition, Spanish and French top-flight football and women's tennis. A full squad of bankers from Goldman Sachs and the boutique advisers PJT Partners and Raine Group have been called up to help package up the disparate collection of sports and examine opportunities for refinancing and more acquisitions. The collection of assets, being brought together under an umbrella company with the working title SportsCo, is also being prepared for refinancing. City sources said the plans could include the sale of minority stakes in the overall business, which is valued at more than £10bn. CVC has appointed Marc Allera, the former head of BT's consumer division, to spearhead the discussions as chairman of SportsCo. The private equity firm is said to believe its portfolio could attract investment from Gulf sovereign wealth funds or fellow heavyweight buyout specialists. It is understood that a string of meetings have been lined up in the coming months with bankers hopeful of securing investment before the end of the year. No decisions on the final financial structure of SportsCo have been made, however. Private equity in sport The moves are designed to capitalise on booming global investor interest in sport, a field in which CVC has been a private equity pioneer. The firm enjoyed major success with its investment in Formula 1, which delivered billions in profit with a sale in 2016. The gains drove CVC's confidence in further sporting ventures in rugby and football. However, the relative complexity of club ownership and governance structures in these competitions has made it harder to make the swift operational and financial improvements on which private equity typically depends to deliver returns. CVC's £1.3bn investment in a 13pc stake in France's Ligue de Football Professionnel has been particularly problematic. A seemingly lucrative television rights deal with the streaming operator Dazn descended into acrimony, and then CVC's Paris offices were raided over allegations of corruption in its investment deal. The firm denies any wrongdoing. Its sports expansion also met with bad luck. CVC's 2018 investment in English top-flight club rugby was predicated on significant increases in revenue from grounds and television rights. Those assumptions proved particularly heroic when the pandemic struck and at one stage came close to making the Premiership bankrupt. SportsCo is being designed to allow CVC to refinance its portfolio and return money to its own investors while retaining control beyond the typical five to seven-year term of private equity ownership. The new vehicle will be responsible for senior appointments in the sports leagues in which it holds stakes and could seek to co-ordinate television rights discussions in an increasingly globalised market in which the likes of Netflix and Apple are expected to play a growing role. It comes at a time when private equity firms are generally struggling to cash in on investments made under very different conditions. Some 15 years of rock-bottom interest rates after the financial crisis delivered hundreds of billions of dollars into funds as investors hunted returns. Flush with cash, buyout firms ventured into riskier businesses and paid higher prices. Now, with debt more expensive and valuations depressed, some are struggling to return cash to their investors and being forced to seek innovative ways to deliver returns. CVC declined to comment. Whitecap Resources (TSX:WCP), a Canadian oil-weighted producer, might be flying under your radar. While energy stocks are often seen as volatile and more suitable for trading than income, Whitecap Resources breaks this notion with a hefty 7.6% dividend yield — paid in cash every single month. At a recent share price of $9.63, a $10,000 investment in Whitecap would generate approximately $757 annually, or about $63 per month. But is this eye-catching dividend too good to be true? Is the dividend safe? One of the first questions any prudent investor should ask is whether a high dividend is sustainable. In Whitecap Resources's case, the short answer is yes — for now. Whitecap's dividend is currently covered by both its free cash flow and earnings. Over the trailing 12 months, the company paid out only 68% of its free cash flow and 47% of its net income. With a breakeven West Texas Intermediate oil price of around US$55 per barrel — and current oil prices sitting above US$68 — there's a decent cushion. This year, the company is targeting production between 295,000 and 300,000 barrels of oil equivalent per day and expects to generate $2.8 billion in funds flow, or about $2.79 per share. Its planned capital expenditures total $2.0 billion, which still leaves room to support dividend payments — $431.4 million over the past 12 months — with some flexibility left over. To top it off, Whitecap is considering buying back shares, a move that can enhance shareholder value over time, especially since shares appear to be undervalued at the moment. Its balance sheet remains solid, with a long-term debt-to-capital ratio of just 13.7%. The risk you can't ignore However, it would be misleading to focus only on the present. Whitecap Resources's dividend history shows that it is highly sensitive to extreme market downturns. In 2020, during the pandemic-induced oil crash, Whitecap cut its dividend by 36%. Back in 2016, amid another energy price collapse, the dividend was slashed by nearly 54%. Each time, share prices also plummeted — falling below $1 during COVID and to around $6 in 2016. But there's a silver lining: both times, Whitecap raised its dividend again once markets recovered. That speaks to a management team willing to restore income when the business stabilizes, though it's clear the payout isn't immune to commodity price shocks. Investors should view Whitecap as a high-yield play with built-in volatility. It's best suited as a satellite position in a diversified portfolio — something to juice income or as a trading position that targets total returns with a focus on price gains, not something to anchor your retirement. Should you buy now? Whitecap Resources reports its second-quarter results on July 23, so waiting for that update could offer added clarity on the business performance and guidance. In the meantime, analysts believe the stock is undervalued by over 20% based on current oil prices and forecasted cash flows. That discount, paired with a secure (for now) 7.6% yield, makes this one of the more compelling income opportunities on the TSX. Bottom line: Whitecap pays a mouth-watering monthly dividend, backed by current cash flow, solid operations, and a strong balance sheet. Just don't forget — it's still an energy stock. If you've got the stomach for some bumps and a long-term outlook, this could be one dividend payer worth holding through the cycles.
