INSCO submits Rs 2,752 crore revised plan for HNGIL takeover after SC order
The Committee of Creditors (CoC) is likely to consider the revised proposal, and voting is likely to commence on Thursday, sources said.
INSCO, a company promoted by the Madhvani Group, having operations in many countries, has submitted a revised resolution plan on June 8, making Rs 2,752 crore offer comprising Rs 2,200 crore in upfront cash and equity valued at around Rs 550 crore.
The revised offer comes following the Supreme Court's directive to match the offer previously made by AGI Greenpac.
As per the apex court's order, only INSCO's plan will be considered for approval, with the entire resolution process, including voting, to be completed by July 2025.
INSCO's plan outlines payment of the entire Rs 2,200 crore cash component within 30 days of National Company Law Tribunal (NCLT) approval, along with infusion of working capital and equity issuance to CoC members within 90 days.
To fund the acquisition, INSCO has submitted a non-binding term sheet to Cerberus Capital Management with the resolution plan.
"It is estimated that significant capex would be required to revive and revitalise the business. We have budgeted about Rs 1,000 crore to rebuild all the furnaces and other equipment over the next few years," the resolution plan said.
However, sources said, some of the CoC members have flagged serious concerns over the viability and transparency of the proposal.
Further, sources said, lenders allege that INSCO's current plan does not adhere fully to the Supreme Court's directives.
Initially, AGI Greenpac was the front runner for HGIL, with a bid of Rs 2,752 crore. However, the Supreme Court in January rejected the bid on the ground that the company did not have a Competition Commission of India (CCI) approval for the acquisition.
INSCO had moved the court seeking cancellation of AGI Greepac's bid since the company did not receive CCI approval.
While rejecting a review petition filed by AGI Greenpac, the Supreme Court directed INSCO, the second-highest bidder, to match the offer given by AGI Greenpac.
The court also directed the resolution professional to complete the resolution process involving the approval of the INSCO resolution plan by the CoC by July 2025.

HC questions irregularities in preparing DPRs of Cuttack drain project
1 2 Cuttack: Orissa high court has taken serious note of irregularities in the preparation of detailed project reports (DPRs) related to the Rs 335.42 crore branch surface water channel (BSWC) drain project in Cuttack. A division bench of Justices S K Sahoo and V Narasingh, while hearing the matter on July 11, came down heavily on the housing and urban development department and noted with concern that the DPRs submitted by Cuttack Municipal Corporation (CMC) were neither authenticated nor bore the names of officials involved in their preparation. The court termed the lapses as "startling". The bench also questioned how a Bhubaneswar-based private consultancy firm came to represent the city engineer (CMC) during a crucial meeting held on April 30. "There is nothing on record to indicate how the private company could represent a govt official," the court observed. The matter pertains to the proposed construction of five BSWC drains in the city. Despite a decision taken in Dec 2023 to consult IIT Bhubaneswar for an expert review of the DPRs, the documents were sent instead to VSSUT. The shift was based on a communication dated June 17 this year from the firm. "It does not stand to reason how the govt's direction to consult IIT Bhubaneswar, keeping in mind the hydraulic analysis required, was ignored," the bench stated. When questioned by the court, the engineer assured the revised DPRs would be submitted by July 25. However, the judges noted the absence of any explanation as to why the firm was involved and why the IIT's expertise was bypassed.

PM-eBus Sewa scheme: Min urges Centre to give subsidies to states
Mangaluru: The central govt should provide direct subsidies to state govts to procure electric buses under the PM e-Bus Sewa scheme, instead of allocating them to private operators under the PPP model, said Karnataka transport minister Ramalinga Reddy. He was speaking after inaugurating the new automated driving test track at Kamblapadavu in Pajir village, Ullal taluk, on Sunday. The procurement and operation of electric buses was easy during the UPA regime. While the central govt was providing 50% of the fund, the state and its transport corporations had to invest 25% each to operate buses. Now, under the NDA regime, buses are not given directly to states but instead procured through tenders, and the subsidy goes to the participating bidders. They will own the buses, hire drivers, and also maintain the vehicles while the state corporations have to appoint conductors and pay the operators on a kilometre basis. The minister suggested that the central govt should directly pay the subsidy to the state transport corporations across the nation. He added that a discussion in this regard was held with Union minister HK Kumaraswamy too. "In fact, chief minister Siddaramaiah was scheduled to inaugurate the facility, which was developed at a cost of Rs 7.5 crore. However, due to technical reasons, the programme was postponed. Govt has been providing automated driving test tracks at 42 centres covering all districts in the state," he said. "The manual facility at Vamanjoor will be shifted to the new facility at Kamblapadavu within a few days. Once the linking process is completed, applicants will have to apply and book slots for tests online," he said.
