ET Intelligence Group: ArisInfra Solutions, a business-to-business (B2B) platform that helps construction and infrastructure companies buy materials, plans to raise ₹499.6 crore through fresh equity to repay debt and meet working capital requirements.The promoter group's stake will fall to 38% after the IPO from 58%. The company has shown traction in revenue over the past three years and posted profit in nine months to December 2024 after widening losses for the past two years.However, time taken to collect outstanding sales has increased, which has raised working capital requirements. Also, top five customers contribute about 42% to the revenue, reflecting client concentration. Given these factors, investors may wait and track the company's performance after listing.Incorporated in 2021, ArisInfra focuses on simplifying and digitising the procurement process for construction materials including aggregates, steel, cement, and other materials. Between April 2021 and December 2024, it has served 2,659 customers across 1,075 pincodes in cities including Mumbai, Bengaluru and Chennai. The company provides value-added services, such as advisory, consultancy, marketing and sales support through its arm ArisUnitern Re Solutions.Revenue grew by 24% annually to ₹696.8 crore in FY24 from ₹452.3 crore in FY22 while net loss widened to ₹17.3 crore from ₹6.5 crore. For the nine-month period ended December 2024, revenue and net profit were ₹546.5 crore and ₹6.5 crore, respectively.After adjusting for non-cash expenses such as fair value change on derivatives and employee share-based payment expenses (Esops), Ebitda stood at ₹45.2 crore in nine months ended December 2024 from ₹7.2 crore in FY22. Adjusted operating margin improved to 8.3% from 1.6% in the same period. Net debt increased to ₹256.2 crore from ₹132.2 crore by similar comparison. It plans to repay ₹204.6 crore of debt through IPO proceeds.The profitability is expected to improve after repayment of debt since it would reduce interest outgo, which formed 70.6% of the operating profit (EBIT) as of December 2024 compared with 90% in FY24. Trade receivables days increased to 139 days in nine months ended December 2024 from 137 days in FY24.The company has turned profitable for nine-month period of FY25; however, high interest outgo has limited the extent of profitability. As a result, considering the post-IPO equity and annualised net profit for the nine months to December 2024 the price-to-earnings multiple of 207 looks skewed. On a price-to-sales basis, the multiple works out to be 2.5.

The move across three core companies—Mahindra & Mahindra (auto and farm sector), Mahindra Electric Automobile and Mahindra Last Mile Mobility —comes amid surging sales and profit on the back of hit products such as the Thar driving the M&M stock up more than 12 times in five years. Mahindra has also overtaken Hyundai to become the country's second biggest manufacturer of passenger vehicles, thanks to its range of SUVs. The Esops will help broad-based wealth creation, the tractor-to-technology conglomerate said in an internal circular. ET has seen the note. It did not reveal how many shares the group will earmark for this purpose, but people in the know estimate the total outflow to be in the range of ₹ 400-450 crore. While granting Esops to keep employees motivated is not unusual, this could be the first time a large Indian conglomerate extends these benefits to shopfloor workers. The Esops, structured as restricted stock units (RSUs). Productivity Boost? The grant is being positioned as a reward for long-term contribution and a tool to align employees with value creation. 'This special grant reflects the organisation's appreciation for your efforts, makes you a co-owner of this enterprise, and gives you a share in the value that you have helped co-create,' said Anish Shah, group chief executive and managing director of M&M, in a note to employees. Rajiv Agarwal, department chair for strategy at leading B-school SPJMR, said with this move, Mahindra is fostering a productive environment, where labour participation drives higher overall productivity. 'This approach not only supports the company's growth but also allows employees to benefit from the rise in the stock price,' Agarwal said. 'It's a smart strategy — compensating workers not just with their salaries for the hours they work, but also rewarding them when the company does well. This dual benefit truly aligns employees' interests with the company's success.' The Esop scheme comes on the back of a sharp surge in valuations of Mahindra Electric and Mahindra Last Mile as well. Both have seen over 10x growth in the past five years, supported by strong execution, strategic focus and new business momentum. M&M's shares closed at ₹ 3,160 on the BSE on Friday, down 1.35 per cent from its previous close. Its market cap stood at ₹ 3,92,925 crore. The Esop shares will be granted to employees on permanent payrolls with at least 12 months' tenure in the group as of the announcement date. Depending on their income tax bracket, the beneficiaries may have to pay tax on the profits they make when they sell their Esop shares. However, shopfloor workers who earn below the taxable income limit won't have to pay any tax on these gains. The Mahindra Group communication credited executive chairman Anand Mahindra and executive director Rajesh Jejurikar for steering the transformation, while thanking employees' families and retired leaders for their support.

Remove Ads ET Intelligence Group: Initial public offerings (IPOs) are no longer the domain of companies in India's major cities with a rising trend of firms from Tier II and III cities venturing into the primary market in recent years, showed data compiled by 2021, 14 companies from the smaller cities raised ₹5,465 crore through public issues, comprising 4.2% of total IPO funds raised that year. In 2024, the IPO tally climbed to 37 and the amount raised shot up nearly eightfold to ₹43,316 crore or 27% of the value of total IPOs. This calendar year so far, 22 firms from smaller cities have raised ₹8,120 crore or nearly 15% of total funding through of these cities include Ratlam, Kanpur, Vapi, Sangli, and some of these companies are regional heavyweights in their sectors, others have expanded to overseas markets. For instance, Visakhapatnam-based Manoj Vaibhav Gems N Jewellers caters to Andhra Pradesh and Telangana, while Shreenath Paper from Aurangabad supplies to clients in Maharashtra, Gujarat, and Madhya Pradesh.
