Sebi relaxes Esop norms for IPO-bound startup founders

In a major relief to startup founders looking to go public, Sebi on Wednesday approved a proposal to allow them to retain employee stock options (ESOPs) granted at least one year prior to filing preliminary IPO papers.
Under the existing regulations, promoters are ineligible to hold or be granted share-based benefits, including ESOPs. If they hold such share-based benefits at the time of filing of draft red herring prospectus (DRHP), they have been required to liquidate such benefits prior to the IPO.
This provision has been found to be impacting founders classified as promoters at the time of filing of DRHP, Sebi noted.Sebi chairman Tuhin Kanta Pandey said the board approved a proposal to "facilitate founders who received such benefits at least one year prior to the filing of DRHP with the board, to continue holding, and/or exercising such benefits even after being specified as the promoter/s and the company becoming a listed entity".
These proposals are expected to assist public companies who intend to list after undertaking reverse flipping -- shifting the country of incorporation from a foreign jurisdiction to India.
This was the second board meeting under the chairmanship of Pandey, who assumed office on March 1.
Additionally, the Sebi board approved a to rationalise the content of the placement document of Qualified Institutions Placement (QIP) by prescribing only the relevant information regarding the issue.Presently, in QIPs, the issuer is required to disclose the details in the placement document as prescribed under ICDR (Issue of Capital and Disclosure Requirements) norms.Such disclosures are detailed in nature and preparing a lengthy placement document is a time-consuming exercise that results in duplication of information, which is already available in the public domain."The board approved amendments to ICDR Regulations for simplifying and streamlining the placement document for qualified institutional placement by listed entities," Sebi said, adding this builds on the simplification and streamlining undertaken for rights issues by listed entities.The proposal factors in the availability of information for listed entities in the public domain, and reduces or eliminates duplication of such information in the placement document. Making disclosures has also been enabled in a summarised and concise form.
Such areas of disclosure being simplified include risk factors being specified in relation to the issue, the objects of the issue and the material risks (dispensing with generic risk factors being disclosed), providing a summary of financial position (dispensing provision of complete financial statements) and providing a summary of issuer's business and the industry in which it operates.

Sebi bans Jane Street entities for alleged expiry-day index manipulation

Markets regulator Sebi has barred US-based trading firm Jane Street from the securities markets and directed the company to disgorge unlawful gains of ₹4,843.57 crore for allegedly manipulating index levels on expiry days to gain massive profits in index options. JSI Investments, JSI2 Investments Pvt Ltd, Jane Street Singapore Pte Ltd, and Jane Street Asia Trading of Jane Street Group (JS Group) have been prohibited from the markets. According to an interim order passed by Sebi on Thursday, (July 3, 2025) JS Group entities made over ₹43,289 crore in profits from index options on NSE from January 1, 2023 to March 31, 2025 across all product categories and segments of NSE. Also, the entities were directed to cease and desist from directly or indirectly engaging in any fraudulent, manipulative or unfair trade practice or undertaking any activity, either directly or indirectly, that may be in breach of norms. Sebi found the manipulative trading patterns of JS Group early this year. NSE as a first line regulator clearly and explicitly cautioned the JS Group to desist from taking on large risks in the index options markets, and to desist from undertaking trading patterns that raised concerns of manipulative behaviour. In turn, JS Group themselves represented in February 2025 to NSE of their commitment to adhere to all regulations, the regulator said. Sebi also noted that JS Group again resorted to undertaking prima facie manipulative 'extended marking the close' trading patterns of large and aggressive intervention in index and constituent markets towards the expiry day closing, so as to influence and manipulate the index to their illegal advantage in May 2025, despite a caution letter in February and its own declarations to the NSE. "Such egregious behaviour, in clear disregard/ defiance of the explicit advisory issued to them by NSE in February 2025, amply demonstrates that unlike the vast majority of Foreign Portfolio Investors and other market participants, JS Group is not a good faith actor that can be, or deserves to be, trusted. "In the face of such a strong prima facie case that allowing the JS Group to continue as before may severely compromise investor protection on an extraordinary scale, Sebi has a duty to directly intervene," Sebi's whole time member Ananth Narayan G said in the order. Accordingly, Sebi directed the JS Group to disgorge unlawful gains worth ₹4,843.57 crore.

The Securities and Exchange Board of India (SEBI) has issued a temporary order regarding Jane Street's purported manipulation through its positions in equity derivatives. SEBI's move coincides with an increase in activity from several global trading companies, such as Citadel Securities, IMC Trading, Millennium, and Optiver, as they enhance their involvement in India's rapidly growing derivatives markets. At the same time, investors are closely monitoring the prospects of a trade agreement between India and the US, particularly in light of President Donald Trump's deadline of July 9 for imposing retaliatory tariffs. On the technical front, Rajesh Palviya of Axis Securities believes the current levels of Nifty 50 and the short- and medium-term outlook remain bullish, with an expected upside of 25,800–26,000 levels. Here's what Palviya says about the overall market. On the daily and weekly charts, the stock is trending higher, forming a series of higher tops and bottoms, indicating bullish sentiments. Nifty 50 is sustaining above its 20, 50,100 and 200-day SMAs, which signals positive bias. From current levels, the short- and medium-term outlook remains bullish with expected upside of 25,800-26,000 levels. On the downside, the short-term supports are placed around 25,300-25,000 levels. The daily strength indicator RSI has turned bearish and sustained below its reference lines, indicating a loss of strength. Aster DM Healthcare share price has registered an all-time high, representing bullish sentiments. With the current close, the stock has decisively surpassed the "multiple resistance" zone of 610 on a closing basis, indicating further momentum. This breakout is accompanied by huge volumes, which signifies increased participation. The stock is sustaining above its 20, 50, 100 and 200-day Simple Moving Averages (SMA), reconfirming the bullish trend. The daily "band Bollinger" buy signal suggests increased momentum. The daily and weekly strength indicator, Relative Strength Index (RSI), is in favourable territory, indicating rising strength across all time frames. Investors should consider buying, holding, and accumulating this stock. Its expected upside is ₹ 685-745, and its downside support zone is the ₹ 610-595 levels. With the current week's price action, UPL share price has witnessed a strong momentum along with huge volumes, which signifies increased participation. This buying momentum is observed from the 20 and 50-day SMA support zone, which remains a crucial level (646) to watch for. The daily and weekly strength indicator, Relative Strength Index (RSI), is in favourable territory, indicating rising strength across all time frames. The daily "band Bollinger" buy signal suggests increased momentum. Investors should consider buying, holding, and accumulating this stock. Its expected upside is ₹ 713-745, and its downside support zone is the ₹ 670-660 levels. For the last three months, Voltas share price was strongly consolidating within 1340 and 1200 levels; however, with the current close, the stock has decisively surpassed multiple resistance zones on a closing basis, which signals a strong comeback of bulls. The 20 and 50 day SMA bullish crossover reconfirms positive bias. The daily and weekly strength indicator, Relative Strength Index (RSI), is in favourable territory, indicating rising strength across all time frames. Investors should consider buying, holding, and accumulating this stock. Its expected upside is ₹ 1,450-1,500, and its downside support zone is the ₹ 1,330-1,300 levels. GIFT Nifty: GIFT Nifty July 2025 futures were trading 50 points lower in early trade, suggesting a negative opening for the Nifty 50. SEBI Action on Jane Street: The Securities and Exchange Board of India (SEBI) has barred U.S.-based trading firm Jane Street Group from accessing the Indian securities market. According to an order posted on SEBIs website, the firm and its related entities are prohibited from buying, selling, or otherwise dealing in securities, directly or indirectly. SEBI has also issued an interim order to impound over Rs 4,843.57 crore in alleged illegal gains. The regulator stated that Jane Street allegedly used strategies to artificially influence the Nifty 50 index to benefit from larger positions in index options. Banks have been directed not to allow any debits from accounts held individually or jointly by the firms entities without SEBIs prior approval. Institutional Flows: Foreign portfolio investors (FPIs) sold shares worth Rs 1,481.19 crore, while domestic institutional investors (DIIs) were net buyers to the tune of Rs 1,333.06 crore in the Indian equity market on 3 July 2025, provisional data showed. According to NSDL data, FPIs have sold shares worth Rs 2224.93 crore in the secondary market during July 2025. This follows their purchase of shares worth Rs 8466.77 crore in June 2024. Global Markets: Asian stocks were mixed on Friday, taking cues from Wall Street, where investors cheered a surprisingly upbeat U.S. jobs report that soothed fears of an economic cooldown. Overnight, U.S. indices were all green. The S&P 500 and Nasdaq Composite notched fresh record highs, while the Dow Jones Industrial Average climbed 0.77%. The S&P 500 rose 0.83%, and the Nasdaq led the pack with a 1.02% gain. U.S. market is closed Friday for the Independence Day holiday. Data from the U.S. Bureau of Labor Statistics showed that nonfarm payrolls increased by 147,000 in June, above expectations and revised upward from 144,000 in May. The unemployment rate declined slightly to 4.1%, while average hourly earnings rose 0.2% month-over-month, indicating limited wage-driven inflation. Initial jobless claims also fell to a six-week low. In corporate developments, shares of Tripadvisor rose following reports that activist investor Starboard Value has acquired a stake exceeding 9% in the company. Datadog shares also advanced after it was announced the company will be added to the S&P 500 index. Domestic Market: The headline equity indices closed with modest losses on Thursday, extending their losing streak for the second straight session. Supported by positive global cues, the market opened on a firm note and saw continued buying through the first half of the session. However, the rally lost steam toward the close, dragging key indices lower. The S&P BSE Sensex fell 170.22 points or 0.20% to 83,239.47. The Nifty 50 index lost 48.10 points or 0.19% to 25,405.30. In two consecutive sessions, the Sensex and Nifty are down by 0.54% and 0.53%, respectively.
