Rapid Micro Biosystems Announces Inducement Grants Under Nasdaq Listing Rule 5635(c)(4)

LEXINGTON, Mass., June 13, 2025 (GLOBE NEWSWIRE) -- Rapid Micro Biosystems, Inc. (Nasdaq: RPID) (the 'Company'), an innovative life sciences technology company providing mission critical automation solutions to facilitate the efficient manufacturing and fast, safe release of healthcare products, today announced the grants on June 2, 2025, of (i) 160,000 restricted stock units ('RSUs') of the Company's Class A common stock ('Common Stock') and (ii) non-qualified stock options to purchase an aggregate of 250,000 shares of Common Stock (the 'Options') as a material inducement to employment to a new employee. All such equity awards were made under the Company's Inducement Plan, as amended (the 'Inducement Plan') and were approved by a majority of the independent directors of the Board of Directors or a duly authorized committee thereof in accordance with Nasdaq Listing Rule 5635(c)(4). The equity awards are subject to the terms and conditions of the Inducement Plan, and the terms and conditions of the applicable stock option and RSU award agreements covering the grants.
The Options have an exercise price of $3.45 per share, which is equal to the closing price of Common Stock on their grant date. Twenty-five percent (25%) of Options will vest and become exercisable on the first anniversary of their grant date, and 1/48th of Options will vest and become exercisable each month thereafter, in each case, subject to such employee's continued employment on each vesting date.
The RSUs will vest annually over a three-year period, with one-third of the RSUs vesting on each anniversary of their grant date, subject to such employee's continued employment on each vesting date.
The Inducement Plan is used exclusively for the grant of equity awards to individuals who were not previously an employee of the Company, or following a bona fide period of non-employment, as an inducement material to such individual's entering into employment with the Company, pursuant to Rule 5635(c)(4) of the Nasdaq Listing Rules.

What Happened: The share price of Tesla has been highly volatile since Trump won the 2024 presidential election. Tesla shares hit new all-time highs in December 2024, driven by optimism for the electric vehicle leader and the strong relationship between Musk and Trump, which could help address regulatory issues and attract new fans. Tesla stock also traded over $400 at the start of 2025. Musk is worth an estimated $361 billion according to Bloomberg. While that figure is significant and higher than second-place Mark Zuckerberg ($252 billion), it is down $71.2 billion year-to-date in 2025. That means in 2025 alone, Musk has lost more money than the total net worth of all but about 20 It's Important: Tesla stock is down 16.7% year-to-date in 2025, which has significantly impacted Musk's wealth, as he owns approximately 12% of the company. Other stakes in SpaceX and xAI have held up better but are less volatile, as they are privately held and don't experience the same valuation spikes as Tesla stock does on a day-to-day basis. Regardless of how much Musk and Trump are worth, the Tesla CEO's net worth is significantly higher, but investors may soon learn which figure truly matters when it comes to valuing Tesla. Trump has threatened to investigate the subsidies that Tesla receives and is again speaking critically of electric vehicles. Tesla investors should also keep in mind that Trump was once strongly opposed to autonomous vehicles and stated that he would ban them from the road. The president appears to have had a change of heart or been influenced by Musk to make it easier to get autonomous vehicles on the road today. Musk previously set a Guinness World Record in 2022 with the largest single-year wealth drop, with his net worth declining between $180 billion and $200 billion. It is unlikely that Musk could see such a significant drop again in 2025, but continued battles between Musk and Trump could be a storyline to watch. Why AeroVironment Stock Plunged This Week

Dilution fears were raised on news of twin capital-raising moves. The company is floating both fresh stock and convertible senior notes in a public offering. 10 stocks we like better than AeroVironment › Military drone specialist AeroVironment (NASDAQ: AVAV) has generally done well as a stock lately. But that didn't happen this week, as news of a round of capital-raising dampened investor sentiment on the company. According to data compiled by S&P Global Market Intelligence, AeroVironment stock lost more than 11% of its value over the period. On Monday, AeroVironment announced it would float both a secondary share offering and an issue of convertible senior notes. The following day it set the parameters for the pair. With the former, it's selling just over 3.5 million shares of its common stock in an underwritten public offering at $248 per share. The underwriters of the flotation have been granted a 30-day option to collectively purchase an additional 29,234 shares. As for the convertible senior notes, AeroVironment is issuing $650 million aggregate principal amount at an interest rate of 0%. They are to be convertible at the investor's option under certain conditions and at certain periods. The initial conversion rate is slightly over 3.1 shares per $1,000 principal amount of the notes; the company said this equates to $322.40 per share. AeroVironment said it expected both issues to close on Thursday, July 3, and to net proceeds of around $1.47 billion. The company aims to use a bit more than $965 million to retire debt, with the remainder being directed to "general corporate purposes." These include an increase in manufacturing capacity. Currently, AeroVironment has just under 45.6 million shares outstanding, so if conversion rates are high with the notes, the twin issues could be dilutive. Shareholder dilution is the bane of many of an investor, so it's likely this was the root of their discontent during the week. On a fundamental basis, though, AeroVironment still looks like a good stock to own. The company seems to be doing well satisfying the growing demand for combat drones, as witnessed by its impressive fourth-quarter performance and its growing backlog. I wouldn't be down on the stock only because of its latest capital-raising moves.
