Sapura Energy set for regularisation plan

PETALING JAYA: Sapura Energy Bhd (SEB) is finalising a regularisation plan to exit the Practice Note 17 (PN17) status that includes a few corporate exercises to put the company on a stronger financial and operational standing.
The company said in a statement that the plan would be finalised soon and includes a fund-raising initiative in which the Finance Ministry through Malaysia Development Holding Sdn Bhd (MDH) will subscribe up to RM1.1bil in redeemable convertible loan stocks (RCLS) to fund its repayment to vendors.
'MDH will become a major shareholder upon full conversion of the RCLS, which will result in MDH holding more than 33% of SEB's enlarged share capital,' the upstream oil and gas operator said.
There would also be a proposed capital reconstruction involving a 99.99% capital reduction to offset accumulated losses; and a 20-to-1 share consolidation to enhance share trading prices and reduce price volatility.
'A comprehensive proposed debt restructuring exercise will reduce SEB's total borrowings from about RM10.8bil to RM5.6bil, yielding substantial interest savings and reduced financial burden, through several mechanisms that, among others, includes debt conversions to equity and equity-like instruments and a debt waiver,' SEB explained.
The company added that under its reset plan, there would be a focus on improving bidding and project delivery capabilities.
The plan has resulted in a sustained annual revenue of RM4bil since its launch in 2022.
Meanwhile, the company said it would continue its efforts in repositioning itself for long-term sustainability and profitability.
For its financial year ended Jan 31, 2025, the company posted a net profit of RM190mil on the back of RM4.7bil in revenue. Its order book currently stands at RM8.2bil.
Group chief executive officer Muhammad Zamri Jusoh said with the strategic initiatives and the successful implementation of the proposed regularisation plan, SEB is confident in its path to operational recovery, improved financial health, and eventual upliftment from PN17 status.
'We are hopeful that this plan will not only enable SEB's recovery but also catalyse the growth of the country's energy ecosystem,' he said.
Muhammad Zamri added the plan, plus the company's continued focus on its core business in engineering and construction, drilling, and operations and maintenance, represents the most viable pathway to a turnaround in its financial status.
'We are confident the successful execution of the plan will return the group to profitability and restore confidence among stakeholders,' he noted.
Its share price remained unchanged at 4.5 sen yesterday, with a market capitalisation of RM661.53mil.

Kota Kinabalu: The listed company developing the city's Crowne Plaza project has been in the real estate development news lately for the wrong reason. In 2017, the InterContinental Hotels Group signed a management agreement with Golden Wave for the first Crowne Plaza hotel in Sabah, East Malaysia. Advertisement Golden Wave, the receiver and manager, is inviting interested parties, through an advertisement dated July 10, 2025, with financial capacity and relevant experience to register their interest in reviving the Crown Kota Kinabalu Project at Jalan Wawasan KK Sentral. The 367-room Crowne Plaza Kota Kinabalu Waterfront, slated to open in 2021, was to be part of a mixed-use development at a waterfront location in downtown Kota Kinabalu. Ten minutes from Kota Kinabalu International Airport, the hotel is within walking distance to major office buildings, shopping centres and tourist attractions. Four years later, however post-Covid, the hotel project has yet to be completed. In April 2025, Ho Hup Construction Co Bhd slipped into Practice Note 17 (PN17) status and in June 2025, it defaulted on revolving credit facilities from AmBank Islamic Berhad amounting to RM45.3 million. The default was due to the company being unable to meet principal and interest instalments due to cash flow difficulties. Last year, Ho Hup Construction Company Bhd said its 52 per cent-owned unit, Golden Wave Sdn Bhd (GWSB), obtained an interim restraining order from the High Court in Kota Kinabalu, shielding it from legal actions by its creditors. GWSB is 70 per cent owned by Ho Hup's property development division, Ho Hup Ventures (KK) Sdn Bhd (HHVKK), which is in turn 75 per cent owned by Ho Hup. The Sabah Development Bank Bhd (SDB) has taken legal action against Ho Hup and HHVKK over a loan facility granted to GWSB. In a filing made last September, Ho Hup said that it is being sued in its capacity as a corporate guarantor for GWSB, while Ho Hup Ventures is being sued by SDB as a shareholder of GWSB. At that time, Ho Hup noted that SDB had withdrawn all claims and suits against GWSB after the latter filed for judicial management. In January this year, the Pro Tem Committee of The Crown (PTCTC) met with Mayor Dato' Sri Dr Sabin Samitah and City Hall officials as the land is under DBKK, on issues which may hinder completion of the project to safeguard the interests of buyers. RKN & Co (RKN) was appointed as Receiver and Manager for the developer GWSB. In a filing with the stock exchange recently, the company said it had received a notice of demand and termination dated May 29, 2025, from the bank over the outstanding amount. Ho Hup said the total outstanding under the facilities represents 13.37 per cent of the group's net assets of RM338.48 million, based on audited financial statements for the year ended Dec 31, 2023, and 31.97 per cent of net assets of RM141.60 million, based on its latest announced financials. Ho Hup acknowledged that the default could lead to legal action by AmBank Islamic. To address this, it plans to begin discussions with the bank on a settlement proposal. It has also appointed an independent financial adviser to engage with creditors on a debt restructuring proposal to regularise its financial position. On April 18, Ho Hup announced its classification as a PN17 issuer after wholly owned Bukit Jalil Development Sdn Bhd defaulted on RM112.69 million in loan facilities for which Ho Hup is the guarantor. The company has been in the red since 2021. For the financial period ended March 31, 2025, it posted a net loss of RM27.2 million on a revenue of RM2.29 million. There are no comparative figures as the group changed its financial year-end from Dec 31, 2024, to June 30, 2025. As of end-March 2025, its current borrowings stood at RM366.3 million, with non-current borrowings at RM71.9 million. Current assets amounted to RM667.2 million, while non-current assets totalled RM185.9 million.

Malaysia's state-owned asset manager is considering selling its toll road unit Projek Lintasan Kota Holdings Sdn. in a deal that could be worth RM3bil, people with knowledge of the matter said. Permodalan Nasional Bhd., also known as PNB, is working with a financial adviser on the planned divestment, said the people, asking not to be identified as the process is private. PNB has reached out to potential investors including industry players and private equity firms to gauge initial interest, the people said. Deliberations are ongoing and PNB could still opt to keep Prolintas, as Projek Lintasan is known, the people said. As a long-term investor committed to delivering sustainable returns, PNB regularly reviews its investment portfolio for opportunities to enhance value, including potential divestments or strategic repositioning, PNB said in an emailed statement. All decisions are guided by a rigorous governance process aligned with our investment objectives, it said. It is PNB's policy not to comment on market speculation or rumours, according to PNB. Any material developments will be communicated through the relevant channels in accordance with regulatory requirements, it said. KUALA LUMPUR: Sapura Energy Bhd (SEB) will convene an extraordinary general meeting (EGM) on July 30, 2025, for shareholders to vote on its proposed regularisation plan aimed at restoring the company's financial health and exiting Practice Note 17 (PN17) status. In a filing with Bursa Malaysia today, SEB outlined four key components of the plan, which include capital reconstruction, debt restructuring, fundraising, and a proposed exemption for Malaysia Development Holding Sdn Bhd (MDH) and its partners from making a mandatory general offer. SEB said the capital reconstruction exercise involves a 99.99 per cent reduction and a 20-to-1 share consolidation, but neither exercise will affect the percentage shareholding of existing shareholders. The company also plans to reduce its borrowings from RM10.8 billion to RM5.6 billion under the debt restructuring proposal, which is expected to cut annual interest costs by 60 per cent or more than RM500 million. Meanwhile, MDH will subscribe up to RM1.1 billion in redeemable convertible loan stocks (RCLS) to help settle outstanding vendor payments in the local oil and gas ecosystem. The final component of the plan seeks to exempt MDH and its persons acting in concert from making a mandatory offer should they fully convert their RCLS. SEB said a dedicated shareholders' help desk will be set up from July 15 to assist with queries regarding the proposed regularisation plan. With shareholders' approval, the company aims to strengthen its equity position, improve liquidity and contract execution, restore market credibility, and eventually apply to exit its PN17 status upon recording two consecutive quarters of profit post-restructuring. Group chief executive officer Muhammad Zamri Jusoh described the proposals as a decisive step in shaping the company's future and determining whether it can transform into a resilient, profitable enterprise. "By addressing legacy liabilities, enhancing our equity base and securing strategic support, we are rebuilding the foundation for future profitability and shareholder returns.
