Trillion Energy Announces Debt Settlements

Vancouver, B.C., June 27, 2025 (GLOBE NEWSWIRE) -- Trillion Energy International Inc. ('Trillion' or the 'Company') (CSE: TCF) (OTCQB: TRLEF) (Frankfurt: Z62), announces that it proposes to issue an aggregate of 7,725,908 common shares of the Company at $0.05 per share in settlement of $386,295.42 in debt owed by the Company to directors, officers and consultants of the Company (the "Debt Settlement"). The common shares will be subject to a four month and one day hold period from the date of issuance as per applicable Canadian securities legislation.
In connection with the Debt Settlement, an aggregate of 3,900,000 common shares of the Company is being issued for certain management services from directors and officers of the Company (the "Insider Settlement").
The Insider Settlement is considered a 'related-party transaction' within the meaning of Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ('MI 61-101'). The Company has relied on exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of the related party participation in the Debt Settlement based on that the fair market value of such insider participation does not exceed 25% of the Company's market capitalization.

Canada retaliates against U.S. steel imports after Trump terminates trade talks

President Donald Trump said Friday that he had terminated trade discussions with Canada, citing an incoming Canadian tax on tech companies including those based in the U.S. In a post on Truth Social, Trump referred to Canada as "a very difficult country to trade with" and said that its levy on tech firms — the first payment for which is due Monday — "is a direct and blatant attack on our Country." "Based on this egregious Tax, we are hereby terminating ALL discussions on Trade with Canada, effective immediately," he said. "We will let Canada know the Tariff that they will be paying to do business with the United States of America within the next seven day period." Last week Canada's finance minister said that he would not delay implementation of the digital services tax — which applies to any tech company making more than $15 million from Canadian internet users — even as U.S. trade talks continue. A lobbying group for some tech giants said the tax, which is retroactive to 2022, would cost U.S. companies as much as $3 billion. Those payments are due beginning June 30. The office of Canadian Prime Minister Mark Carney didn't immediately respond to a request for comment. But late Friday, Canada retaliated against the U.S. by imposing a quota on some steel imports and a 50% surcharge for imports that exceed the quota. Canada's finance minister said the government was acting to protect its industry from "unjust U.S. tariffs." Canada's government said it "remains prepared to take additional steps as needed." Trump's post cuts short what had been a relatively calm period of trade-related announcements — a stretch that had helped markets recover to the all-time highs seen in February. Shortly after Trump's post went live, the S&P 500 and Nasdaq indexes briefly turned negative but rallied later in the afternoon to close at all-time highs. Friday had begun with encouraging comments from Treasury Secretary Scott Bessent, who indicated the president was open to moving the previously announced deadline for trade deals from July 9 to Labor Day — and that country-by-country duties themselves were negotiable. A few hours later, Trump said that initial July 9 deadline was not set in stone, saying the U.S. could either extend or shorten it. Canada is the second-largest U.S. trading partner. Currently, the U.S. has a tariff rate of 25% applied to Canadian imports that don't comply with the U.S.-Mexico-Canada Agreement, the trade deal Trump inked during his first term before he upended it with a flurry of tariff announcements in his second. The 25% tariff on non-compliant Canadian goods excludes energy products, which are subject to a 10% rate. Canada is also heavily impacted by Trump's 50% tax on steel and aluminum imports — the country is the largest foreign supplier of those materials to the U.S. And it has also been impacted by the 25% duties Trump has imposed on foreign-made vehicles and auto parts. Zettl (the ' acquiror '), who serves as the President and CEO and a director of ZYUS Life Sciences Corporation (' ZYUS ') provides updates to his holdings of Common shares (' Common Shares ') in the capital of ZYUS, Common Share purchase warrants of ZYUS (' Warrants ') and options to purchase Common Shares (' Options '). On June 27, 2025, the acquiror participated in a non-brokered private placement of units (' Units ') of ZYUS (the ' Private Placement ') at a price of $0.67 per Unit, with each Unit comprised of one Common Share and one half of one Warrant (each whole Warrant, a ' Private Placement Warrant '). Each Private Placement Warrant entitles the holder to acquire one Common Share at a price of $0.95 for a period of twenty-four months from the date of issuance, subject to certain acceleration provisions. The acquiror acquired, indirectly through 1189115 B.C. LTD. 298,507 Units (comprised of 298,507 Common Shares and 149,253 Warrants) under the Private Placement. MONTREAL, June 27, 2025 /CNW/ - Transat A.T. Inc. ('Transat' or the 'Corporation') announces that on June 27, 2025, it was served with an application for an interlocutory injunction and permanent injunction (the 'Injunction Application') from Financière Outremont Inc. ('Financière Outremont'), a company controlled by Mr. Pierre Karl Péladeau, in connection with the announcement of the agreement in principle published on June 5, 2025, with Canada Enterprise Emergency Funding Corporation ('CEEFC') regarding the restructuring of the debt incurred by Transat under the Large Employer Emergency Funding Facility (LEEFF) program managed by CEEFC during the COVID-19 pandemic (the 'Transaction'). Since the announcement of the agreement in principle, the Corporation's share price has increased from $1.64 at market close on June 4, 2025, to $2.83 at market close on June 27, 2025, representing a 72% increase. As a reminder, upon completion of the Transaction, the outstanding debt with CEEFC will be written-off by nearly 50%, from $772M as at March 31, 2025, to $334M as follows: At no time will the exercise of Warrants or conversion of Preferred Shares result in CEEFC beneficially owning more than 19.9% of the common shares, and therefore, CEEFC will not exert control over the Corporation. The Injunction Application by Financière Outremont aims in particular to prevent the closing of the Transaction, beneficial for the Corporation, unless the Corporation obtains shareholder approval, which the Corporation deems not required. In this regard, the Corporation reiterates that it has rightfully relied on the formal valuation and minority approval exemptions contained in sections 5.5(g) and 5.7(1)(e) of Regulation 61-101 respecting Protection of Minority Security Holders in Special Transactions, given that the Transaction significantly strengthens the financial position of the issuer, which was becoming extremely precarious due to the size of its debt, as repeatedly disclosed in the Corporation's public filings. The Corporation believes the allegations made by Financière Outremont are unfounded and intends to contest them vigorously and seek dismissal of the Injunction Application. This application does not affect the Corporation's operations. The Corporation recalls that the announced Transaction is the result of discussions initiated over 18 months ago with CEEFC and the review of a range of alternatives conducted through a robust process with the assistance of a special advisory committee of the Board of Directors composed solely of independent directors, with a view to establishing an optimal long-term capital structure for the Corporation. The Transaction was unanimously approved by the Board of Directors on the recommendation of the special committee, which completed its work with the assistance of external financial and legal advisors.
