TORONTO — Americas Gold and Silver Corporation (TSX: USA) (NYSE American: USAS) ('Americas', 'AGS' or the 'Company'), a growing North American precious metals producer, is pleased to announce that it has closed its previously announced (see AGS news release dated June 3, 2025) US$100 million senior secured debt facility ('Term Loan Facility') provided by funds affiliated with SAF Group ('SAF'), primarily to fund growth and development capital spending at the Galena Complex. The US$100 million Term Loan Facility consists of three tranches as follows: a US$50 million term loan which was advanced to Americas upon closing, and two additional tranches of US$25 million each which are available to the Company after satisfying certain conditions precedent.

The Americas team is progressing well on our plans with the reintroduction of longhole stoping and associated underground development, continued major equipment purchases and upgrades to the No. 3 shaft.

Americas recently mobilized a new longhole drill at Galena which is now actively drilling longhole stoping areas. The longhole stoping mining method is expected to provide several advantages compared to the existing predominant underhand cut-and-fill mining method. Advantages include improved safety and productivity, lower costs, and increased backfill capacity to reduce waste hoisting requirements. In addition, the Company has bolstered its underground mining fleet with the acquisition of 10 new pieces of equipment made up of seven loaders – ranging from 2-yard to 4-yard capacities – and three 20-tonne haul trucks. The expanded fleet will support the productivity gains and reduced unit costs expected to be achieved as increased longhole stoping is implemented.

We are also advancing trade off studies focused on overall materials handling at Galena to optimize productivity underground and hoisting schedules.

Term Loan Facility

The Term Loan Facility consists of:

A term loan with proceeds of US$50 million advanced at closing. The initial tranche advanced on the closing date is subject to an interest rate of SOFR (4% floor) plus 6% per annum and matures 60 months following the closing date. Principal will amortize over the term of the loan, with principal repayments commencing one year after the closing date and payable quarterly thereafter.
Two additional US$25 million tranches that will be available to the Company upon the achievement of certain conditions precedent. The first additional tranche will be subject to an interest rate of SOFR (4% floor) plus 6% per annum after funding. The second additional tranche will be subject to an interest rate of SOFR (4% floor) plus 4% per annum after funding. Principal will amortize over the term of the loan with principal repayments commencing one year after the closing date and payable quarterly thereafter.

SAF holds senior security over all the Company's assets and undertakings other than those relating to Americas Cosalá Operations located in Sinaloa, Mexico and its Relief Canyon Project located in Nevada, USA, which are secured in priority to SAF by Trafigura and Sandstorm, respectively for the duration of those financing arrangements. The Term Loan Facility is subject to an agreed OID and other fees that are customary for a facility of this size.

Sustainable showcase in Orillia to feature the future of boating

From the dock to Lake Couchiching, the future of boating will be on full display this weekend at the Sustainable Orillia Green Innovative Showcase. ENVGO is showcasing its fully electric hydrofoil prototype called the NV1. Mike Peasgood, CEO of ENVGO, said the hydrofoil is the main principal the electrification. 'The main principle behind that technology is a wing which sits underneath the water and it lifts the hull out of the water,' said Peasgood. 'That gives us some incredible efficiency and performance which really makes that electrification practical.' The sleek vessel promises to go farther and faster than gas-powered boats, with hydrofoils that lift it above the water for a smoother, more efficient ride. 'That's really the big differentiator beyond the zero emissions,' said Peasgood. 'We're not polluting the environment but we're also giving an overall better experience of that smooth flight over water and really showcase what that future of marine technology is going to look like.' Danny Epstein is the vice president of the Sustainable Orillia Green Innovation Showcase. The event runs Saturday July 26 from 10:00 a.m. to 5:00 p.m and Sunday 10:00 a.m. to 4:00 p.m. He hopes people who attend the showcase have a better understanding of sustainability after walking through the grounds. 'We can't keep growing and we can't be dependent on growth all the time. and people need to understand that there are limits to growth,' said Epstein. 'We live in at a time where, obviously there's lots of evidence of climate change.' 'Boats that you do see here are new technology, particularly the ENVGO boat,' said Epstein. 'That's new Canadian technology, and it's clean technology.' Vendors like M-Oceans participating in the showcase say that electric will be the future of boating. 'Yes, 100% sustainability is where it's all headed towards, we see vessels from small inflatable dinghies to sailboats to even some larger power boats being converted, very actively today,' said Anatolii Shkliaruk, founder of M-Oceans. With functional benefits continuing to increase on EV vessels. 'Sailing off into the sunset with no noise, no gas, no clouds of smoke, and quiet,' said Shkliaruk. 'It aligns with the philosophy of sailing and boating in general and all the harbors and the small lakes are then clean with no spills. There's no oil and marine wildlife is preserved.' With a small fraction of electric boats in the water today, Peasgood believes there will be a shift coming. 'That's because it takes so much power to push the boat through the water. What we're building here, is the technology which gives us the efficiency so that electric becomes practical,' said Peasgood. 'I think, inevitably, we'll transition to electric, and this is a technology that we need to make that happen.' The showcase is free attend and will have activities for kids including face painting.

The telecom company says it will require its corporate employees to be in the office four days a week starting in October. It says in-office days will increase to five days a week in February. There will be no changes for front-line or production teams. Rogers spokesperson Zac Carreiro says the phased approach will give workers and their families time to adjust to the changes. The telecom company isn't alone in reining in hybrid work policies. TD Bank asked its employees earlier this week to be in the office four days a week starting in the fall. Other big banks, including RBC, Scotiabank and BMO have also mandated at least four days in office starting in September, while Canaccord Genuity is reportedly moving to five. The Canadian Press
