Americas Gold and Silver Closes US$100 Million Debt Financing With SAF Group and Provides Galena Update
TORONTO — Americas Gold and Silver Corporation (TSX: USA) (NYSE American: USAS) ('Americas', 'AGS' or the 'Company'), a growing North American precious metals producer, is pleased to announce that it has closed its previously announced (see AGS news release dated June 3, 2025) US$100 million senior secured debt facility ('Term Loan Facility') provided by funds affiliated with SAF Group ('SAF'), primarily to fund growth and development capital spending at the Galena Complex. The US$100 million Term Loan Facility consists of three tranches as follows: a US$50 million term loan which was advanced to Americas upon closing, and two additional tranches of US$25 million each which are available to the Company after satisfying certain conditions precedent.

The Americas team is progressing well on our plans with the reintroduction of longhole stoping and associated underground development, continued major equipment purchases and upgrades to the No. 3 shaft.

Americas recently mobilized a new longhole drill at Galena which is now actively drilling longhole stoping areas. The longhole stoping mining method is expected to provide several advantages compared to the existing predominant underhand cut-and-fill mining method. Advantages include improved safety and productivity, lower costs, and increased backfill capacity to reduce waste hoisting requirements. In addition, the Company has bolstered its underground mining fleet with the acquisition of 10 new pieces of equipment made up of seven loaders – ranging from 2-yard to 4-yard capacities – and three 20-tonne haul trucks. The expanded fleet will support the productivity gains and reduced unit costs expected to be achieved as increased longhole stoping is implemented.

Term Loan Facility

The Term Loan Facility consists of:

A term loan with proceeds of US$50 million advanced at closing. The initial tranche advanced on the closing date is subject to an interest rate of SOFR (4% floor) plus 6% per annum and matures 60 months following the closing date. Principal will amortize over the term of the loan, with principal repayments commencing one year after the closing date and payable quarterly thereafter.
Two additional US$25 million tranches that will be available to the Company upon the achievement of certain conditions precedent. The first additional tranche will be subject to an interest rate of SOFR (4% floor) plus 6% per annum after funding. The second additional tranche will be subject to an interest rate of SOFR (4% floor) plus 4% per annum after funding. Principal will amortize over the term of the loan with principal repayments commencing one year after the closing date and payable quarterly thereafter.

SAF holds senior security over all the Company's assets and undertakings other than those relating to Americas Cosalá Operations located in Sinaloa, Mexico and its Relief Canyon Project located in Nevada, USA, which are secured in priority to SAF by Trafigura and Sandstorm, respectively for the duration of those financing arrangements. The Term Loan Facility is subject to an agreed OID and other fees that are customary for a facility of this size.

Loblaw's Q2 profit up from a year ago amid higher customer traffic

The parent company of Loblaws and Shoppers Drug Mart says its net earnings available to common shareholders amounted to $714 million or $2.37 per diluted share for the quarter ended June 14. The result was up from a profit of $457 million or $1.48 per diluted share in the second quarter of 2024. On an adjusted basis, Loblaw says it earned $2.40 per diluted share in its latest quarter, up from an adjusted profit of $2.15 per diluted share a year earlier. Revenue for the quarter totalled $14.7 billion, up from $13.9 billion, as food retail same-store sales rose by 3.5 per cent. Drug retail same-store sales rose 4.1 per cent, with pharmacy and health care services same-store sales up 6.2 per cent, and front store same-store sales increasing 1.7 per cent. Tesla shares fall amid delays, distractions and fading EV dominance

THE CANADIAN PRESS/ Patrick Doyle Tesla's shares sank nearly seven per cent in premarket trading on Thursday as the EV giant grapples with sinking sales and mounting doubts over its future under CEO Elon Musk, deepening investor anxiety after another shaky quarter. Musk warned of a 'few rough quarters' ahead for Tesla, as cuts in U.S. EV incentives compound its challenges. The automaker reported one of its most difficult quarters in over a decade, marked by a second consecutive revenue slide. This comes amid slumping EV sales, tariff pressures and fresh controversies around Musk, fueling turbulence for the company at a time it can least afford it. Tesla is working on a cheaper model, but Chief Financial Officer Vaibhav Taneja said production would ramp up next quarter, slower than initially expected. The company gave no update on its annual deliveries forecast, citing the economy and uncertainties looming over its rollout plans. 'Tesla is crossing the chasm to autonomy while absorbing slower volume, EV incentive elimination, tariffs and investing in new initiatives that may not make margins for years,' analysts at Morgan Stanley said. The company's trillion-dollar valuation hinges on its robotaxi ambitions, a small trial of which was started in Austin, Texas, last month with about a dozen Model Y SUVs, and its push to build humanoid robots. Despite a recent facelift for its flagship Model Y, Tesla's aging lineup is facing the heat from a wave of low-cost EV rivals, especially in China, and ongoing blowback over Elon Musk's far-right political views. 'Musk is the face of Tesla, and for many people, the brand can't exist outside of his influence. So, when his credibility and trust decline, so does the equity of the Tesla brand,' said Daniel Binns, Global CEO at Elmwood. 'In parallel, we've seen the EV market rapidly mature and Tesla is no longer the shining star,' Binns added. Tesla's stock is down about 18 per cent so far this year, making it the worst performer among the 'Magnificent Seven' stocks.
