
Subsea 7 S.A. Notice of Extraordinary General Meeting
Luxembourg – 24 July 2025 – Subsea 7 S.A. (Oslo Børs: SUBC, ADR: SUBCY) (the Company) today published and distributed to eligible holders of common shares the notice of meeting for an extraordinary general meeting of shareholders (the EGM). The purpose of the EGM is to consider the proposed combination between Subsea7 and Saipem SpA.
The EGM is scheduled to take place at 15:00 (local time) on 25 September 2025 at 5, place Winston Churchill, L-1340 Luxembourg.
The holders of common shares on record at the close of business on 11 September 2025 will be entitled to vote. The deadline for submission of votes for holders of common shares is 19 September 2025.
The notice of meeting and supporting materials, including the common merger plan, the report of the board of directors with respect to the common merger plan, and the reports of the respective independent experts of the Company and Saipem SpA, will shortly be available on the Company's website, subsea7.com.
The EGM agenda includes the proposal to distribute a dividend of €450m, equating to approximately NOK 18.00 per share as at today's date. This distribution is in accordance with the terms of the merger with Saipem S.p.A., conditional on completion of the merger and expected to be paid immediately before the proposed merger effective date.
In addition, the EGM agenda includes a proposal to distribute a special dividend of €105m, equating to approximately NOK 4.15 per share, as at today's date. This distribution is related to a permitted business divestment in accordance with the merger agreement with Saipem SpA. The distribution is expected to be paid after closing of the relevant transaction or (if earlier) immediately before the proposed merger effective date.
The key dates relating to both proposed dividends shall be published as soon as these dates are fixed.

Scotland grants offshore consent for 100MW Salamander wind farm
The Scottish government has awarded Section 36 consent and associated marine licences to the 100MW Salamander wind farm in a significant step forward in its commitment to the floating offshore wind industry. The project is being jointly developed by Ørsted, the Simply Blue Group and Subsea7. The consent gives developers the go-ahead to construct and operate the floating array. Positioned 35km offshore Peterhead in northeast Scotland, the Salamander offshore wind farm will harness floating offshore wind technologies to generate zero-carbon electricity. The project, with an accompanying 100MW onshore battery system, will contribute to the Scottish government's target of 11GW of installed offshore wind as well as the UK government's target of 5GW of operational floating offshore wind by 2030. The endorsement from Marine Directorate Licensing and Operations (MD-LOT), along with contributions from stakeholders such as NatureScot, now sanctioned by Scottish ministers, strengthens local supply chains. Following the onshore planning permission in principle award for on-site works in March 2025, the latest consent assures that project timelines are maintained towards deployment before year-end 2030. The team will now focus on securing an option agreement with Crown Estate Scotland and subsequently aim to obtain a contract for difference (CfD) agreement. Project director Hugh Yendole stated: 'Coming hot on the heels of the onshore consent, this is yet another major achievement by the project team. While we worked proactively with MD-LOT to achieve offshore consent – including compensation plans - within the 12-month target window, the award within 15 months reflects our team's expertise, passion, commitment and seamless teamwork.' Salamander signed an exclusivity agreement in May 2023 as part of Crown Estate Scotland's innovation and targeted oil and gas (INTOG) leasing round. With a focus on floating supply chain development, the Salamander wind farm will enable the local supply chain to prepare for commercial-scale opportunities in Scotland. The project will de-risk floating wind technologies and integration with battery storage systems to address challenges such as grid balancing and co-located generation for future commercial projects in Scotland and beyond. Saipem and Subsea7 merger agreement sealed
Italy-based energy company Saipem and Subsea7 have signed a binding merger agreement, forming a new entity in the energy sector. The combined entity, to be named Saipem7, is projected to have revenues of around €21bn ($24.75bn), with EBITDA (earnings before interest, taxes, depreciation and amortisation) exceeding €2bn and a substantial backlog worth €43bn. The merger, with the memorandum of understanding signed in February this year, is expected to generate more than €800m in free cash flow and create significant shareholder value. A shareholders' agreement has been signed by Eni, CDP Equity and Siem Industries, ensuring support for the merger. The CEO of Saipem7 will be Alessandro Puliti, designated by Eni and CDP Equity, while Kristian Siem of Siem Industries will serve as the chairman of the board. The merger aims to benefit clients by combining the strengths of both companies, including a global reach across more than 60 countries, a diversified fleet and a combined workforce of approximately 44,000. The transaction is set to yield annual cost and capital expenditure synergies of around €300m from the third year post-completion. Saipem7 plans to distribute at least 40% of its free cash flow to shareholders annually after lease liabilities are covered. The merger will be executed through an EU cross-border statutory merger, with Saipem absorbing Subsea7 and retaining its incorporation in Italy. The newly formed company will be headquartered in the Italian city of Milan and listed on the Milan and Oslo stock exchanges. Post-merger, Siem Industries will hold an 11.8% stake in Saipem7, while Eni and CDP Equity will own 10.6% and 6.4%, respectively. Subsea7 shareholders will receive 6.688 new Saipem shares for each Subsea7 share, leading to an equal shareholding between Saipem and Subsea7's current shareholders upon completion. Saipem7 will consist of four business units, with the Offshore Engineering & Construction segment operating as an autonomous company under the name Subsea7, branded as 'Subsea7, a Saipem7 Company'. This unit will incorporate Subsea7's businesses and Saipem's Asset Based Services, encompassing offshore wind operations. Other business units are Onshore Engineering & Construction, Sustainable Infrastructures and Drilling Offshore. The merger, subject to customary conditions and regulatory approvals, is expected to be completed in the second half of 2026.
