Elliott calls for Sumitomo Realty improvements in rare letter

Elliott Investment Management is calling for Sumitomo Realty & Development to improve shareholder returns and corporate governance, saying the Japanese real estate developer's stock is worth 40% more than its current value.
The New York-based investment firm released a public letter Monday, saying it would vote against Tokyo-based Sumitomo Realty's senior management at the upcoming annual shareholders meeting if there's no meaningful progress made on improving its value.
The letter is a rare public move by Elliott, which has kept quiet on most of its Japan investments. In the past year, news reports have unveiled the firm's activist engagement with companies like Tokyo Gas, Mitsui Fudosan and SoftBank Group. Elliott's stake in Sumitomo Realty was first reported in March.
Shares of Sumitomo Realty fell 0.6% to ¥5,468 on Monday morning in Tokyo. The stock has gained about 11% this year.
A Sumitomo Realty representative wasn't immediately able to comment.
Elliott said Sumitomo Realty is one of the most undervalued real estate developers in Japan, assessing that its stock is worth at least ¥8,000, based on the valuation of its real estate holdings and peer companies. It called on the company to unwind its cross-shareholdings in companies such as Taisei and Obayashi, increase its shareholder payout ratio to 50% or more and set a return-on-equity target of at least 10%.
Elliott owned a 2.99% stake in Sumitomo Realty at the end of March, according to public filings from the company. In the letter, the investment fund said it has built up a more than 3% holding. In Japan, shareholders who have held 3% of a company for more than six months can call a special meeting.
Most of Elliott's Japan investments have focused on boosting returns through share buybacks, selling off older real estate holdings and unwinding equity stakes in other companies. Sumitomo Realty's annual shareholder meeting is scheduled for June 27.

Support for Prime Minister Shigeru Ishiba's government has slipped ahead of key national elections next month, a poll showed on Monday, with his cash handout plan to help the public deal with inflation having failed to impress voters. The current ruling bloc of Ishiba's Liberal Democratic Party (LDP) and junior partner Komeito lost its Lower House majority last year. A poor showing in the Upper House elections slated for July 20 would likely weaken his grip on power further. Support for Ishiba's government stands at 34%, down from 39% in the previous poll three weeks ago, according to the poll conducted by public broadcaster NHK. The LDP says in its campaign pledges that it plans to give out ¥20,000 ($139) to each individual and an additional ¥20,000 to children as well as adult members of low-income households amid rising prices. But the NHK poll showed 32% of those surveyed do not evaluate the plan very positively and 31% do not evaluate the plan positively at all.

Orix to sell $1.3 billion stake in Greenko to founders

Orix will sell most of its stake in Greenko Energy Holdings back to the Indian clean energy producer's founders for $1.28 billion. Tokyo-based Orix agreed to transfer a 17.5% holding in Greenko, out of its total ownership of 20%, to AM Green Power, which was established by the founders of Greenko, according to a statement on Monday. Orix will also invest about $731 million in a convertible note issued by parent company AM Green (Luxembourg) Sarl. Orix shares gained as much as 3.6% in Tokyo on Monday, their biggest intraday gain since April 10. AM Green aims to produce 5 million tons of green ammonia annually, and has the first 1 million tons-a-year project under construction in the coastal town of Kakinada in the state of Andhra Pradesh, the company said in a statement. The complex will also house a 2-gigawatt electrolyzer manufacturing factory as well as units to produce green chemicals, including sustainable aviation fuel. With Monday's deal, AM Green and its founders will own about 25% of Greenko, which is on track to build 10 gigawatts of renewable capacity and 100 gigawatt hours of daily storage capacity by 2030, according to the statement. Orix originally agreed to sell its entire stake in Greenko in January, but the pact was terminated by the Japanese company in April. The buyers had failed to agree with funding partners over financing of the transaction, Orix said at the time.
