(Nasdaq: XENE), a neuroscience-focused biopharmaceutical company dedicated to discovering, developing, and delivering life-changing therapeutics for patients in need, today announced equity inducement grants to six new non-officer employees consisting of an aggregate of 24,200 share options. All of the foregoing share options were approved by the Compensation Committee of the Company's Board of Directors with an effective date of July 31, 2025 and were granted as inducements material to the employees entering into employment with the Company in accordance with Nasdaq Listing Rule 5635(c)(4). The share options have an exercise price of $30.54 per common share, which is equal to the closing price per share of Xenon's common shares on the grant date of July 31, 2025. All amounts referred to in this press release are in US dollars unless otherwise stated. The following press release should be read in conjunction with the Company's unaudited condensed consolidated interim financial statements for the three and six months ended June 30, 2025, and management's discussion and analysis ('MD&A') for the three and six months ended June 30, 2025, which can be found on SEDAR+ at . Q2 2025 Headlines: Year-to-Date Q2 2025 Headlines: Total revenue for the three months ended June 30, 2025 is $184.0 million, an increase of 13% or $21.1 million, compared to $162.8 million for the same period in 2024. For the six months ended June 30, 2025, total revenue was $362.6 million, an increase of 19%, or $58.7 million, compared to $303.9 million for the same period in 2024. The increase for the three and six months compared to the same period in the prior year is attributable to revenues from new acquisitions. The Company experienced organic growth of 9% and 2%, respectively, for the three and six months ended June 30, 2025, or 6% and 1% after adjusting for the impact of changes in the valuation of the US dollar against most major currencies in which the Company transacts business. For acquired companies, organic growth is calculated as the difference between actual revenues achieved by each business in the financial period following acquisition, compared to the estimated revenues they achieved in the corresponding financial period preceding the date of acquisition by the Company. Organic growth is not a standardized financial measure and might not be comparable to measures disclosed by other issuers. Operating income for the three months ended June 30, 2025 was $62.7 million, an increase of 71%, or $26.1 million, compared to $36.6 million for the same period in 2024. Operating income for the six months ended June 30, 2025 was $122.2 million, an increase of 51%, or $41.1 million, compared to $81.1 million for the same period in 2024. The increase for the three and six month periods is primarily attributable to growth from acquisitions. Operating income is not a standardized financial measure and might not be comparable to measures disclosed by other issuers. See 'Non-IFRS Measures'. Net income for the three months ended June 30, 2025 was $23.6 million compared to net loss of $2.2 million for the same period in 2024. Net income for the six months ended June 30, 2025 was $44.3 million compared to net loss of $306.6 million for the same period in 2024. The increase in net income for the three and six months is primarily attributable to growth from acquisitions and the Mandatory Conversion of Preferred and Special Securities on March 25, 2024 such that no further preferred and special securities expense was booked in the subsequent quarters. For the three months ended June 30, 2025, CFO increased $68.7 million to $78.4 million compared to $9.7 million for the same period in 2024 representing an increase of 705%. For the six months ended June 30, 2025, CFO increased $73.8 million to $118.5 million compared to $44.7 million for the same period in 2024 representing an increase of 165%. The primary reason for the increase is that CFO includes the impact of changes in non-cash operating assets and liabilities exclusive of effects of business combinations or changes in non-cash operating working capital ('NCOWC') which improved during the three and six months ended June 30, 2025 compared to the same period prior year, as well as higher operating income. For the three months ended June 30, 2025, FCFA2S increased $69.6 million to $72.4 million compared to $2.8 million for the same period in 2024. For the six months ended June 30, 2025, FCFA2S increased $75.8 million to $107.4 million compared to $31.5 million for the same period in 2024. The increase in the three and six months ended June 30, 2025 is driven by higher CFO compared to the same periods in 2024. FCFA2S is a non-IFRS Measure. See 'Non-IFRS Measures'. Non-IFRS Measures Operating income (loss) refers to income (loss) before income taxes, amortization of intangible assets, redeemable Preferred and Special Share expense, gain on bargain purchase, and finance and other expenses (income).
