Zetrix AI to file judicial review against Bursa over announcement breach penalty

Bursa Malaysia Securities Bhd fined Zetrix AI Bhd's seven directors RM150,000 each for failing to ensure that three company announcements in 2023 were factual and accurate.
PETALING JAYA : Zetrix AI Bhd, formerly known as MyEG Services Bhd, will seek a judicial review against Bursa Malaysia Securities Bhd over a penalty imposed on its seven directors in relation to three company announcements made two years ago.
In a bourse filing today, Zetrix AI said its board of directors consulted the firm's lawyers and decided to apply for a judicial review.
'Further announcements on any material developments will be made as and when it is appropriate and/or necessary,' the firm said.
Yesterday, Bursa fined Zetrix AI's seven directors RM150,000 each for failing to ensure that three company announcements in 2023 were factual and accurate, breaching the main market listing requirements.
The seven are Wong Thean Soon, Norraesah Mohamad, Jimmy Wong Abdullah, Wong Kok Chau, Mokhtar Shariff, Jeffrey Joakim, and Mohaini Yusof.
Bursa said Zetrix AI announced on July 7, 2023, among others, that a notification letter dated July 4, 2023 from the home ministry confirmed the finance ministry's approval of the company's appointment as the government revenue collection agent and extended its role as the provider of online services for the immigration department.
Bursa however said that the July 7 announcement was inaccurate, false and misleading as it was inconsistent with the contents of the July 4 letter.
It said Zetrix AI and the directors also failed to make an immediate announcement to clarify the inconsistency, but maintained its misrepresentation of matters in the company's subsequent announcements on Sept 13 and Sept 14 that year.
'(This occurred despite) market concerns as reported by New Straits Times on Sept 12, 2023 in an article titled 'MyEG illegally renewing workers' permits', and by The Edge titled 'MyEG said to be charging fees for foreign worker permits despite contract suspension'.'
Bursa said there was no reasonable justification for the failure of the company and directors to ensure that the announcements were factual and accurate, and comply with the directive.
It also said that the firm had represented, among others, that the announcements were accurate and justified based on the past contract renewals and historical precedent in relation to the extension.
On June 30, the concessionaire for the Malaysia electronic-government MSC flagship application announced its name change to Zetrix AI, also changing its stock short name from MYEG to Zetrix.

On Friday, MSCI's broadest index of Asia-Pacific shares outside Japan rose 0.8% to its highest since late 2021, bringing the weekly gain to 1.7%. Japan's Nikkei, however, slipped 0.2%, and the yen was at 148.54 per dollar, down about 0.7% this week after polls showed Prime Minister Shigeru Ishiba's coalition was in danger of losing its majority in the election on Sunday. Data on Friday showed Japan's core inflation slowed in June due to temporary cuts in utility bills but stayed beyond the central bank's 2% target. The rising cost of living, including the soaring price of rice, is among reasons for Ishiba's declining popularity. "If PM Ishiba decides to resign on an election loss, USDJPY could easily break above 149.7 as it would usher in an initial period of political turbulence," said Jayati Bharadwaj, head of FX strategy at TD Securities. "JPY could reverse the recent dramatic weakness if the ruling coalition wins and is able to make swift progress on a trade deal with Trump." Chinese blue-chips rose 0.3% while Hong Kong's Hang Seng index gained 1.2%. The Tapei-listed shares of TSMC, the world's main producer of advanced AI chips, rallied 2.2% after posting record quarterly profit on Thursday, though it said future income might be affected by U.S. tariffs. In the foreign exchange market, U.S. the dollar was on the back foot again on Friday, having bounced 0.3% overnight against major peers on the strong economic data. For the week, it is headed for a second successive gain of 0.6%, bouncing further from a 3-1/2 year low hit over two weeks ago. Fed Governor Christopher Waller said on Thursday he continues to believe the central bank should cut interest rates at the end of this month, though most officials who have spoken publicly have signalled no desire to move. Fed funds futures imply next to no chance of a move on July 30, while a September rate cut is just about 62% priced in. Treasury yields were slightly lower in Asia. Benchmark 10-year U.S. Treasury yields slipped 2 basis points to 4.445%, having moved little overnight. Two-year yields also edged 2 bps lower to 3.8981. Oil prices were mostly steady on Friday, after gaining $1 overnight following a fourth day of drones strikes on Iraqi Kurdistan oil fields, pointing to continued risk in the region. U.S. crude inched up 0.2% to $67.66 per barrel and Brent also rose 0.2% to $69.68 a barrel. They, however, lost about 1% for the week. Vice President Louis Su Khon Fen was appointed interim chairman to oversee the cooperative's development and external coordination efforts. Advertisement According to Su, the cooperative will be open for participation by MCCC Sabah members and is envisioned as a vital platform for driving economic collaboration, resource integration, and platform-based development. It aims to create a dedicated space for collective entrepreneurship and cooperation, enabling members to share resources and create value together. 'The cooperative is founded on three core objectives - to serve as a platform for member collaboration and collective development; to act as a bridge linking government agencies with business resources; and promote sustainable and platform-driven business cooperation mechanisms.' He added that the cooperative will establish a clear policy and constitution, detailing its investment structure, operational system, and project participation mechanisms. These guidelines will be officially announced at a later stage to ensure all members can participate under a transparent and equitable framework. In addition, the cooperative's board of directors will be carefully selected from among MCCC Sabah's current leadership, the Women Entrepreneurs Committee, as well as both new and existing members - combining experience, diverse perspectives, and execution capabilities to drive effective governance. 'Our initial goal is to raise RM5 million to fund the cooperative's launch and operational development, including platform setup, seed capital for projects, and supporting infrastructure.' The cooperative will be operated with a clear strategic vision, robust systems, and steady resource integration, with the ultimate aim of delivering sustainable and stable economic growth returns for member businesses. 'While our priority is to serve members, we also welcome collaborations with government agencies, government-linked companies (GLCs), SMEs, and NGOs. At present, Koperasi Usahawan Utama Sabah Berhad is actively building its platform and operational framework.
