Observers say judgment offers practical guidance by narrowing the scope of when a director should be held liable for inaction.
Former Inter-Pacific Petroleum (IPP) non-executive director Goh Jin Hian's recent win in his appeal in the Appellate Division of the High Court has given 'welcome relief' to other company directors with its clarification of the scope of directors' duties.
The Appellate Division in a judgment on Jun 5 overturned a previous ruling requiring Goh to pay damages of US$156 million to the insolvent marine fuel supplier after IPP's liquidators had accused him of 'sleepwalking through his time as a director'.
'Welcome relief'
Adrian Chan, first vice-chair at the Singapore Institute of Directors (SID) and head of corporate at Lee & Lee, said the successful appeal was a 'welcome relief' as it clarifies the boundaries of a director's responsibilities and what qualifies as actionable 'red flags'.
The judgment, he added, offers practical guidance by narrowing the scope of when a director should be held liable for inaction.
Had the lower court's judgment stood, Chan believes directors could face liability even when unaware of fraud committed by peers or when financial reports show no warning signs.
Kelvin Law, associate professor of accounting at Nanyang Technological University's Nanyang Business School, said that the case demonstrated that correlation does not equal causation – a mere link is insufficient.
He said: 'This case is a powerful reminder that a link isn't enough as a plaintiff must prove that the director's specific failure was the direct cause of the financial loss. To obtain damages, (the) plaintiff has to show that there's a causal relationship between negligence and damage.'
Boey Swee Siang, partner at law firm RPC, pointed out that while Goh's failure to be aware of the cargo trading business constituted a breach of his duty of care, the court clarified that the 'red flags' identified by the company's liquidators were insufficient to trigger an inquiry into its financials.
In Goh's case, he was only required to satisfy himself within reasonable limits regarding the company's financial position.
'The non-executive director is not required to make exhaustive inquiries into individual transactions or events, so long as these transactions or events were not, on their face, of such a nature as would raise immediate concerns,' added Boey.
Yee Chia Hsing, an independent director at several Singapore Exchange-listed companies, agreed with the judgment, saying directors cannot be expected to be better than auditors and there is a right to presume no fraud unless clear warning signs exist.
'If (there is a) need to presume fraud, a lot of resources and effort would be wasted across the entire system as directors would need to be commissioning forensic investigations from auditors on a regular basis specifically to detect fraud,' he told BT.
The court ruled that although Goh breached his duty of care by failing to stay informed about IPP's cargo trading operations, this breach was not due to ignoring red flags within the company.
'Get their hands dirty'
Still, SID's Chan emphasised that directors, including non-executive ones, have a duty to guide and monitor management, going beyond mere compliance.
He said: 'They have to ask tough questions, roll up their sleeves and get their hands dirty. Rather than playing the role of a mere sentinel, sleuth, investigator or watchdog... a director should more appropriately look upon himself or herself as an active steward – sometimes being called upon to play all these roles and more, as the circumstances and director duties demand it.'
The judgment's reference to '(a) director may be a sentinel, but he is not a forensics investigator or a sleuth' resonated with Chan, who stressed that directors cannot simply stand watch passively.
'There really is no such thing as a 'sleeping director' as a director's duty to act in the best interest of the company is an active one that doesn't ever go to sleep,' he added.
RPC's Boey believes this decision serves as a reminder to independent directors of listed companies that 'they do owe a duty of care to their companies, but also sets the standard of care to a reasonable one'.
Directors and officers liability insurance
Beyond training, Nanyang Business School's Prof Law highlighted the importance of having directors and officers liability insurance.
'It provides the financial resources to defend themselves – which, as this case shows, can be a long and expensive process even if they are ultimately successful,' he added.
Chan also advised directors to read 'the fine print, exclusions, coverage, territory, and ensure that the scope and size of the sum assured is appropriate for the size of the business'.
He pointed to several high-profile cases involving non-executive directors under investigation or charged for failing to disclose material, price-sensitive information – including Hyflux, Eagle Hospitality Trust, Raffles Education and Cordlife.
'The outcomes of these cases will bring further clarity to the role of directors on listed boards, and will help shape corporate governance in Singapore,' he added.

[PARIS] Energy security remains a pressing issue, but the battleground is shifting from oil and gas towards critical minerals, said Fatih Birol, executive director of the International Energy Agency (IEA). Speaking at the Amundi's World Investment Forum in Paris, he noted that oil is tilting towards a situation of oversupply, which has reined in its price even amid war. Weaker oil demand is also due to surging demand for electrification, particularly for data centres – and clean energy sources at that. 'Global electricity demand is growing much faster than in previous decades. A year ago, I said we're entering the age of electricity. Oil demand is slowing considerably.' Three sources are driving electricity demand – increased usage of air-conditioning; electric cars; and the boom in artificial intelligence (AI). In race for AI dominance, access to secure sources of power supply will be key, said Birol. 'There is no AI without electricity. One medium-sized data centre consumes as much electricity as 100,000 households. Technology companies want 24/7 electricity – which we cannot afford. And they want electricity to be as clean as possible.' The price of Brent crude oil spiked in mid-June to US$81 after the US strike on Iran's nuclear facilities. Sign Up Sign Up 'We have a lot of oil in the market, with production coming from US, Canada and Brazil… This is the new reality – a lot of oil supply and more to come, while demand is getting weaker.' The IEA's July oil market report forecast world oil demand growth to rise by 700,000 barrels per day (bpd), its lowest rate since 2009 except for 2020 – during Covid. In contrast, world oil supply is forecast to rise by an average 2.1 million bpd this year to 105.1 million bpd, with non-Opec+ producers dominating growth. Still, the report also pointed out that price indicators belie a 'tighter physical oil market than suggested by the hefty surplus in our balances'. This is due to demand from summer travel and power generation, and the accelerated supply hike from the Organization of the Petroleum Exporting Countries and its allies (Opec+) 'had not had much effect'. Critical minerals the new frontline Birol expects critical minerals to be the new frontline of energy security issues, thanks to the over-concentration of almost all refining supply in less than a handful of countries – the Democratic Republic of Congo for cobalt, Indonesia for nickel and China for graphite and rare earths. According to an IEA critical minerals report, the average market share of the top three mining countries for key energy materials has risen from 73 per cent in 2020 to 77 per cent in 2024. IEA's analysis of 20 energy-related and multi-sectoral minerals used in sectors such as technology and aerospace points to China as the dominant supplier of 19 of the 20 minerals, giving it an average market share of 70 per cent. Birol said in the conference: 'In my view, we cannot solve this problem with market instruments alone. There should be government involvement in terms of using different instruments such as (forms of) guarantees… The over-reliance by the entire world (on a few countries) for critical minerals is the most important energy security issue today.' IEA argues in its report that public financing can help to support new refining projects, but rule-based market mechanisms are also required to support their operation. 'Well-designed price stabilisation schemes, such as contract-for-differences and cap-and-floor models, can help smooth out price volatility and mobilise private investment without imposing excessive fiscal burdens,' it said. For now, markets appear 'well supplied' for critical minerals, but risks are rising due to export restrictions. A sustained supply shock for battery metals could increase global average battery pack prices by as much as 40 to 50 per cent, IEA said. Meanwhile, Birol said, investment in clean energy has more than doubled in the last 10 years, but fossil fuel investment has remained the same. Capital flows into energy is estimated to rise to US$3.3 trillion this year, of which US$2.2 trillion is going into renewables, nuclear, grids, storage, low-emissions fuels, efficiency and electrification; and US$1.1 trillion into oil, natural gas and coal. The outsized share of clean energy investment 'is a benefit of the Paris Agreement', he said. 'But of the US$2 trillion (into clean energy), 85 per cent is happening in the Western countries and China. Only 15 per cent is flowing into the emerging and developing countries which account for two-thirds of global population,' he added. IEA's recently released report Energy and AI projects electricity demand from data centres worldwide to more than double by 2030 to around 945 terawatt-hours (TWh), slightly more than the entire electricity consumption of Japan today. AI is forecast to be the most significant driver of the increase; electricity demand from AI-optimised data centres is expected to more than quadruple by 2030. AI, however, is a double-edged sword. It can help raise the efficiency of electrical grids, increase cost competitiveness and reduce emissions. But it may also raise vulnerabilities to risks such as cyberattacks. 'AI is one of the biggest stories in the energy world today – but until now, policymakers and markets lacked the tools to fully understand the wide-ranging impacts,' Birol said in a statement.

Silver shines bright amid gold pauses

WHILE gold may have dominated headlines over the past year, surging to as high as US$3,500 per ounce in April 2025, it has since entered a consolidation phase. After an extended rally, gold is taking a breather. During this pause, silver has emerged as the standout performer, recently breaching a 14-year high of US$39. This development has captured the attention of traders and technical analysts alike, as various indicators now point to the potential further upside in silver prices. Silver's recent strength first gained traction in early June when it surged more than 9 per cent within a single week. Following that sharp advance, prices have entered a month-long consolidation, forming a symmetrical triangle pattern. This is a classic bullish continuation pattern that often appears after a strong uptrend. On Jul 11, silver broke out of this triangle formation, reinforcing the bullish outlook. The breakout projects a technical price target near US$41.70, and as long as prices hold above the US$37.30 level, which now acts as a key support zone, the bullish case remains intact. Trend-following indicators further validate the bullish case. Since recovering from a sharp pullback in April, silver prices have consistently stayed above the 100-day exponential moving average. This moving average has served as a dynamic support level, and its ability to hold suggests that it has consistently attracted buying interest. Such price behaviour typically signals sustained bullish momentum and helps reinforce confidence among momentum traders. Momentum indicators also point to a constructive outlook. The Relative Strength Index (RSI), a widely used technical tool that measures the strength of price movements, remains comfortably above the neutral 50 level. This positioning indicates bullish momentum is still in play. Importantly, the RSI has yet to enter overbought territory, suggesting that there may still be room for prices to climb before any signs of exhaustion emerge. While past performance is not indicative of future results, silver's recent breakout and supportive trend structure present an attractive technical set-up. With gold in a consolidation phase, silver and other precious metals such as platinum and palladium may continue to take the lead, especially if the key support levels hold firm. A sustained move above US$39 for silver could pave the way towards testing the next major resistance zone near US$42, offering further opportunities for traders looking to ride the momentum. OVER the five trading sessions from Jul 11 to 17, institutions were net buyers of Singapore stocks, with net institutional inflow of S$113 million adding to the S$94 million net inflow for the preceding five sessions. This further reduces the net institutional outflow for the 2025 year through to Jul 17 to S$1.65 billion. Institutional flows Over the five trading sessions through to Jul 17, the stocks that saw the highest net institutional inflow included Singtel , Keppel , City Developments Ltd , Singapore Airlines , Seatrium , Sembcorp Industries , OCBC , Frasers Hospitality Trust , CapitaLand Ascendas Reit , and Singapore Exchange . Meanwhile, DBS , UOB , NTT DC Reit, PSC Corporation , CapitaLand Integrated Commercial Trust , Mapletree Industrial Trust , Yangzijiang Shipbuilding , ComfortDelGro , CapitaLand Investment , and Mapletree Logistics Trust led the net institutional outflow over the five sessions. From a sector perspective, industrials and telecommunications booked the highest net institutional inflow, while financial services and materials & resources saw the most net institutional outflow for the five sessions. Industrials and telecommunications have also led the net institutional inflow for the year to Jul 17, while financial services has led the net outflow. CapitaLand India Trust On Jul 15, an acquisition of just over 2.5 million units of CapitaLand India Trust (Clint) at S$1.126 apiece increased the deemed interest of Aberdeen Group from 5.96 per cent to 6.15 per cent. Sign Up Sign Up This followed the group emerging as a substantial unitholder of Clint with its deemed interest crossing above the 5 per cent threshold on Jun 30. Clint is a Singapore-listed business trust that owns and manages income-generating real estate in India, including IT parks, industrial facilities, and logistics assets. Its portfolio spans major Indian cities such as Bangalore, Hyderabad, Chennai, Pune, and Mumbai, with a strong focus on technology and software development sectors. The properties serve a wide range of tenants, including global and Indian companies such as Tata Consultancy Services, Infosys, Amazon, and Applied Materials. The trust grows its portfolio through acquisitions, forward purchases, and developments, including IT parks and data centres. The manager of Clint also maintains a disciplined capital management strategy, with a significant portion of its debt on fixed rates. It distributes most of its income available for distribution and repatriates income regularly from India to Singapore. Clint's development pipeline includes future projects in Bangalore and Hyderabad. The trust benefits from India's resilient economy and rising demand for commercial real estate, especially in tech-driven sectors. For its FY2024 (ended Dec 31), Clint reported improved performance, with higher distributions and stronger income. The increase was driven by contributions from newly acquired properties, higher rental income from existing assets, and positive rent reversions. Clint is scheduled to report its H1 FY2025 results after the Jul 30 close. Share buybacks The five sessions through to Jul 17 saw eight primary-listed companies make buybacks with a total consideration of S$53.5 million. UOB led the consideration tally, buying back one million of its shares at an average price of S$36.80. On its current buyback mandate, UOB has bought back 0.6 per cent of its outstanding shares as at Jul 17. DBS also bought back 350,000 shares at an average price of S$46.18 per share. Secondary-listed Hongkong Land Holdings also continued to conduct share repurchases, buying back 950,000 shares at an average price of US$6.27. Since Apr 24, the company has bought back US$121 million of its shares. Director transactions Over the five trading sessions leading up to Jul 17, a total of 55 director interests and substantial shareholdings were filed. Across more than 25 primary-listed stocks, directors or CEOs reported five acquisitions and no disposals, while substantial shareholders recorded eight acquisitions and six disposals. This included director or CEO acquisitions in Asian Pay Television Trust (APTT), Stamford Land Corporation , Aims Apac Reit and Singapore Shipping Corporation . Both share buybacks and director filings were fewer than the usual quota, as the local market nears a busy few weeks of financial reporting. Singapore Shipping Corporation On Jul 9, Singapore Shipping executive chairman Ow Chio Kiat acquired 2.5 million shares at an average price of S$0.275 apiece. This increased his total interest from 43.77 per cent to 44.39 per cent. The married deal was a significant step-up in pace compared to the 161,100 shares at the same price between Jul 3 and Jul 8. Ow has been gradually increasing his interest from 42.97 per cent in May 2024. For its FY2025 (ended Mar 31), Singapore Shipping achieved a net profit of US$11.4 million, which grew 24.6 per cent from FY2024. The group also maintains a net cash position of US$56.1 million and maintains that it ensures cash flow resilience with fixed-rate borrowings below prevailing deposit rates, insulating from rising interest rate risks. On the current industry outlook, Ow says that the global trade environment is becoming increasingly fragmented and uncertain due to rising tariffs, shifting geopolitical alliances, and new policy threats, such as potential US punitive fees on Chinese-built ships, which risk deeper economic dislocation. Despite these challenges, he notes that Singapore Shipping has remained steady, with its ship-owning segment delivering resilient earnings through long-term charters and the renewal of a five-year time charter for the mv Boheme with a blue-chip partner. Ow also adds that Singapore Shipping's agency and logistics business has swiftly adapted to the changing trade landscape, helping clients realign their supply chains and respond to new trading routes with greater confidence. Asian Pay Television Trust Between Jul 14 and 15, Lu Fang-Ming, non-executive director and vice-chair of the trustee-manager of APTT, acquired 417,100 units of the business trust for a consideration of S$38,230 at an average price of S$0.092 per unit. This increased his total interest from 1.25 per cent to 1.28 per cent. This followed his purchases of 400,000 units in June, 263,600 units in May and 319,400 units in April. APTT is Asia's first listed business trust focused on pay-TV and broadband. It invests in mature, cash-generative businesses in Taiwan, Hong Kong, Japan, and Singapore, aiming for operational ownership and control. Food Empire Holdings On Jul 15, independent director Adrian Chan exercised 105,000 share options at S$0.802 apiece. This took his direct interest in the multinational food and beverage manufacturing and distribution group to 0.02 per cent. He is also head of corporate at the law firm, Lee & Lee, and has been in legal practice for over three decades. He was first appointed to the board of Food Empire Holdings in January 2022. Food Empire owns proprietary brands such as MacCoffee, CafePHO, and Kracks, with MacCoffee leading in core markets through localised, innovative brand-building. In its Q1 FY2025 (ended Mar 31) business update, the group reported a 16.3 per cent increase in topline revenue from Q1 FY2024 to US$136.6 million. Food Empire has long identified Asia as a key growth region, with South-east Asia – led by Vietnam – now its largest revenue contributor, and recent investments including a coffee-mix facility in Kazakhstan set to complete by end-2025. On Jul 9, Food Empire announced that it will invest US$37 million to expand its coffee facility in India, boosting capacity by 60 per cent. The project, part of its vertical integration strategy, begins in Q4 2025 and completes by end-2027. The group remain cautiously optimistic about sustaining strong top-line growth, backed by brand building and market leadership. Its Asia-focused strategy and robust expansion pipeline positions it well for emerging market demand. At the same time, it maintains it continues to monitor macro risks – such as climate-driven coffee price volatility and trade tensions – and will adjust strategies to mitigate potential impacts. The group also remains confident that its strong brand equity will provide resilience against the direct impact of tariffs in the geographical segments where it operates. With a return on equity of 17.8 per cent, the stock's P/E ratio has increased from 7x to 17x this year, while average daily trading turnover at S$1.21 million in the 2025 year to Jul 17 has almost doubled the S$670,000 in 2024.
