
UGRO Capital to Acquire Profectus Capital for INR 1,400 Cr in Strategic All-Cash Deal

Non-banking financial company (NBFC) UGRO Capital has announced that it will acquire Profectus Capital Private Limited in an all-cash deal worth INR 1,400 crore. The transaction, structured as a 100% equity buyout, will make Profectus a wholly owned subsidiary of UGRO Capital, furthering its mission to bridge the credit gap for MSMEs in India.
The acquisition will be funded through UGRO's recently completed equity raise and is expected to be completed in a single tranche upon regulatory approvals, including those from the Reserve Bank of India and shareholders.
"This strategically priced acquisition deploys our equity raise to achieve instant scale, INR 115 crore in cost savings, and INR 150 crore in annualized incremental profitability, boosting ROA by 0.6–0.7%," said Shachindra Nath, Founder and Managing Director of UGRO Capital. "Integrating Profectus' school finance expertise unlocks INR 2,000 crore growth potential and strengthens our secured asset mix – accelerating our journey to become India's largest MSME lender."
Profectus Capital currently manages assets worth INR 3,468 crore, has a 28-branch network across seven states, and employs more than 800 people. With gross and net NPAs at 1.6% and 1.1% respectively, the company claims to have built a stable, secured lending portfolio aligned with UGRO's data-driven underwriting platform.
The acquisition will immediately boost UGRO's Assets Under Management (AUM) by 29% and enhance its offerings across School Financing, Machinery Finance, Supply Chain Finance, and Secured LAP segments. UGRO expects operational efficiencies and expanded geographic reach, estimating total synergy benefits to significantly enhance capital adequacy and return on assets.

Both companies will maintain their current operations during the integration period. UGRO has sought board and shareholder approval to include Profectus' acquisition in its existing issuance of compulsorily convertible debentures.
Advisors to the transaction include InCred Capital (financial), SNG & Partners (legal), PwC Services LLP (financial due diligence), and Legacy Growth Partners (tax due diligence).

BNPL firms are known for allowing customers to pay off purchases in interest-free installments, but many offer other short-term loans and payment processing services. They generally make money by charging merchants for their services, but several also offer consumers products that resemble those provided by traditional banks. Affirm's platform moved about $31 billion in gross merchandise volume in 2024 on behalf of 22 million active customers, Oppenheimer said. Affirm could gain market share as the BNPL sector expands, setting Affirm up to increase GMV by 35% and 27% respectively through the end of its next two fiscal years, according to analysts' estimates, which would translate into operating income growth in the high 20% range, Oppenheimer said. Affirm shares were recently trading for about $69. That's about flat from where they were Friday and 13% above where they started 2025. Shares of Brazil's Fleury jump on reports of talks with Rede D'Or
SAO PAULO (Reuters) -Shares of Brazilian medical diagnostics company Fleury jumped on Monday after reports of a potential acquisition by hospital chain Rede D'Or, which analysts said could generate synergies. Fleury's shares rose more than 15% in trading in Sao Paulo, making it the biggest gainer on benchmark stock index Bovespa, which was up 0.6%. Rede D'Or, meanwhile, gained 1.2%. Multiple local media outlets said on Sunday that Rede D'Or was in talks with Fleury on a deal that could combine Brazil's largest integrated healthcare network with a leading medical lab chain. Brazil Journal reported, citing sources, that Rede D'Or was working on an offer that could include both a cash payment and share swap. Fleury counts lender Bradesco as one of its main shareholders. Rede D'Or said on Monday it continuously evaluates opportunities to expand, including potential acquisitions or business combinations, but that no decision or proposal had been made for a potential deal with Fleury. In a separate statement, Fleury said it regularly analyzes market conditions but also noted that no decision had been reached on a potential transaction with Rede D'Or. Goldman Sachs analysts said Fleury could benefit under Rede D'Or's management from better procurement terms, especially on materials, in which there would be some overlap, and a leaner general and administrative structure. Fleury has a market capitalization of 6.91 billion reais ($1.24 billion), while Rede D'Or's market cap stands at 75.29 billion reais, according to LSEG data. Rede D'Or in 2022 acquired insurer SulAmerica in a deal worth 13 billion reais, part of a trend for consolidation in Brazil's healthcare sector that saw the hospital chain as one of the most active companies in recent years. Analysts at Santander said a deal between Fleury and Rede D'Or would make sense from a strategic point of view.
