LONDON--(BUSINESS WIRE)--Perfect Moment Ltd. (NYSE American: PMNT) ('Perfect Moment' or the 'Company'), the high-performance, luxury skiwear and lifestyle brand that fuses technical excellence with fashion-led designs, today announced that it intends to offer to sell shares of its common stock in an underwritten public offering. All of the shares of common stock are to be sold by the Company.
ThinkEquity is acting as sole book-running manager for the offering.
The offering is subject to market conditions and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
The Company intends to use the net proceeds from the offering for repayment of debt, working capital and general corporate purposes.
The securities in the offering will be offered and sold pursuant to a shelf registration statement on Form S-3 (File No. 333-285612), including a base prospectus, filed with the U.S. Securities and Exchange Commission (the 'SEC') on March 6, 2025 and declared effective on March 12, 2025. The contracts offer traders more flexibility to bet on the cryptocurrency's future price direction or hedge current positions given their smaller size. Regulatory fog also thinned. On Friday, Ripple withdrew its cross-appeal in its long-running U.S. Securities and Exchange Commission (SEC) lawsuit. The SEC sued Ripple back in 2020 over its XRP sales, alleging these violated securities laws. The SEC is expected to drop its own appeal, leaving last year's ruling, ordering Ripple to pay a $125 million civil penalty to the SEC, intact. The move could lift a lid that had kept some investors on the sidelines. On-chain data rounded out the bullish setup. The XRP Ledger logged over a 1.1 million active addresses over the past week according to crypto analyst Ali Martinez, who cited Glassnode data. XRP's rise saw it outperform the wider crypto market, with the broader CoinDesk 20 (CD20) index rising 1.7% in the last 24 hours.

"Overall, our manufacturing location strategy, resilient supply chain, global sourcing capabilities, collaborative efforts across the organization and the strength of our brands continue to be a competitive advantage, enabling us to mitigate our costs and maintain our business momentum."
