Hindalco Inds arm inks pact to acquire 100% stake in AluChem Companies

Hindalco Industries said that its step-down wholly owned subsidiary, Aditya Holdings LLC has signed definitive agreement with AluChem Companies to acquire 100% stake for total consideration of $125 million.
AluChem is a North America-based specialty alumina producer with over 45 years of legacy in delivering high-performance alumina for industrial applications. Its product range includes calcined, reactive, and tabular aluminas used in demanding environments such as refractories, ceramics, and electronics. The company operates three facilities across Ohio and Arkansas. Its turnover was $66,377,422 in CY 2024.
The acquisition of AluChem Companies, as a stepdown subsidiary is a strategic move designed primarily to expand the companys global footprint for its downstream portfolio of speciality alumina and alumina products.
AluChem brings Hindalco a strong presence in North America with an annual capacity of 60,000 tons across its three advanced manufacturing facilities in Ohio and Arkansas. The company is a long-established supplier of ultra-low soda calcined and Tabular Alumina, materials known for their exceptional thermal and mechanical stability used in cutting-edge applications in high precision mechanical components, and energy-intensive industrial refractories.
The company said that the global specialty alumina market is projected to grow significantly, with increasing demand for tailored solutions in sectors ranging from ceramics and electronics to aerospace and medical applications. Hindalco currently operates 500 thousand tons of specialty alumina capacity and aims to scale up to 1 million tons by FY30.
The transaction is expected to close in the upcoming quarter, subject to customary closing conditions and regulatory approvals.

Hindalco Industries, the metals flagship of the Aditya Birla Group, is the world's largest aluminium rolling and recycling company, a major copper player, and one of Asia's largest producers of primary aluminium. In India, the companys aluminium manufacturing units cover the complete value chain, from bauxite mining, alumina refining, coal mining, captive power generation and aluminium smelting, to downstream value-addition of aluminium rolling, extruding, and foil making.
The Aditya Birla Group companys consolidated net profit surged 66.4% to Rs 5,283 crore on 15.9% increase in revenue from operations to Rs 64,890 crore in Q4 FY25 over Q4 FY24.
The scrip rose 0.22% to Rs 671 on the BSE.

On Friday, the day after Sebi's order was released, Nuvama Wealth Management that also has a broking arm, lost over 11% while Angel One, another tech-heavy financial services firm with a robust broking outfit, lost nearly 6%. Among the institutions, BSE, the biggest among the listed bourses, closed 6.4% down while CDSL, the biggest depository, lost 2.3%. Angel One chairman & MD Dinesh Thakkar said, in an email, that over the past few years, retail participation in India's F&O segment had surged about 20 times, something that has fuelled liquidity, volatility, and opportunity. "Proprietary trading desks thrive in such environments, leveraging high-frequency and algorithmic strategies. With millions of active retail traders and deepening institutional activity, India's market opportunity is structural and not cyclical. Also, this is not dependent on any one firm." Sebi officials also feel that there should not be any major market impact from the enforcement action."In the long run, the growth in market confidence, and a free and fair market, should aid responsible investing and capital formation," a Sebi source said. Shopping on quick commerce apps has become a habit for many, but a section of consumers has started to feel the pinch of instant deliveries. Platforms such as Swiggy Instamart, Blinkit, and Zepto, which control the bulk of the market, are adding a range of fees to the bill, due to which consumers are shelling out up to Rs 50 extra every time they place an order. Price Comparison Is Back To begin with, consumers have to pay a handling charge, which is fixed for every order and ranges between Rs 10-21. Add GST, delivery charge, small cart fee, rain fee, and surge fee (when applicable), and the bill gets inflated. While it doesn't mean that people don't want to pay for convenience, many consumers have started planning their purchases once again. They are now comparing offline prices and those across different e-tail formats before shopping on quick commerce platforms. Rain and surge fees are typically set at Rs 15 and Rs 30, respectively. For platforms, most of which are in the red, adding extra charges helps in improving their economics, but for a consumer looking to place a small, impromptu order, paying extra may not always be feasible. Ironically, this was the whole premise of quick commerce when it started making its way into households. According to Nandini Paul, a Mumbai-based professional, despite paying for Swiggy One membership and Zepto Daily to avail discounts and other benefits, she often ends up paying higher prices on the platforms for the same cart compared to Blinkit. Min Order Value Rising "There are hidden charges on quick commerce platforms and an illusion of discounts. These days, I think, if I had more time, I would directly shop from the market. But the fact that I can shop anytime of the day is a plus," said another consumer. In a recent research note, JM Financial said that most platforms have raised the minimum order value to unlock free deliveries. An analysis of orders placed for 11 items across Instamart, Zepto, Blinkit, and DMart Ready showed that Blinkit is the most expensive while DMart Ready is the cheapest. "The entrance of more value-first players like Flipkart and Amazon in the space should pull prices down in quick commerce. We do expect the platforms to discourage small ticket size purchases, which initially was encouraged as a way to develop commerce will always command a premium compared to modern trade but will offer better value than kiranas," said Siddharth Jain, managing partner and country head at Kearney India. Sunil Mittal, Warburg Pincus eye 49% in Haier India at steep discount

Sunil Mittal's family office and US-based private equity major Warburg Pincus have submitted a bid to acquire a 49 per cent stake in Haier India at a sharply reduced valuation of ₹6,000 crore ($720 million), according to people familiar with the matter. The Chinese parent, Haier Group, had initially sought a valuation of around $2 billion (₹17,100 crore), but offers were significantly lower, said one of the persons, asking not to be named as the discussions are private. Haier is now weighing whether to proceed with the deal or wait for improved market conditions, the person added. As part of the proposed transaction, Haier India employees are expected to acquire a 2 per cent stake, while a public listing is being considered within two years to provide an eventual exit route for the Chinese firm, the people said. 'After the deal, the buyer will have to pay a steep brand usage fees and royalties to the Chinese parent, which has dampened the valuation,' said a person close to the development. Haier, which fully owns the Indian subsidiary, has been exploring a potential exit for several months and even held early-stage discussions with Reliance Industries Ltd, India's largest conglomerate, according to the people. Emails sent to Haier, Mittal's office, and Warburg Pincus on Friday went unanswered until the press time. The proposed deal comes amid a broader trend of Chinese firms paring back their India exposure following geopolitical tensions and growing scrutiny of Chinese investments by India. In March last year, Chinese automaker SAIC Motor agreed to sell a majority stake in its Indian subsidiary MG Motors India to the Sajjan Jindal group. In May, Ant Group exited its investment in Paytm through $246 million worth via block trades. Haier entered India in 2004 and holds a 14 per cent share of the refrigerator market. Its presence in other categories — including washing machines, televisions, and air conditioners — remains in the single digit. India's household appliances market is projected to reach $64.3 billion in 2025, growing at a 7.3 percent CAGR through 2030, according to data from Statista.
