CARIBBEAN UTILITIES COMPANY, LTD ANNOUNCES THE RESULTS OF THE 2025 ANNUAL GENERAL MEETING OF SHAREHOLDERS
GRAND CAYMAN, Cayman Islands, May 13, 2025 /CNW/ - Caribbean Utilities Company, Ltd. (TSX: CUP.U) ("CUC" or "the Company") announced that the nominees listed in the Company's Notice to Shareholders and Management Information Circular dated March 21, 2025 were elected as Directors of Caribbean Utilities Company, Ltd at the Company's Annual General Meeting of Shareholders ("the AGM"), held on May 12, 2025 in Grand Cayman, Cayman Islands.
Election of Directors
The following nominees were elected to serve as directors of CUC until the next annual meeting of the Company or until their successors are elected or appointed. Notwithstanding that the motions were passed by a show of hands vote at the meeting, the votes recorded by proxy in advance of the meeting were as follows:
Appointment of Auditors
Shareholders of the Company approved the appointment of Deloitte LLP. as auditors of CUC until the next annual meeting of the Company, and the Board of Directors was authorized to fix the auditors' remuneration.
The principal activity of the Company is to generate, transmit and distribute electricity in its licence area of Grand Cayman, Cayman Islands pursuant to a 20-year Transmission & Distribution ("T&D") Licence and a 25-year non-exclusive Generation Licence (the "Generation Licence" and together with the T&D licence, the "Licences") granted by the Cayman Islands Government (the "Government", "CIG"). The T&D Licence, which expires in April 2028, contains provisions for an automatic 20-year renewal and the Company has reasonable expectation of renewal until April 2048.
