Core Scientific's shareholders balk at terms of CoreWeave merger offer, FT reports

CoreWeave's proposed $9 billion acquisition of data centre landlord Core Scientific is facing potential revolt, as some top shareholders of the target firm argue the deal may leave them short-changed, the Financial Times reported.
Some major Core Scientific shareholders plan to vote against the deal unless the terms are revised in the coming weeks, the report said on Tuesday, citing people familiar with the matter.
Reuters could not immediately verify the report. CoreWeave and Core Scientific did not immediately respond to Reuters request for a comment outside regular business hours.
The shareholder vote for Core Scientific has not yet been scheduled but is expected to take place sometime this autumn, the report said.
The all-stock deal, valued at about $9 billion and announced last month, highlights the race among AI infrastructure firms to secure the energy and data center capacity required to meet surging demand.
CoreWeave, which provides access to data centers and Nvidia-powered AI chips, initially submitted an unsolicited, non-binding takeover offer to Core Scientific in June 2024. However, the company rejected the offer, citing that its business was significantly undervalued.

Palantir Technologies shares rose 5 per cent before the bell on Tuesday, after strong demand for its AI-powered services across governments and commercial businesses prompted an increase in its annual revenue forecast. Investors have been betting big on the data analytics and defense software company's military-grade artificial intelligence tools and services, which have propelled its shares to more than double in value this year, making them the best performer on the S&P 500 index through last close. "Palantir's staggering growth is showing no signs of slowing... and (its) ability to grow at scale has been underestimated by a large cohort of the market," said Matt Britzman, senior equity analyst at Hargreaves Lansdown. The company raised its annual revenue forecast for the second time this year and above Wall Street estimates. Sales to the U.S. government jumped 53 per cent to $426 million, representing more than 42 per cent of the total second-quarter revenue of about $1 billion. Last week, the U.S. Army said it might spend up to $10 billion on Palantir's services over the next decade. The Denver, Colorado-based company, co-founded by Peter Thiel, expects expenses to rise significantly in the third quarter due to seasonal hiring amid rising competition among industry leading tech firms to poach top talent, as businesses rapidly look to adopt AI. The stock trades at over 200 times its 12-month forward earnings estimates, compared with AI giant Nvidia's 34.81 and S&P 500's 27.44. Jefferies analysts cautioned that there is a "disconnect between valuation and achievable growth". At least six brokerages raised their price targets on the stock after the results.

SINGAPORE: The chief executive officer of luxury car distributor Eurosports Global was charged on Tuesday (Aug 5) over the false trading of company shares. Goh Kim San, who is also executive chairman of the company, allegedly conducted trades in Eurosports Global shares between May 2015 and November 2020, despite knowing that these trades "would likely create a false or misleading appearance of active trading", said the police. Eurosports Global is a company listed on the Singapore Exchange. The 68-year-old also allegedly instigated two other individuals, Kan Chee Gian and Leo Chun Kong, to procure three nominee trading accounts to conduct these trades, without the authorisation of the trading firms. He is also accused of intentionally failing to give written notice to Eurosports Global of changes in his ownership of the company's shares arising from trades conducted in the three nominee trading accounts. Goh, 68, faces five counts of false trading, six counts of engaging in deceptive practices and eight amalgamated counts of failing to disclose his interest in Eurosports Global shares. On Tuesday, he did not indicate a plea and was granted bail. If convicted of false trading or engaging in deceptive practices, Goh could be jailed for up to seven years, fined up to S$250,000 (US$194,000), or both, for each charge. He may also be jailed for up to two years, fined up to S$250,000, or both, for each charge of failing to disclose an interest in Eurosports Global shares, if convicted.
