UnitedHealth eyes $1 billion deal to exit Latin America as insurer refocuses on US, sources say

UnitedHealth Group
is weighing multiple bids for its Latin American operations, according to two people with direct knowledge of the matter, as the insurer buckles down after a series of unprecedented missteps that include the ouster of its CEO and a reported criminal accounting probe.
The largest U.S. health insurer has been trying to exit Latin America since 2022, but the sale of
Banmedica
has taken on increasing urgency in recent months as the insurer took hits on multiple fronts, according to one of the people.
New CEO
Steve Hemsley
told shareholders last week that he was determined to earn back their trust after an earnings miss and a Wall Street Journal report that the company was under criminal investigation for alleged Medicare fraud. UnitedHealth has said it was not notified by the Department of Justice and that it stands by the integrity of its operations.
Hemsley replaced Andrew Witty just a few months after the murder of the executive Brian Thompson, the CEO of UnitedHealthcare, in New York in December while on his way to a meeting with investors. Witty had been UnitedHealth Group CEO since 2021.
The company has four non-binding bids for its Banmedica subsidiary, which operates in Colombia and Chile, for about $1 billion, according to both people, who asked not to be identified because the talks are private.
UnitedHealth's shares tumbled 25.5% in May alone and year-to-date are down 40%. UnitedHealth left Brazil in 2023 and Peru in March. It's aiming to get around $1 billion for Banmedica's operations in Colombia and Chile, the people said.
The two people said the company expects to set a deadline for binding proposals as soon as July.
UnitedHealth received bids from Washington, D.C.-based private equity firm Acon Investments; Sao Paulo-based private equity firm Patria Investments; Texas non-profit health firm Christus Health; and Lima-based healthcare and insurance provider Auna, the people said. Auna is in talks with a financial partner, one of the sources added.
Banmedica's annual earnings before income taxes, depreciation and amortization, or EBITDA, are more than $200 million a year.
Patria, UnitedHealth Group and Christus Health declined to comment. Acon and Auna did not respond to requests for comment.
FAILED EXPANSION PLANS
UnitedHealth bought Banmedica in 2018, with CEO David Wichmann saying he was "establishing a foundation for growth in South America for the next decades."
At the time, UnitedHealth paid around 12 times Banmedica's EBITDA, according to one of the people. Three years later, the insurer decided to leave Latin America as it grappled with losses in its largest operation in the region, Brazil's Amil, which had been acquired a decade earlier. It divested from its Brazilian operations in late 2023.
Banmedica is currently profitable, but is considered too small by UnitedHealth. It serves over 2.1 million consumers through its
health insurance
programs and has around 4 million patient visits annually across its network of 13 hospitals and 143 medical centers.
UnitedHealth booked an $8.3 billion loss last year related to the sale of its South American operations - $7.1 billion stemming from the Brazil exit and $1.2 billion from Banmedica.
"These losses relate to our strategic exit of South American markets and include significant losses related to foreign currency translation effects," the company said in a February filing.
Brazilian investment bank BTG Pactual is advising UnitedHealth on the sale.

According to the company, the sellout highlights its strategic expansion into key regions across western India. On July 17, DLF, in partnership with Trident Realty, launched 416 apartments in four towers in the Andheri West area of Mumbai. The companies will invest nearly ₹900 crore to develop this luxury housing project. According to the company, the entire project is spread across 10 acres and will feature a mix of 3 BHK and larger apartments ranging from 1,125 sq ft to 2,500 sq ft. In the first phase, apartments are priced between ₹37,500 and ₹54,000 per sq ft. The development will also include 845 dedicated car parking spaces, along with separate visitor parking facilities. Mumbai has always been a key component of our national growth strategy, and with the launch of The Westpark, we are proud to offer a development that resonates with the aspirations of the city's discerning residents," said Aakash Ohri, Joint Managing Director and Chief Business Officer, DLF Home Developers Ltd. "We are both humbled and gratified by the overwhelming response, the inventory for Phase 1 of the project has been completely sold out, a remarkable outcome in a market typically characterised by gradual absorption. Initially, we launched only two of the four planned towers, but due to exceptional demand, we brought all four towers to market, resulting in the sellout of all 416 units," Ohri said. The company said that the development will comprise eight architecturally distinctive towers. The first phase will introduce four towers, each 37 storeys high and offering a total of 416 residences. The homes include a select mix of spacious 3—and 4-BHK residences ranging from 1,125 to 2,500 sq ft, along with a limited number of penthouses. According to the company, the project is designed by globally renowned architecture firm HB Design. With structural expertise from Thornton Tomasetti, interiors by BLINK, and landscaping by SHMA, it brings together international design sensibilities and a local context. The residences feature refined interior layouts, expansive decks, and full-height windows offering sweeping views, balancing privacy and openness, the company said in a statement. The company said that the projects' central feature is the 6,000 sq. metre (~1.46-acre) landscaped podium, the 'Eco Deck', which serves as the green heart of the development. The podium links all the towers and features lush gardens, panoramic views, and a signature 25-meter pool with a tropical leaf-patterned floor, the company said in the statement. It creates the ambience of a tropical forest in the heart of the city. The company's first project in the city will be developed in partnership with the Trident Group under the Slum Rehabilitation Authority scheme. In 2005, DLF had purchased 17 acres of prime mill land in Lower Parel at a National Textile Corporation auction for ₹704 crore, the highest bid at the time. After the 2008 economic crisis, it changed its plans and sold the land to Lodha, also known as Macrotech Developers, for ₹2,700 crore in 2012.

Ebix Technologies (formerly known as EbixCash), has secured a ₹ 140 crore contract with the Maharashtra State Road Transport Corporation (MSRTC) for the first statewide rollout of the National Common Mobility Card (NCMC) for concessionaires in India, Eraaya Lifespaces said in a release. The newly awarded NCMC program expands this partnership with a focus on smart, interoperable payments. The National Payments Corporation of India (NPCI) spearheads this initiative in collaboration with the Ministry of Housing and Urban Affairs to enable passengers to use a single smartcard across multiple transport modes, creating a truly integrated mobility ecosystem, it added. Key highlights of the project include the mandatory adoption of the NCMC smartcard for all concessional passengers and pass holders on MSRTC buses. A minimum business assurance of 70 lakh NCMC cards sold in the first year alone, scaling to over 2 crore cards. It also includes facilities for card top-ups, use of advanced Aadhaar-based authentication APIs, and the expected transaction volumes exceeding ₹ 2,000 crore annually once fully operational. Ebix Technologies had earlier been awarded a contract on 30 November 2022 to supply and maintain 38,622 Android-based Electronic Ticketing Machines (ETMs) integrated with an online reservation system. It has successfully facilitated the issuance of approximately 220 crore passenger tickets in the past two years. This network spans MSRTC's fleet of over 16,000 buses, serving more than 13 crore passengers monthly across urban and rural Maharashtra. Eraaya Lifespaces share price has gained 15% in one month and 8% in three months. The smallcap stock has declined 61% in six months and has dropped 56% on a year-to-date (YTD) basis. However, Eraaya Lifespaces share price has delivered multibagger returns of 3,890% in two years and a staggering 6,568% in five years. At 11:40 AM, Eraaya Lifespaces share price was still locked in at 2% upper circuit of ₹ 50.67 apiece on the BSE.
