About the Lawsuit
Neogen and certain of its executives are charged with failing to disclose material information during the Class Period, violating federal securities laws.
On April 9, 2025, the Company disclosed a quarterly revenue decrease of 3.4% to $221 million due to integration issues and again cut its FY25 guidance and noted that capital expenditures were expected to be $100 million as a result of lowered adjusted EBITDA and a pull-forward of integration-related capital expenditures into FY25, as well as announcing the departure of its CEO. On this news, the price of Neogen's shares plummeted 28% to close at $5.02 per share, on a volume of 47 million shares. Then, on June 4, 2025, the Company disclosed that it expected 'EBITDA margin to probably be around the high-teens' which represented a considerable drop from the previous quarter's profit margin of 22%. On this news, the price of Neogen's shares fell an additional 17%, to close at $4.96 per share.

Trump says deal reached with Philippines on tariffs
The U.S. has reached a trade deal with the Philippines following a meeting Tuesday between President Donald Trump and the country's president, Ferdinand Marcos Jr., at the White House, Trump announced on social media. 'It was a beautiful visit, and we concluded our Trade Deal, whereby The Philippines is going OPEN MARKET with the United States, and ZERO Tariffs,' the president wrote on Truth Social. According to Trump, the U.S. will impose a 19 percent tariff on imports from the Philippines, higher than the 17 percent 'reciprocal' duty the U.S. briefly imposed in April but slightly lower than the 20 percent tariff he threatened in a letter earlier this month. 'In addition, we will work together Militarily. It was a Great Honor to be with the President. He is Highly Respected in his Country, as he should be. He is also a very good, and tough, negotiator,' Trump wrote in his post. The final terms of the deal have yet to be officially confirmed by the Marcos government, nor did the White House provide further details on the agreement. The White House did, however, release more information on a separate framework for an agreement with neighboring Indonesia that he first touted last week. Like the purported agreement with the Philippines, the framework with Indonesia keeps in place a substantial, 19 percent tariff on exports 'This Deal is a HUGE WIN for our Automakers, Tech Companies, Workers, Farmers, Ranchers, and Manufacturers. He also said Indonesia agreed to eliminate '99%' of their tariff barriers to become an 'Open Market to American Industrial and Tech Products, and Agricultural Goods.' Senior officials told reporters on a call Tuesday that Indonesia agreed to address several trade issues the Trump administration had identified in the negotiations, including lifting export restrictions on critical minerals, recognizing certain U.S. federal motor vehicle safety standards and exempting American agricultural imports from certain licensing requirements, among other changes. 'American producers, who have long-faced high tariffs and burdensome requirements, will receive unprecedented access to Indonesia's market and greater certainty for the digital services sector,' USTR Jamieson Greer said in a statement. The White House also released what it described as a joint statement — though the Indonesian government did not immediately publish the agreement — saying the deal 'will provide both countries' exporters unprecedented access to each other's markets.' 'The Agreement on Reciprocal Trade will build upon our longstanding economic relationship, including the U.S.-Indonesia Trade and Investment Framework Agreement, signed on July 16, 1996,' the statement said. Indonesian President Prabowo Subianto acknowledged the agreement in a post on Instagram last week, which Subianto said would lead to a 'new era of mutual benefit' between the countries, but did not confirm the tariff rate. And a report in Indonesia's state news agency Antara raised questions about whether the Indonesian government is on the same page about the duty. Coordinating Minister for Economic Affairs, Airlangga Hartarto, is quoted as saying that the 'planned 19 percent tariff will no longer apply to Indonesian goods.' He also described Indonesia's tariff rate brokered in the deal as 'the lowest' among ASEAN countries despite the fact that it matches the 19 percent levy on exports from the Philippines. The U.S. goods trade with Indonesia totaled nearly $40 billion in 2024, with the U.S. importing $28 billion in Indonesian goods. The Philippines, meanwhile, sent $14.2 billion in goods to the U.S. last year and purchased about $9.3 billion worth of American goods, according to data from the Office of the U.S. Trade Representative. It's not clear, however, how much the countries stands to gain from the new agreements, which maintains a double-digit tariff rates — in the Philippines case, two percent higher than the duty Trump initially levied. 'It is sad that for the Philippines the rate even went up — as an ally it is hard to take,' said a Filipino official close to the negotiations, granted anonymity to speak freely. Hiring Confidence Wavers as Canadian Companies Reassess Growth Plans for 2025
TORONTO, July 23, 2025 (GLOBE NEWSWIRE) — As the second half of 2025 begins, many Canadian employers are taking a hard look at their hiring plans, and what they see is prompting a more cautious approach. A new survey conducted by The Harris Poll on behalf of Express Employment Professionals reveals that, while most hiring managers (69%) still feel positive about their company's hiring outlook for the remainder of 2025, that optimism has dimmed since a year ago (74%). At the same time, concern is growing, with 46% now expressing a negative hiring outlook, up from 38% last June. While approximately 2 in 5 companies (43%) still plan to increase their workforce in the second half of the year, that is a decline from 49% last summer. For those planning to hire, the top reasons include the need to manage growing workloads (51%), fill newly created roles (35%) and replace employees lost to turnover (42%). The proportion of companies planning to cut their number of employees (13%) has increased, compared to last year (8%). The majority cite cost cutting as the primary driver (67%), followed by adapting to government policy changes (30%) and responding to declining demand (25%). The types of roles companies are targeting are also evolving. Companies are now most likely to hire mid-level employees (46%) as entry-level hiring (43%) has dropped sharply compared to last year (56%). Full-time positions remain the most sought-after (74%), while one quarter of companies (25%) plan to hire part-time roles. 'These numbers tell a story of employers recalibrating,' said Bob Funk, Jr., CEO, President and Chairman of Express Employment International. 'They're still hiring, but with more intention, more strategy and a sharper eye on the future.' Trump announces tariffs deal with Philippines after White House meeting
July 22 (UPI) -- President Donald Trump said the United States has struck a trade deal with the Philippines following a White House meeting with the island nation's President Ferdinand R. Marcos Jr. Trump announced the deal in Truth Social post on Tuesday that he said involves the Philippines dropping all tariffs on imported U.S. products. As part of the deal, the tariff rate of goods imported from the Philippines into the United States will be 19%, just slightly lower than the 20% levy Trump outlined in a letter earlier this month. It's also higher than the 17% that Trump imposed on the Philippines as part of his Liberation Day tariffs announced in April. In his post, Trump described the meeting as a "beautiful visit" and called Marcos a "very good, and tough, negotiator." The Philippine government has not confirmed the deal or issued any statement on the results of the talks. The meeting was the first of its kind between an Association of Southeast Asian Nations head of state and Trump since his return to the U.S. presidency. The Philippines was one of the many countries who faced a Trump-imposed tariff increase by Aug. 1. Marcos was expected to utilize his nation's strong relationship with the United States to improve the trade deal between the two countries. Marcos' visit has also focused on defense and security, which was discussed Monday as he visited the Pentagon. U.S. Defense Secretary Pete Hegseth met with Marcos, and in a Defense Department press release, it was stated the two "reaffirmed their commitment to the U.S.-Philippines Mutual Defense Treaty and discussed shared security concerns in the Asia-Pacific region, as well as recent advances in the long-standing U.S.-Philippines alliance." "Our storied alliance has never been stronger or more essential than it is today," said Hegseth in the release. "Together, we remain committed to the mutual defense treaty." "And this pact extends to armed attacks on our armed forces, aircraft or public vessels, including our Coast Guard, anywhere in the Pacific, including the South China Sea," continued Hegseth. Marcos also met with U.S. Secretary of State Marco Rubio, who said in an X post Monday that they discussed "how the [United States] and the Philippines are strengthening our ironclad Alliance to advance our shared safety, security, and prosperity in the Indo-Pacific." As for any meeting with representatives of the American Filipino community, the press release notes Marcos won't be able to, due to his tight schedule.
