SAN DIEGO--(BUSINESS WIRE)--Guild Holdings Company (NYSE: GHLD) ('Guild'), a growth-oriented mortgage company that employs a relationship-based loan sourcing strategy to execute on its mission of delivering the promise of homeownership, today announced that it has signed a definitive agreement under which a fund managed by Bayview Asset Management, LLC ('Bayview') will acquire all of the outstanding shares of the Company's common stock that it does not already own in an all-cash transaction valued at approximately $1.3 billion in aggregate equity value. Upon completion of the transaction, Guild will operate as a privately held independent entity in close partnership with Lakeview Loan Servicing, LLC ('Lakeview'), a leading mortgage servicer and Bayview affiliate.
Under the terms of the agreement, Guild stockholders will receive $20.00 in cash for each share of Guild common stock they hold. The transaction consideration represents a premium of approximately 56% to Guild's unaffected closing common stock price on May 23, 2025, the last trading day prior to the filing of Bayview's Schedule 13D announcing its potential interest in a transaction with Guild, and a premium of approximately 27% to Guild's tangible book value as of March 31, 2025. The Board of Directors also intends to authorize a special cash dividend of up to $0.25 per share in 2025 (based on Guild's cash on hand) and, if the merger is not consummated in 2025, quarterly cash dividends of up to $0.25 per share through the consummation of the merger. The payment of any dividends will not result in an adjustment to the $20.00 per share purchase price. Upon completion of the transaction, Guild will become a private company. McCarthy Capital Mortgage Investors, LLC has executed a written consent to approve the transaction, thereby providing the required stockholder approval for the transaction. No further action by other Guild stockholders is required to approve the transaction.
Guild's leading nationally recognized retail mortgage origination and servicing platform will continue to build upon its historical success operating business as usual. Guild executives and management team, critical to ongoing growth and performance, will also remain in place. There will be no material change to Guild's brand, business operations or customer experience as a result of the agreement. The transaction is expected to close in the fourth quarter of 2025, subject to the satisfaction of customary closing conditions. The transaction is not subject to any financing conditions.

BEACHWOOD, Ohio, August 01, 2025--(BUSINESS WIRE)--SITE Centers Corp. (NYSE: SITC) announced today the sale of Winter Garden Village (Orlando, FL) for $165.0 million and the sale of Deer Valley Towne Center (Phoenix, AZ) for $33.7 million, both prior to closing costs, prorations and other closing adjustments. A portion of net proceeds were used to repay $22.3 million of mortgage debt. The Company's Board of Directors also declared a special cash distribution on its common shares of $3.25 per common share payable on August 29, 2025 to shareholders of record at the close of business on August 15, 2025. Because the payment of the special dividend represents more than 25% of the price of the Company's common shares, NYSE has advised the Company that its common shares will trade with "due bills" representing an assignment of the right to receive the special dividend from the record date of August 15, 2025 through the closing of trading on NYSE on August 29, 2025, which is the payment date and the last day of trading before the September 2, 2025 ex-dividend date (this period of time representing the "Dividend Right Period"). Shareholders who sell their common shares during the Dividend Right Period will be selling their right to the special dividend, and such shareholders will not be entitled to receive the special dividend. Due bills obligate a seller of common shares to deliver the special dividend payable on such common shares to the buyer (the "Dividend Right"). It calls into question how much the company can continue growing its enterprise revenue if it is already so ubiquitous among the most important companies in the world. I have serious doubts about the strength of Figma's moat and its ability to defend it in a hyper-competitive landscape actively being transformed by artificial intelligence (AI), at least at its current valuation. CHICAGO, Aug. 01, 2025 (GLOBE NEWSWIRE) -- XAI Octagon Floating Rate & Alternative Income Trust (the 'Trust') has declared its regular monthly distribution of $0.070 per share on the Trust's common shares (NYSE: XFLT), payable on September 2, 2025, to common shareholders of record as of August 15, 2025, as noted below. The amount of the distribution represents no change from the previous month's distribution amount of $0.070 per share. The following dates apply to the declaration: Ex-Dividend Date August 15, 2025 Record Date August 15, 2025 Payable Date September 2, 2025 Amount $0.070 per common share Change from Previous Month No change Common share distributions may be paid from net investment income (regular interest and dividends), capital gains and/or a return of capital. The specific tax characteristics of the distributions will be reported to the Trust's common shareholders on Form 1099 after the end of the 2025 calendar year. The Trust's net investment income and capital gain can vary significantly over time; however, the Trust seeks to maintain more stable common share monthly distributions over time. In certain circumstances, the Trust may elect to retain income or capital gain to the extent that the Board of Trustees, in consultation with Trust management, determines it to be in the interest of shareholders to do so. The common share distributions paid by the Trust for any particular period may be more than the amount of net investment income from that period. As a result, all or a portion of a distribution may be a return of capital, which is in effect a partial return of the amount a common shareholder invested in the Trust, up to the amount of the common shareholder's tax basis in their common shares, which would reduce such tax basis. Although a return of capital may not be taxable, it will generally increase the common shareholder's potential gain, or reduce the common shareholder's potential loss, on any subsequent sale or other disposition of common shares. The distribution shall be paid on the Payment Date unless the payment of such distribution is deferred by the Board of Trustees upon a determination that such deferral is required in order to comply with applicable law to ensure that the Trust remains solvent and able to pay its debts as they become due and continue as a going concern, or to comply with the applicable terms or financial covenants of the Trust's senior securities. Future common share distributions will be made if and when declared by the Trust's Board of Trustees, based on a consideration of number of factors, including the Trust's continued compliance with terms and financial covenants of its senior securities, the Trust's net investment income, financial performance and available cash. There can be no assurance that the amount or timing of common share distributions in the future will be equal or similar to that described herein or that the Board of Trustees will not decide to suspend or discontinue the payment of common share distributions in the future.
