
Zen Tech jumps after board nod to acquire majority stake in TISA Aerospace
TISA Aerospace is engaged in the design and development of UAVs for the defence industry. Its turnover was Rs 1.81 crore in FY25.
As a part of the deal, Zen Technologies will acquire 2,06,518 equity shares or 54.67% stake in TISA Aerospace, along with 4,00,000 CCDs with a 6% interest rate and a face value of Rs 100 each, from an existing CCD holders. The board has approved a total investment of up to Rs 6.56 crore for the acquisition.
This investment represents a focused entry into the high-growth domain of loitering munitions and the ecosystem around it a rapidly evolving category of precision-guided weaponry that has demonstrated significant operational relevance in modern warfare.
The acquisition of the shares and CCDs are expected to be completed by Q2 of FY 2025-26, subject to completion of customary closing formalities.

Delhi: Govt bodies owe Rs 63,019 crore in pending water bills. Here are the biggest defaulters
The Delhi Jal Board (DJB) has been incurring losses due to a huge backlog of unpaid dues. Government data reveals that the state and central government bodies owe more to the DJB than domestic consumers. Among these, the Municipal Corporation of Delhi (MCD) and the Railways top the list of government bodies with the highest pending water bills. Water Minister Parevsh Sahib Singh said that 'water is a shared responsibility, and ensuring its uninterrupted supply requires collective effort. Resolving these financial bottlenecks will significantly strengthen our capacity to maintain and improve the city's water infrastructure'. 'We are committed to working with all stakeholders to ensure timely solutions in the best interest of every Delhi resident,' the minister added. According to officials, the DJB will be writing to the state and central government departments, including hospitals, Delhi Police, and others, asking them to pay their pending bills or adjust them. Data shows that the government departments' unpaid bill stands at Rs 63,019.2 crore — Rs 33,295.79 crore is the state government's share, and Rs 29,723.37 crore is the central government's dues. Among the state government's dues, the MCD tops the list — its dues stand at Rs 26,147 crore, followed by the state health department at Rs 66,84.6 crore. In the Central government, as per data, the Railways has a huge pendency of unpaid water bills — Rs 21,530.5 crore. It is followed by the Delhi Police, whose pending dues are Rs 6,097 crore. Meanwhile, residents owe the DJB Rs 1.42 lakh crore in pending water bills, officials have said. Of this, domestic consumers only owe the board Rs 15,000 crore, or 10.5% of the total amount. Officials said that consumers in the commercial category owe the DJB Rs 66,000 crore, followed by government departments, whose unpaid bills stand at Rs 63,019 crore, while domestic consumers owe the board Rs 15,000 crore. The government is already working on a one-time scheme to waive the late payment surcharge (LPSC) of water bills of domestic consumers. Officials said the status of pending bills is up to July 14, and these bills have been adding up over the last 10 years.

Some of these NBFCs will have deep pockets," Malhotra said at a media event in Mumbai."But if the same group, a large industrial house or a corporate group, is doing financial activities and real economy activities within the same group, there is an inherent conflict of interest with the group actually dealing with the money of the depositors. And, so, those concerns are valid, and they continue to remain."Malhotra clarified that the banking regulator does not have any proposal to allow a corporate entity, whether through an NBFC or as an individual company, to get a banking licence. Reliance Industries , India's biggest company by market value, and Bharti Airtel , which runs the country's second-largest telecom company, operate in the banking space with their respective payments banks. This category of lenders is not allowed to lend but can accept deposits of up to Rs 2 Hinduja Group, with interests in industries as diverse as the capital markets and commercial automobiles, is the promoter of IndusInd Bank Malhotra said that there is no proposal to review promoters' voting rights at private banks, currently capped at 26%. He said that such a requirement ensures that no individual person exercises undue control over the management of a bank, which is dealing with depositors' money.'It is the diversification of ownership so that there are checks and balances within the owners, which we feel is necessary. And so, there is no proposal to review this 26% cap,' Malhotra said.

IANS Sona Comstar defended its decision to proceed with the AGM as scheduled, saying this was in full compliance with applicable laws and regulatory timelines, rejecting Rani Kapur's claims of 'coercion' and misconduct raised by her following her son's death. The fight for control over the Kapur family-promoted Sona Comstar is headed for the courts, said people aware of the matter. The rift within the family following the death of Sunjay Kapur has deepened after the company went ahead with its annual general meeting (AGM) on Friday against the wishes of his mother and former chairperson Rani Kapur, who told the market regulator that she had been forced into signing documents soon after her son's Kapur died on June 12 after a heart attack in the UK at the age of 53. At the time he was chairman of the auto component business founded by his late father, Surinder Kapur. Sona Comstar is the flagship of the Sona Group and is valued at Rs 29,186 crore. The promoters own 28.02 per cent held primarily thru Aureus Investment Private Limited. Sona Comstar said the board had received Rani Kapur's written communication late on Thursday and 'out of respect and regards' for her sought an external legal opinion. Based on the advice received, it could not accede to her request and went ahead with the AGM primarily because 'Mrs Rani Kapur is not a shareholder of Sona Comstar,' it said in a statement to the exchanges. Rani Kapur had on Thursday had sought deferment of the AGM alleging that she was 'coerced' into signing documents behind locked doors when she was grieving, and that some people were trying to usurp the Kapur family legacy. She has not specifically named anyone in the letter she wrote to the Securities and Exchange Board of India (Sebi). She had also objected to the appointment of certain directors as representatives of the Kapur family. 'I've been informed that certain people are representing themselves as being the largest shareholders of the company since they claim to represent the interest of the family in the company. I am fully convinced that the documents which were executed by me under coercion and duress, post the demise of my son, at a time of mental and emotional vulnerability are being misused,' Kapur had said in the letter to Sebi. 'For the record, I state that I have not given any consent or officially nominated any person to come on the 0board of the company or any other Sona Group company after my son's demise or given any consent to any person to represent me in any capacity before the company and or any other Sona Group company.'At Friday's AGM, Sona Comstar shareholders voted in favour of various appointments including that of Sunjay Kapur's widow Priya Sachdev Kapur as a non-executive director with a 99.4% has learnt that Rani Kapur, who claims to hold majority ownership in the Sona Group by virtue of her late husband's will from 2015, may next week move the high court seeking a declaration that she continues to be a shareholder and was kept away from voting at the AGM. 'As per company records, Mrs Rani Kapur has not been a shareholder of the company at least since 2019,' the company said. 'Mrs Priya Sachdev Kapur was appointed as a non-executive director based on a nomination received from M/s Aureus Investments Private Ltd. Her appointment was duly reviewed by the board's nomination and remuneration committee and approved by the board of directors of the company.'After Surinder Kapur's death, son Sunjay took over as the managing director of Sona BLW Precision Forgings. Rani Kapur served as chairperson of the company and sole beneficiary of Surinder Kapur's estate, according to her letter. She said in the letter that she's the largest shareholder of the Sona Group, including the titular alleged gross illegalities have taken place at the company. 'I have also been provided with certain information in the past couple of days from certain well-wishers which leaves me very disturbed with respect to how things have transpired not just with respect to the family but also the company and the legacy of my late husband,' she also raised concerns over recent developments within the company's leadership structure, alleging that appointments to the board were being pursued without her knowledge or consent.
