
IRS Filing Deadline Fast Approaching For Many Tax-Exempt Organizations
Tax season isn't over just yet. Tax-exempt organizations with a calendar year-end (December 31) must file a return or request an extension by May 15, 2025.
The annual filing due date for the Form 990-series (Forms 990, 990-EZ and 990-PF, Form 990-N (the e-postcard), Form 990-T and Form 4720 are normally by the 15th day of the 5th month after the end of the accounting year. For an organization with a December 31 year-end, that's May 15. Other organizations may need to do a little math.
Tax-exempt organizations that need extra time to file can request a six-month automatic extension by filing Form 8868. As with individuals, extending the time to file doesn't extend the time to pay if any tax is due.
Many forms must be filed electronically, including the 990 series and the e-postcard. The IRS will send back returns filed on paper that should have been e-filed, and reject electronically filed returns that are materially incomplete or use the wrong form.

The annual filing requirements apply to most tax-exempt organizations, even if you don't have significant activity. Some exceptions apply—you can check the list of those here.
Small tax-exempt organizations that qualify may file Form 990-N instead of Form 990 or Form 990-EZ. Those organizations can file Form 990-N if their annual gross receipts are normally $50,000 or less. Gross receipts mean the total amounts the organization received from all sources during its annual accounting period, without regard for costs or expenses.
Some organizations cannot file Form 990-N even if their gross receipts are $50,000 or less. Those include private foundations, supporting organizations, political organizations (section 527), and a few others. You can find a longer list of those here.
To file your Form 990-N, you must create an account (if you haven't already) and file using the IRS web page. The IRS requires that you file using a computer, specifically advising, "Do not use a smartphone or tablet to file your Form 990-N." The IRS has created a user guide for those who need a little guidance.
And, importantly, again there are no paper forms.
(It's worth noting that on May 4, 2025, the Form 990-N web page will be unavailable from 1 - 7 a.m. ET while the IRS makes updates.)
Form 990-N is very easy to complete—there's no math! You'll need your EIN, tax year, and contact information. You'll also need the name and address of a principal officer and a website address, if any. Then, confirm that the organization's annual gross receipts are $50,000 or less and submit.
If an organization has gross receipts less than $200,000 and total assets at the end of the year less than $500,000, it can file Form 990-EZ, instead of Form 990.
Additionally, tax-exempt organizations, nonexempt charitable trusts, and section 527 political organizations file Form 990-EZ.
Not all organizations qualify to file Form 990-EZ. For example, Form 990-EZ can't be used by a private foundation required to file Form 990-PF, and Form 990 must be used to file a group return, not Form 990-EZ.
Form 990 must be filed by an organization exempt from income tax under section 501(a) if it has either gross receipts greater than or equal to $200,000 or total assets greater than or equal to $500,000 at the end of the tax year, unless it meets an exemption. If an organizatio is exempt from tax and hasn't applied for recognition of exemption or whose application for recognition of exemption is pending, it must file Form 990.
Sponsoring organizations of donor advised funds, organizations that operate a hospital facility, organizations recognized by the IRS as section 501(c)(29) nonprofit health insurance issuers, and certain controlling organizations defined in section 512(b)(13) must file Form 990 rather than Form 990-EZ regardless of the amount of gross receipts and total assets.
Auto-Revocation
It's important to file timely. Organizations that fail to file required Forms 990, 990-EZ, or 990-N for three consecutive years will automatically lose their tax-exempt status. Revocation of the organization's tax-exempt status will happen on the filing due date of the third consecutively-missed year. If you lose your tax-exempt status, the organization is liable for all income, excise, or other taxes and penalties that may have been owed when your status was revoked. Your organization will also be responsible for any future tax liabilities that accrue due to your organization's loss of exemption.
You can search online if you can't remember whether you've filed (and you don't have a confirmation in your files).
Information on the Form 990 series filed with the IRS, except for certain contributor information on Schedule B (Form 990), is required to be made available to the public. That means that social security numbers (SSNs) shouldn't be included on this form. By law, with limited exceptions, neither the organization nor the IRS may remove that information before making the form publicly available—so be sure to review the forms carefully before submitting.

Less obvious are the various U.S. tax and information filings that are required when foreign businesses set foot in America. This article addresses a lesser-known IRS filing requirement that could cost $25,000 per year (or more) in penalties if it is overlooked. Every year, many foreign owners of U.S. businesses risk steep penalties because they miss this important filing, IRS Form 5472. Form 5472: What It Is, Who Must File And When It's Required Form 5472 is not a tax return; it's an information return. Form 5472 is here and Instructions to Form 5472 here. The form is designed to help the IRS monitor certain types of transactions between U.S. businesses and their foreign owners or affiliates. Information provided on the form helps the IRS identify potential audit issues and is the place the IRS starts when auditing foreign-owned businesses in America. Information provided on Form 5472 discloses both the nature and amount of foreign and domestic transactions that occur with related parties. It is these types of transactions that have the potential for abuse (for example, in transfer-pricing transactions or when trying to remove taxable earnings and profits of the business in a disguised non-taxable form). Form 5472 is also used to gather information to share with foreign governments under international tax treaties and exchange agreements as the push toward global transparency and cross-border reporting continues. Form 5472 must be filed annually by a 'reporting corporation' when there is a 'reportable transaction' with a 'related party' occurring in that particular tax year. A reporting corporation is (i) a U.S. corporation that is at least 25% owned by non-U.S. shareholders or (ii) a foreign corporation that is engaged in a U.S. trade or business. Several important points should be noted: Form 5472 Requires A 'Reportable Transaction' With A 'Related Party' A reporting corporation must examine transactions occurring in each tax year to determine if it has engaged in a 'reportable transaction' with a 'related party.' If it has, Form 5472 must be attached to the reporting corporation's income tax return by the due date (including extensions) of the return. A separate Form 5472 must be filed for each related party (whether foreign or domestic) with which the reporting corporation has had a reportable transaction. What Is A 'Reportable Transaction'? By broad overview, a 'reportable transaction' is any exchange of money or property such as a payment for sales, rents, royalties, interest. Related-party loans are reportable transactions, but they are often overlooked. 'Reportable transactions' are listed predominantly in Part IV of the Form 5472 and are detailed in the instructions. Who is a 'Related Party'? The definition of a related party is very broad and involves different sections of the U.S. Internal Revenue Code, including rules for constructive ownership. Generally, a related party includes any direct or indirect 25% foreign shareholder of the reporting corporation. It also includes any person related to the reporting corporation or to one of the 25% shareholders. Due to its complexity, professional tax advice should be taken to see if a 'related party' is involved. 25%-Or-Greater Foreign Shareholder The reporting corporation must file the Form when it has a reportable transaction with direct or indirect non-US shareholders who own 25% or more of its stock by vote or value. This can get confusing since there may be numerous foreign persons owning, in the aggregate, 25% or more of the corporation. The Form is required only when a single non-US entity or individual owns 25% or more of the corporation. If several foreign shareholders owning a 25%-or-greater interest engage in a reportable transaction with the corporation, then a separate Form 5472 must be filed by the reporting corporation with respect to each of them. This means multiple filings for the same year. Form 5472 Is Not One To Miss – Penalties Apply Failure to file a Form 5472 or maintain the required supporting records could mean a $25,000 civil penalty for each failure. If several filings were required for the same year but were missed, the penalties can easily multiply. There are possible ways to rectify late filings and, depending on the facts, penalties might be averted. Form 5472 is more than just another item of paperwork. It is part of a global shift toward greater transparency and cross-border reporting with IRS making it harder and harder to escape penalties for international tax noncompliance. When a business structure in the U.S. includes any foreign owners or involves foreign operations, don't fall prey to the notion that it is under the radar. President Trump Supports New Proposed Capital Gains Bill: It's a ‘Big Positive' for Homeowners
While speaking to reporters at Joint Base Andrews over the weekend, President Trump expressed support for a bill that would eliminate federal capital gains tax for homeowners. The bill was introduced last week by Republican Congresswoman Marjorie Taylor Greene, who called it a 'gift to the American people.' When asked about the legislation by a reporter after attending the 2025 Club World Cup match in East Rutherford, NJ, Trump agreed that reform was needed. 'We're looking at that,' Trump responded. 'It could be a very big positive. I think it's going to be a great incentive for a lot of people that really need money.' Dubbed the No Tax on Home Sales Act by Greene, the bill would eliminate the federal capital gains tax on the sale of a primary residence. Framed as a pro-homeowner reform, the bill aims to boost housing inventory by eliminating what Greene calls one of the biggest deterrents to selling: the fear of losing a large share of profits to the IRS. 'I just think this is a great gift for the American people, and it's very core to what we were founded on,' Greene told in an exclusive interview. Data supports the claim: Roughly 1 in 3 homeowners—nearly 29 million households—in America has built up more equity than the federal capital gains tax exclusion for single filers protects. Over that time, home prices have risen more than 260% nationwide, turning what was once a generous buffer into a narrow threshold. Washington follows closely, with nearly 65% of homeowners at risk. By comparison, West Virginia and Mississippi see the least impact, with less than 8% of homeowners potentially exposed. In Greene's home state of Georgia, just over 31% exceed the limit. The hope is that the bill will allow millions of longtime homeowners to benefit from their equity—so long as they've actually lived in the home. 'This is not for home flippers. This is for people selling their primary residences … and they will get to keep their money, get to keep their equity,' Greene says. Trump was also asked about his ongoing criticisms of the Federal Reserve and Chairman Jerome Powell, including whether he believes Powell should step down. He reiterated his disapproval. 'We should have the lowest interest rates on earth, and we don't,' Trump told reporters, before turning his attention to the Fed's $2.5 billion headquarters renovation project.
