
Second phase of merging Kuwait oil companies underway
They highlighted a meeting held recently between the two companies' CEOs to start making administrative decisions regarding this matter.
The sources explained that the second phase, following the initial merger of KIPIC with the Kuwait National Petroleum Company, is part of KPC's strategy to restructure the oil sector.
This phase commenced with a meeting between KOC's CEO Ahmed Al-Eidan, acting CEO of Gulf Oil Company Bader Al-Munaifi, and representatives from the oil sector's leadership and workforce. The meeting also discussed the implications of Decision No. 60/2024, issued on May 5, 2024, concerning the transfer of KPC's ownership of shares. '
Al-Eidan affirmed the importance of job stability and preserving all benefits of Gulf Oil employees. It was decided that the legal and administrative status of Gulf Oil Company will remain unchanged at this stage, including the company's name, logo, and operational sites at its headquarters and joint operations in Khafji and Al-Wafra.
The sources clarified that Al-Eidan indicated the change is limited solely to the transfer of share ownership, with KOC becoming the owning entity instead of KPC. Consequently, the highest authority will be the Board of Directors of KOC, without affecting daily operations or the current institutional structure.

Revenue growth was supported by the strong operational performance in Algeria, Tunisia and Kuwait. Consolidated customer base increased by 4% to 26.4 million in H1 2025 compared to 25.5 million in H1 2024. EBITDA increased by 19% in H1 2025 to reach KWD 148 million compared to KWD 125 million in H1 2024. Normalizing for the impact of the one-off bad debt provision raised in H1 2024, EBITDA increased by a strong 14% YoY. Net profit attributable to NMTC increased by 65% to reach KWD 42 million in H1 2025 from KWD 25 million in H1 2024. The company's revenue increased by 1% to KWD 133 million in H1 2025. Additionally, EBITDA surged by 31% to KWD 45 million in H1 2025, up from KWD 34 million in H1 2024. EBITDA for H1 2024 was impacted by a one-off bad debt provision raised in line with standard company policy. When normalizing for this one-off provision, EBITDA grew by 14% YoY. Ooredoo – Tunisia In H1 2025 Ooredoo, Tunisia's customer base increased by 2%, reaching a total of 7.0 million customers. Revenue increased by 9% to KWD 67 million, compared to KWD 62 million in H1 2024. EBITDA for H1 2025 increased by 12% to KWD 28 million compared to KWD 25 million in H1 2024. Ooredoo – Algeria In H1 of 2025, Ooredoo Algeria's customer base increased by 6%, reaching a total of 14.5 million customers. Speaking on the sidelines of the analysts' conference call for the first-half 2025 results, Al-Sager highlighted that profit before tax surged by 17.0% year-on-year, reaching KD 401.5 million in the first six months of the year. He explained that the new tax regime weighed on profitability, with the effective tax rate rising to 16.0% in the first half of 2025, up from 9.2% in the first half of 2024. Al-Sager added that the Bank's pre-tax profit was further supported by the release of provisions for credit and impairment losses amounting to KD 10 million, compared to a charge of KD 43 million in the six-month period ended June 30, 2024. 'Our returns remained robust, with Return on Average Assets reaching (ROAA) 1.52% and Return on Average Equity (ROAE) standing at 15.1% for the period', Al-Sager said. He explained that the Bank is confident in its ability to adapt and maintain its leadership in the local market, highlighting its readiness to navigate economic headwinds and emerge even stronger, supported by its resilience, continued investment in technology and innovation, and steadfast commitment to meeting the evolving needs of its customers. Dividend Distribution Policy Regarding the dividend distribution policy, Al-Sager stated that NBK's approach remains unchanged, maintaining a sustainable framework that strikes a balance between delivering attractive shareholder returns and prudently managing capital ratios. He added that the Bank continues to prioritize effective capital planning to ensure capital levels align with its future growth ambitions, an approach it has consistently upheld and will continue to follow going forward. Al-Sager stressed that the Bank remains committed to its approved dividend policy, noting that in light of the strong growth in its loan portfolio both locally and internationally, the Bank has opted to retain interim profits until year-end, with a focus on year-end final dividend distribution. KUWAIT -- Price of Kuwaiti oil dropped by 15 cents, reaching US 70.86 per barrel in Wednesday's trading, down from USD 71.01 per barrel on Tuesday, according to the Kuwait Petroleum Corporation on Thursday.
